RESOLUTION NO. R-05-07-14-11G1 WHEREAS, the City of Round Rock wishes to enter into a Reimbursement Agreement with AT&T Corporation ( "AT&T" ) for the relocation of fiber optic cables owned by AT&T in connection with the Forest Creek Drive Project, Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City said Reimbursement Agreement with AT&T Corporation, a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes . WITNESSETH: WHEREAS, AT&T and Broadwing Communication Services Incorporated (`SCSI") are each Grantees of an easement obtained from the Missouri-Kansas-Texas and Union Pacific Railroad before the land, including all encumbrances thereto, became the property of the State of Texas, Department of Transportation ("Easements") as depicted on Exhibit B; and WHEREAS,AT&T and BCSI have fiber optic cables located in the Easements("Cables");and WHEREAS,CORR is constructing a four-lane divided arterial roadway,Forest Creek Drive, with associated storm drainage system, water distribution system, sidewalks and trails system, wastewater collection system, area lighting system, future signal lighting system and future landscaping (the"Project")being located in the newly routed public right-of-way as depicted on the location map attached hereto and incorporated herein as Exhibit A("ROW");and WHEREAS, the ROW crosses the Easements and all parties agree that the Project will impact the Cables if the Cables are not relocated where the ROW crosses the Easements;and WHEREAS,AT&T and BCSI have agreed to the relocation and lowering of their respective Cables in that portion of the Easements and ROW as shown on Exhibit C. WHEREAS, in order to effectuate such relocation, AT&T will enter into a separate Joint Construction Agreement with BCSI, wherein AT&T will take the role of Lead Carrier. AT&T will be responsible for contract administration and to provide all necessary materials,permits,supervision, and labor for cable engineering,cable protection via conduit,and cable lowering to the Cables("Cable Construction')that are requested by the CORR;and WHEREAS, CORR agrees to reimburse AT&T for the actual expenses incurred by AT&T related to the Cable Construction requested by the CORR. NOW,THEREFORE,in consideration of mutual promises contained herein,the parties agree as follows: 1. AT&T agrees to provide the Cable Construction to lower the Cables through the ROW as requested by the CORR and determined by the parties to be necessary ("Work"). The Work to be performed is contained in the Scope of Work as shown in Exhibit D. The starting date will be fixed by mutual agreement of the parties hereto and the Work to be done as expeditiously as practicable. 2. CORR agrees to reimburse AT&T the actual costs of the Work that is estimated to be Sixty Thousand and NO/100 Dollars ($60,000.00). Should the total costs for the Work exceed the estimate of Sixty Thousand Dollars ($60,000.00)by no more than twenty percent (20%), then AT&T shall submit to CORR a detailed written report itemizing the total additional costs incurred,including all supporting information documenting all amounts incurred for which reimbursement is claimed and verifying that the Work is in accordance with the requirements of this Agreement and that any change orders for the Work were submitted to and approved by CORR prior to incurring such additional costs. Upon completion of the Work, AT&T shall present CORR with a detailed invoice of the actual Work performed and CORR agrees to make, within thirty (30) days from the date of a properly detailed invoice,a one-time full reimbursement payment of the actual costs, so long as such actual costs do not exceed Sixty Thousand and NO/100 Dollars ($60,000.00), by more than twenty percent (20%). Neither enhancement or betterment costs, nor any costs in excess of twenty percent (20%) of the initial estimate of Sixty Thousand and No/100 Dollars ($60,000.00) shall be reimbursed by CORR. The Parties hereby acknowledge and agree that the 2 spare 1.9"ducts to be installed are for the mutual benefit of AT&T and the CORR and are therefore not enhancement or betterment costs as set forth above. 3. The obligation of CORR to make a cost reimbursement payment under this Agreement does not constitute a general obligation or indebtedness of CORR for which CORR is obligated to levy,pledge or collect any for of taxation. EXHIBIT Page 1 of 7 a "An 4. The parties agree to exercise all due caution while causing any work to be done near the Cables in order to prevent damages to the Cables. 5. Not withstanding any other provision of this Agreement, in no event shall either party be liable to the other for any indirect, consequential or incidental damages, including but without limitation, loss of revenue, loss of customers or loss of profits arising from this Agreement and the performance or non-performance of obligations hereunder. 6. AT&T agrees to indemnify and hold harmless CORR, its officers, agents and employees, against and from any and all liability,loss and expense and shall defend all claims resulting from loss of life or damage or injury to persons or property directly or indirectly resulting from the work performed by AT&T to the extent such loss, damage or injury,is caused by the negligence or willful misconduct of AT&T or its agents or arises out of or in connection with the Work. As a necessary condition for such indemnity to be enforceable against AT&T: (i) AT&T shall be notified in writing promptly of any and all claims,liability, loss and expense for which the CORR seeks indemnification from AT&T,and (ii) (ii) AT&T shall have sole control of the defense of any and all claims, liability, loss and expense and all negotiations for their settlement or compromise. 7. This Agreement shall be enforceable in Round Rock,Williamson County,Texas,and if legal action is necessary by either party with respect to the enforcement of any or all of the terms or conditions herein,exclusive venue for the same shall lie in Williamson County,Texas. This Agreement shall be governed by and construed in accordance with the laws and court decisions of the State of Texas. 8. No party may assign its rights and obligations under this Agreement without the prior written consent of the other party,which consent shall not be unreasonably withheld,conditioned,or delayed. 9. This Agreement shall be binding upon and inure to the benefit of the parties to this Agreement and their respective heirs, executors, administrators, personal representatives, legal representatives, successors and assigns, subject to the provisions of Section 8. 10. In case any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality,or unenforceability shall not affect any other provision of the Agreement,and this Agreement shall be constructed as if such invalid,illegal,or unenforceable provision had never been contained in the Agreement. The proposed new depth is indicated in the design drawings. Install 1 — 6" split HDPE around AT&T's direct buried fiber optic cable. Install 4 — 1.9" innerducts within the 6" split innerduct. Install 1 — 6" split HDPE around Broadwing's fiber optic cable. Install 1- 1.9" innerduct within the 6" split innerduct. Remove 9' of HDPE on Broadwing's system to gain cable slack for lowering. Install AT&TBroadwing Warning Tape where applicable. Install EMS markers as directed by AT&TBroadwing and on sight inspection. Pothole any foreign utility crossings as necessary. Maintain 2' horizontal and vertical separation at all utility crossings. Place or relocate marker poles as needed. Restore the right of way per AT&TBroadwing, City of Round Rock and TXDOT standards and specifications. All work to be in compliance with all AT&T, Broadwing, TXDOT, City, State, Federal and OSHA requirements and procedures. The proposed new depth is indicated in the design drawings. Install 1 — 6" split HDPE around AT&T's direct buried fiber optic cable. Install 4 — 1.9" innerducts within the 6" split innerduct. Install 1 — 6" split HDPE around Broadwing's fiber optic cable. Install 1- 1.9" innerduct within the 6" split innerduct. Remove 9' of HDPE on Broadwing's system to gain cable slack for lowering. Install AT&TBroadwing Warning Tape where applicable. Install EMS markers as directed by AT&TBroadwing and on sight inspection. Pothole any foreign utility crossings as necessary. Maintain 2' horizontal and vertical separation at all utility crossings. Place or relocate marker poles as needed. Restore the right of way per AT&T/Broadwing, City of Round Rock and TXDOT standards and specifications. All work to be in compliance with all AT&T, Broadwing, TXDOT, City, State, Federal and OSHA requirements and procedures.
