RESOLUTION NO. R-04-08-26-13E2 WHEREAS, the City of Round Rock desires to construct Forest Creek Drive running through property owned by Wilshire/Hearthstone Venture I, L.P. and Pulte Homes of Texas, L.P. ( "Developer" ) , and WHEREAS, the City desires to expeditiously design, engineer and construct Forest Creek Drive, conditioned upon Developer paying the City for a portion of the cost of Forest Creek Drive attributable to its development, Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City a Development Agreement with Wilshire/Hearthstone Venture I, L. P. and Pulte Homes of Texas, L.P. regarding Forest Creek Drive, a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes . The City Council hereby finds and declares that written notice of the date, hour, place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended. COUNTY OF WILLIAMSON AND PULTE HOMES OF TEXAS L.P. REGARDING FOREST CREEK DRIVE This is a DEVELOPMENT AGREEMENT by and between THE CITY OF ROUND ROCK, TEXAS ("City") and WILSHIRE/HEARTHSTONE VENTURE I L.P. AND PULTE HOMES OF TEXAS L.P. ("Developer"). WHEREAS, Developer is owner of those certain tracts of land described as 1.49 and 3.22 acres, and as described in Exhibits "A" and`B", attached hereto and incorporated herein (the Property), and WHEREAS, City desires to construct an extension of Forest Creek Drive, being a four-lane, curbed and guttered major arterial road, running through the Property and an abutting 16 inch waterline, (collectively, the Project) and WHEREAS, the City desires to expeditiously design, engineer and construct the Project conditioned upon Developer paying City for a portion of the cost of the Project attributable to its development, and WHEREAS, the Developer desires to partially reimburse the City for costs expended in the construction of the Project, NOW THEREFORE, for and in consideration of the promises and the mutual agreements set forth herein, the City and Developer hereby agree as follows: EXHIBIT "An A. PURPOSE The purpose of this Agreement is to provide for the reimbursement to the City for a portion of the cost of construction of Forest Creek Drive and an abutting waterline through the Property. The parties hereto agree that the portion of the cost of the extension of Forest Creek Drive and an abutting waterline paid by the Developer is attributable to the needs of Developers development. B. GENERAL TERMS AND CONDITIONS 1. The Project is herein defined as the construction of a four-lane, curbed and guttered major arterial road, including sidewalks, and an abutting 16" inch waterline running through the Property. 2. The Project Cost is herein defined as all costs of material, labor, grading, paving, drainage, erosion control and other costs related to the construction of the Project. The Project cost specifically excludes all soft costs such as permitting fees, inspection fees, and design fees. 3 Developer agrees to pay to the City a portion of the Project Cost, totaling approximately ONE HUNDRED THIRTY-SIX THOUSAND THREE HUNDRED SEVENTY-SIX AND 27/100 DOLLARS ($136,376.27) for the costs attributable to the extension of Forest Creek Drive and ONE HUNDRED AND ONE THOUSAND AND NINE HUNDRED AND SEVENTY-SEVEN AND 20/100 DOLLARS ($101,977.20) for waterline improvements, totaling TWO HUNDRED AND THIRTY-EIGHT THOUSAND AND FOUR HUNDRED AND FIFTY THREE AND 47/100 DOLLARS ($238,453.47). Said sum shall be paid to the City within twenty (20) working days after Developer receives written notification that said payment is due. If full payment is not received within this time period, this Agreement may be voided by the City. Any monies not expended by the City on the Project shall be reimbursed to the Developer. Any cost over-runs shall be shared by the Developer and the City based on the following ratio; 50% - Developer, 50% - City. Any cost over-runs shall be paid by Developer to the City within twenty (20) working days after Developer receives written notification that said payment is due. 4 . Developers shall dedicate the necessary right-of-way at the time of the execution of this Agreement. Developer agrees to dedicate any other easements and/or right-of-way needed for the Project. 5. The City and the Developers agree that the City will continue the uninterrupted issuance of building permits and certificates of occupancy in Sonoma Sections 10, 11, 12 and 13 under the following conditions: a. Each section must connect to a completed and City of Round Rock accepted roadway. b. Each section will comply with all appropriate City of Round Rock regulatory requirements prior to the issuance of building permits and certificates of occupancy. C. Completion of the Forest Creek Drive extension through Sonoma is specifically not a regulatory requirement or precedent to the issuance of building permits and certificate of occupancy in these sections. C. MISCELLANEOUS PROVISIONS 1. Actions Performable. The City and the Developer agree that all actions to be performed under this Agreement are performable in Williamson County, Texas. 2. Governing Law. The City and Developer agree that this Agreement has been made under the laws of the State of Texas in effect on this date, and that any interpretation of this Agreement at a future date shall be made under the laws of the State of Texas. 3. Severability. If a provision hereof shall be finally declared void or illegal by any court or administrative agency having jurisdiction, the entire Agreement shall not be void; but the remaining provisions shall continue in effect as nearly as possible in accordance with the original intent of the parties. 4. Complete Agreement. This Agreement represents a complete agreement of the parties and supersedes all prior written and oral matters related to this agreement. Any amendment to this Agreement must be in writing and signed by all parties. 5. Exhibits. All exhibits attached to this Agreement are incorporated by reference and expressly made part of this Agreement as if copied verbatim. 6. Notice. REGARDING FOREST CREEK DRIVE This is a DEVELOPMENT AGREEMENT by and between THE CITY OF ROUND ROCK, TEXAS ("City") and WILSHIRE/HEARTHSTONE VENTURE I L.P. AND PULTE HOMES OF TEXAS L.P. ("Developer"). WHEREAS, Developer is owner of those certain tracts of land described as 1.49 and 3.22 acres, and as described in Exhibits "A" and `B", attached hereto and incorporated herein (the Property), and WHEREAS, City desires to construct an extension of Forest Creek Drive, being a four-lane, curbed and guttered major arterial road, running through the Property and an abutting 16 inch waterline, (collectively, the Project) and WHEREAS, the City desires to expeditiously design, engineer and construct the Project conditioned upon Developer paying City for a portion of the cost of the Project attributable to its development, and WHEREAS, the Developer desires to partially reimburse the City for costs expended in the construction of the Project, NOW THEREFORE, for and in consideration of the promises and the mutual agreements set forth herein, the City and Developer hereby agree as follows: A. PURPOSE The purpose of this Agreement is to provide for the reimbursement to the City for a portion of the cost of construction of Forest Creek Drive and an abutting waterline through the Property. The parties hereto agree that the portion of the cost of the extension of Forest Creek Drive and an abutting waterline paid by the Developer is attributable to the needs of Developers development. B. GENERAL TERMS AND CONDITIONS 1. The Project is herein defined as the construction of a four-lane, curbed and guttered major arterial road, including sidewalks, and an abutting 16" inch waterline running through the Property. 2. The Project Cost is herein defined as all costs of material, labor, grading, paving, drainage, erosion control and other costs related to the construction of the Project. The Project cost specifically excludes all soft costs such as permitting fees, inspection fees, and design fees. 3 Developer agrees to pay to the City a portion of the Project Cost, totaling approximately ONE HUNDRED THIRTY-SIX THOUSAND THREE HUNDRED SEVENTY-SIX AND 27/100 DOLLARS ($136,376.27) for the costs attributable to the extension of Forest Creek Drive and ONE HUNDRED AND ONE THOUSAND AND NINE HUNDRED AND SEVENTY-SEVEN AND 20/100 DOLLARS ($101,977.20) for waterline improvements, totaling TWO HUNDRED AND THIRTY-EIGHT THOUSAND AND FOUR HUNDRED AND FIFTY THREE AND 47/100 DOLLARS ($238,453.47). Said sum shall be paid to the City within twenty (20) working days after Developer receives written notification that said payment is due. If full payment is not received within this time period, this Agreement may be voided by the City. Any monies not expended by the City on the Project shall be reimbursed to the Developer. Any cost over-runs shall be shared by the Developer and the City based on the following ratio; 50% - Developer, 50% - City. Any cost over-runs shall be paid by Developer to the City within twenty (20) working days after Developer receives written notification that said payment is due. 4 . Developers shall dedicate the necessary right-of-way at the time of the execution of this Agreement. Developer agrees to dedicate any other easements and/or right-of-way needed for the Project. 5. The City and the Developers agree that the City will continue the uninterrupted issuance of building permits and certificates of occupancy in Sonoma Sections 10, 11, 12 and 13 under the following conditions: a. Each section must connect to a completed and City of Round Rock accepted roadway. b. Each section will comply with all appropriate City of Round Rock regulatory requirements prior to the issuance of building permits and certificates of occupancy. C. Completion of the Forest Creek Drive extension through Sonoma is specifically not a regulatory requirement or precedent to the issuance of building permits and certificate of occupancy in these sections. C. MISCELLANEOUS PROVISIONS 1. Actions Performable. The City and the Developer agree that all actions to be performed under this Agreement are performable in Williamson County, Texas. 2. Governing Law. The City and Developer agree that this Agreement has been made under the laws of the State of Texas in effect on this date, and that any interpretation of this Agreement at a future date shall be made under the laws of the State of Texas. 3. Severability. If a provision hereof shall be finally declared void or illegal by any court or administrative agency having jurisdiction, the entire Agreement shall not be void; but the remaining provisions shall continue in effect as nearly as possible in accordance with the original intent of the parties. 4. Complete Agreement. This Agreement represents a complete agreement of the parties and supersedes all prior written and oral matters related to this agreement. Any amendment to this Agreement must be in writing and signed by all parties. 5. Exhibits. All exhibits attached to this Agreement are incorporated by reference and expressly made part of this Agreement as if copied verbatim. 6. Notice. Developer and the City agree that the obligations of each party shall be subject to force majeure events such as natural calamity, fire or strike. 8. Assignment. This Agreement may be assigned by the Developer only with the prior written approval of the City. 9. Signature Warranty Clause.
