R-78-183 - 12/14/1978 RESOLUTION N0 . 183R WHEREAS, heretofore, the City of Round Rock entered into a written agreement with Westinghouse Electric Corporation, and WHEREAS, said agreement concerned the designation of certain property as an industrial district and included a time-table for annexation, and WHEREAS, the parties desire to modify the pre-existing agree- ment and set forth the terms and conditions presently desired by the parties, and WHEREAS, such modified agreement has been executed by Westing- house, and WHEREAS, the Council desires to enter into said modified agree- ment, now therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS , THAT The Mayor of the City of Round Pock is hereby authorized and directed to execute said agreement on behalf of the City; a copy of such agreement attached hereto as Exhibit "A" . GRIFFITH, yor City of Round Rock, exas A'T'TEST J0 NE LAND, City Secretary 1 AGREEMENT BETWEEN THE CITY OF ROUND ROCK, TEXAS AND WESTINGHOUSE ELECTRIC CORPORATION THE STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS : COUNTY OF WILLIAMSON § WHEREAS , heretofore , the City of Round Rock, Texas , here- inafter sometimes referred to as "City" , then a general law city, entered into a written agreement with Westinghouse Electric Corporation, a Pennsylvania corporation, hereinafter sometimes referred to as "Westinghouse" , such agreement having been executed on the lst day of April , 1974 by Westinghouse and on the 8th day of March, 1974 by City; and WHEREAS , in the interim, City has become a home rule city as that term is defined under Texas law; and WHEREAS , the parties desire to modify the pre-existing agreement and set forth herein all of the terms and conditions presently desired by the parties; and WHEREAS , authority for this agreement is contained in the common law and in Art. 970a. , the Municipal Annexation Act, Vernon' s Texas Civil Statutes; NOW, THEREFORE , KNOW ALL MEN BY THESE PRESENTS : For and in consideration of the mutual agreements and promises contained herein, the parties agree as follows : 1. City and Westinghouse will expand City' s extraterri- torial jurisdiction to encompass all of Westinghouse' s land which now lies outside, but contiguous to the existing extra- territorial jurisdiction of the City. Westinghouse' s entire land is described in Exhibit "A" which is attached hereto and incorporated herein for all purposes. It is the intention of City and Westinghouse to expand the existing extraterritorial jurisdiction to include that part of Westinghouse' s land which is not already a part of the existing extraterritorial' jurisdiction as a matter of law. 2 . Immediately after bringing the land shown on Exhibit "A" hereto within the extraterritorial jurisdiction of City, rg all of said land shall be designated by City as an Industrial District as that term is defined in Art. 970a. , the Municipal Annexation Act, Vernon' s Texas Civil Statutes . The property described on Exhibit "A" hereto shall remain within the afore- mentioned Industrial District .for a period of seven (7) years immediately following City' s designation of such land as an Industrial District. 3 . The property shown on Exhibit "A" hereto and which shall be designated as an Industrial District aforesaid, shall be annexed by City seven (7) years following the date of des- ignation of such property as an Industrial District. Attached as Exhibit "B" hereto is a specimen copy of Westinghouse' s petition for the property shown on Exhibit "A" hereto to be included within City' s extraterritorial jurisdic- tion, said request conforming to Westinghouse ' s verbal request to include such property within City' s extraterritorial juris- diction as made before City' s City Council at its meeting on November 9 , 1978 . Attached as Exhibit "C" hereto is a specimen copy of Westinghouse ' s request for the property shown on Exhibit "A" hereto to be annexed by City at the expiration of seven (7) years from the designation by City of such land as an Indus- trial District. Such petition and its enforceability are con- ditioned upon such annexation occurring at or no sooner than seven (7) years following the date of execution by City of the proper instruments designating such property as an Industrial District. City acknowledges as additional consideration, the previous contribution from Westinghouse to City for water and sewer facility improvements to City. Attached as Exhibit "D" hereto is a specimen copy of the instrument which City shall use to designate the property shown on Exhibit "A" hereto as an Industrial District. Additional provisions : the parties further agree that all of the terms and conditions of this agreement shall con- tinue in full force and effect throughout the seven (7) year period during which the property shown on Exhibit "A" hereto -2- f�j g ,7 J /�� i-, shall continue as an Industrial District. Further, the terms and conditions contained herein, including those contained in the exhibits hereto, shall be deemed to be covenants running with the land and shall be binding on the respective legal representatives, successors and assigns of the parties hereto, expressly including subsequent transferees of any portion or portions of the Westinghouse property. The parties contemplate the possibility that Westinghouse may sell all or a part of the property described on Exhibit "A" hereto to one or more owners during the aforementioned seven (7) year period. Should this occur, and should such owner or owners desire that all or portions of the property which they may acquire from Westinghouse be removed from the terms and conditions of this agreement, including the terms and conditions of the exhibits attached hereto, such owner or owners may make such request to City in order that the Indus- trial District status and therefore, immunity from annexation, may be removed as to such portion or portions of such property. Other than in such instance or instances just described in this paragraph, no land shown on Exhibit "A" hereto shall be annexed nor shall any attempt be made to annex such property during such seven (7) year period. As an additional assurance to City that the property shown on Exhibit "A" hereto shall be annexed at the expira- tion of seven (7) years from the designation of such property as an Industrial District by City, in addition to the petition referenced above, Exhibit "C" , Westinghouse herein requests annexation by City in this contractual agreement, with the condition precedent to such request that it not be acted on prior to the expiration of seven (7) years from the date of designation of the property shown on Exhibit "A" hereto as an Industrial District and the existence of such property shown on Exhibit "A" hereto having continued as an Industrial Dis- trict for seven (7) years aforesaid. In the event for any reason it is determined that addi- tional or substitute petitions or other documents are required -3- Vol, 41i� U to complete the contemplated annexation at or no sooner than the expiration of seven (7) years from the designation by City of such land as an Industrial District, Westinghouse agrees to duly execute and file such petition or documents at the request of City. The obligations and undertakings of each of the parties to this agreement shall be performable in Williamson County, Texas . It is expressly agreed and stipulated that this contract shall be deemed to have been mage and to be performable in the State of Texas and all questions concerning the validity, in- terpretation, or performance of any of its terms or provisions, or of any rights or obligations of the parties hereto, shall be governed by and resolved in accordance with the laws of said State. If any word, phrase, clause, paragraph, sentence, part, portion or provision of this contract and/or ordinance or the application thereof to any person or circumstances shall be held to be invalid or unconstitutional, the remainder of the contract and/or ordinance shall nevertheless be valid and City and Westinghouse hereby declare this contract and/or ordinance would have been inacted without such invalid or unconstitu- tional word, phrase, clause, paragraph, sentence, part, por- tion or provision. Then with the average of the fence on the north line of the 16.31.46 acre parent tract, N 87033 ' 53'° E for 722 . 98 feet to a steel pin placed at a bend in the fence, and N 86043 ' 03" E for 243 . 57 feet to a 1" iron pipe placed beside the fence corner post in the west R.O.W. line of Interstate Highway 35 ; and from which iron pipe, a concrete R.O .W. marker found at the north end of a curve bears N 1503.2' 21" E at 663 . 80 feet . 7 . Then with the west R.O .W. line of Interstate Highway 35, on the following courses : (A) Around the arc of a curve to the right for 57 . 54 feet to the point of reverse curve, at the end of this curve that has a radius of 1095 . 90 feet, the central angle of 300.0' 30" , and the chord that bears S 34040' 23" W for 57 . 53 feet, (B) Around the arc of a curve to the left for 1, 023 . 3 feet to a concrete R.O.W. marker found at the end of this curve that has a radius of 766 . 2 feet, and the chord that bears S 200.5 ' 24" E for 948 . 9 feet, and (C) Around the arc of a curve to the right for 731. 8 feet to the Point of Beginning, at the end of this curve that has a radius of 1, 095 . 9 feet, and the chord that bears S 21013 ' 24" E for 718 .3 feet, and contains 153 .014 acres of land, II. First, this cost comparison parallels the astounding growth experienced by the City in the past eight or nine years. Second, the figures used for 1970 Study were seriously underestimated for operation and maintenance costs. At the same time, the consumption figure estimated for Westinghouse water use was far in excess of their actual usage which distorted their cost per thou- sand figure. The new figures represent more actually the true cost to provide the Westinghouse water supply.
