WHEREAS, the City of Round Rock has previously entered into a Depository and Banking
Services Contract with JPMorgan Chase Bank, N.A. ("Agreement") on April 12, 2012, by Resolution
No. R-12-04-12-11E1; and
WHEREAS, it has become necessary to extend the term of the Agreement for the sole
allowable twenty-four(24) month renewal term; and
WHEREAS, the City Council desires to renew said Agreement with JPMorgan Chase Bank,
N.A.,Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on behalf of the City Term
Renewal Agreement No. 1 to "Depository and Banking Services Contract" with JPMorgan Chase
Bank, N.A.", a copy of same being attached hereto as Exhibit "A" and incorporated herein for all
purposes.
The City Council hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

TERM RENEWAL AGREEMENT NO. 1
TO "DEPOSITORY AND BANKING SERVICES CONTRACT"
WITH
JPMORGAN CHASE BANK, N.A.
This Term Renewal Agreement No. 1 to "Depository and Banking Services Contract,"
hereinafter called "Renewal Agreement," is made by and between the City of Round Rock,
Texas, a home-rule municipality with offices located at 221 East Main Street, Round Rock, TX
78664-5299, hereinafter called "City" and JPMorgan Chase Bank, N.A., a national banking
association organized under the laws of the United States and authorized by law to do banking
business in Texas and now conducting such business in said state,hereinafter called "Bank."
WHEREAS, City and Bank executed the referenced "Depository and Banking Services
Contract," hereinafter called the "Agreement," on April 12, 2012, by Resolution No. R-12-04-
12-11E1; and
WHEREAS, pursuant to Section II of the Agreement, "Term, Renewal, and
Termination,"the initial term of the Agreement was for thirty-six (36) months from the effective
date of the Agreement; and
WHEREAS,the initial term of the Agreement expires April 12, 2015; and
WHEREAS, the parties desire to extend the term of the Agreement for the sole
allowable twenty-four(24)-month renewal term;
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Renewal Agreement, City and Bank agree as follows:
I.
Pursuant to Section II of the Agreement, "Term, Renewal, and Termination," the term of
the Agreement is renewed for the sole allowable twenty-four (24) month renewal period. The
additional twenty-four (24) months shall commence on the last day of the original term of the
Agreement.

II.
This Renewal Agreement embodies the sole allowable twenty-four (24) month renewal
period, and extends the original Agreement as to time only with no other changes in terms or
conditions of the original Agreement.
IN WITNESS WHEREOF, City and Bank have executed this Renewal Agreement on the dates
indicated.
