R -03-10-23-11A1 WHEREAS, the City of Round Rock has previously entered into an Agreement for Consulting Services with Destination Development, Inc. for the development of a long-range tourism plan, and WHEREAS, Destination Development, Inc. has submitted Supplemental Agreement No. 1 to the Agreement to include additional travel expenses, and WHEREAS, the City Council desires to enter into said Supplemental Agreement No. 1 with Destination Development, Inc., Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental Agreement No. 1 to the Agreement for Consulting Services with Destination Development, Inc., a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. The City Council hereby finds and declares that written notice of the date, hour, place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended. This Supplemental Agreement to the City of Round Rock Agreement For Consulting Services With Destination Development, Inc., hereinafter called the "Supplemental Agreement No. 1" is made by and between the City of Round Rock, a Texas home -rule municipal corporation, hereinafter called the "City" and Destination Development, Inc., hereinafter called the "Consultant". 1 WHEREAS, the City and Consultant executed that City of Round Rock Agreement For Consulting Services With Destination Development, Inc., hereinafter called the "Agreement", on the 26th day of June, 2003; and WHEREAS, the scope of services may be modified by supplemental agreement executed by both parties within the period specified as the term of the Agreement; and WHEREAS, it has become necessary to modify the scope of services to provide for additional travel by the Consultant, thereby increasing the total amount of compensation under the terms of the Agreement; NOW THEREFORE, that for and in consideration of the mutual promises contained herein and other good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the City and the Consultant agree that said Agreement is amended as follows: Agreement: 1. Section 1.04, PAYMENT FOR SERVICES; SUPPLEMENTAL AGREEMENTS, shall be amended to increase Consultant's total compensation to $50,000. 2. Section 10., Travel and related costs of Exhibit "A", shall be amended to include a fourth trip to Round Rock at a cost of $4,040, as provided below: Trip Cost Not to exceed $3,240 Travel Costs Not to exceed $ 800 (estimated) 3. Capitalized terms not otherwise defined in this Supplemental Agreement No. 1 shall have the meanings ascribed to them in the Agreement. 4. This Supplemental Agreement No. 1 may be executed in multiple counterparts, which, when combined together, shall constitute an original of this Supplemental Agreement No. 1. In addition, facsimile signatures of the parties shall be effective on all counterparts of this Supplemental Agreement No. 1. 6. This, Supplemental Agreement No. 1 together with the Agreement, embodies the entire agreement of the parties hereto, and is binding upon and inures to the benefit of the parties to this Supplemental Agreement No. 1 and their respective heirs, executors, administrators, personal representatives, legal representatives, successors and assigns and incorporates all previous correspondence or communication, whether written or oral. The Agreement, as amended hereby, can only be further modified or varied by written instrument subscribed to by the parties hereto. The contract we are working within includes three trips to Round Rock for research, meetings and presentations, etc. Per the request of the steering committee, we propose to add one additional trip to Round Rock. This will allow us the time to present the plan to the working committee, attend additional meetings with key stakeholders, and will let us fine-tune the recommendations prior to the final presentation before the City Council. The cost of this trip would not exceed $3,240 plus travel costs, which are billed at actual cost. We estimate the travel to not exceed $800 (airfare, rental car, lodging and meals for two days). We propose that this "additional work" be done as an extension of the existing contract, within the same terms and conditions as already agreed to. Perhaps this could be accomplished through a simple "letter of understanding." Thanks again for using our services, and we look forward to working with the City further as we complete this Plan. As we have moved through the process, it has become apparent that a forth trip to Round Rock, by Roger Brooks is required to insure adequate public/committee/council input is received before finalizing the plan.
