WHEREAS, SBB Holdings, LP ("Developer") desires to develop a
98.19 acre tract of land located at the southeast corner of the
intersection of University Boulevard and Sandy Brook Drive, and
WHEREAS, the construction of a north -south roadway and related
traffic improvements will be necessary to the development of this
tract,
WHEREAS, the City of Round Rock and Developer desire to enter
into a Development Agreement to memorialize respective obligations
regarding the roadway improvements, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City a Development Agreement with SBB Holdings, LP, a
copy of same being attached hereto as Exhibit "A" and incorporated
herein for all purposes.
The City Council hereby finds and declares that written notice
of the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to
the public as required by law at all times during which this
Resolution and the subject matter hereof were discussed, considered
and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT (this "Agreement") is executed between the City of
Round Rock, Texas, a political subdivision of the state of Texas (the "City") and SBB
Holdings, LP, a Texas limited partnership (the "Developer"), to be effective on this day
of , 2008.
RECITALS:
WHEREAS, the Developer is the owner of a certain 98.19 acre tract of land located at the
southeast corner of the intersection of University Boulevard and Sandy Brook Drive in Round
Rock, Williamson County, Texas and more particularly described by metes and bounds in
Exhibit "A" attached hereto and incorporated herein (the "Property"); and
WHEREAS, a 73.52 acre portion of the Property is zoned subject to a Planned Unit
Development; recorded as Document No. in the Official Public Records of
Williamson County, Texas (the "PUD"); and
WHEREAS, the Developer has entered into a Purchase and Sale Agreement with Austin
Community College District ("ACC") in order to sell a portion of the Property containing
approximately 24.66 acres more particularly described on Exhibit "B" attached hereto and
incorporated herein (the "24 -Acre Tract"); and
WHEREAS, a Traffic Impact Analysis (the "TIA") prepared by the Developer indicates
that certain roadway improvements are necessary to develop the Property; and
WHEREAS, the Developer and the City by this Agreement, desire to memorialize their
respective obligations regarding such roadway and other improvements as relate to the PUD and
to the 24 -Acre Tract.
NOW THEREFORE, for the consideration of the provisions and the mutual agreements
set forth herein, the City and the Developer agree as follows:
ARTICLE I.
GENERAL PROVISIONS
1.1 Dedication of University Village Drive. The TIA requires the construction of a sixty-five
(65') foot wide north -south roadway as shown on Exhibit "C" attached hereto and incorporated
herein ("University Village Drive). University Village Drive shall be that portion that is within
the 24 -Acre Tract, including that portion that is contiguous to Parcel 3 and north of Zodiac Lane,
as shown as crosshatched on Exhibit "D" attached hereto (the "24 -Acre Tract Road
Requirement") shall be conveyed and dedicated by metes and bounds to the City by Developer
prior to or at the time of the conveyance of the 24 -Acre Tract. Notwithstanding the foregoing,
Developer shall have the right at anytime to transfer the Property, in whole or in part, including,
but not limited to, the 24 -Acre Tract, to an affiliated third party of Developer prior to the
conveyance and dedication of any portion of University Village Drive to the City.

1.2 Construction of University Village Drive. In order to assure completion of construction of the
24 -Acre Tract Road Requirement, Developer shall deposit with the City in the form of cash or a
Letter of Credit (the "LOC") acceptable to the City in an amount equal to 110% of the estimated
cost to construct the 24 -Acre Tract Road Requirement, said estimated cost to be determined by
the City after consultation with the Developer. The Letter of Credit shall be from a bank
approved by the City. Partial releases of said Letter of Credit shall be provided by the City
based upon previous city practices. The estimated cost to construct the 24 -Acre Tract Road
Requirement shall be submitted to the Developer within thirty (30) days after the date of this
Agreement and the Letter of Credit shall be deposited at the time of the conveyance of the 24
Acre Tract. The Developer shall commence construction of the 24 -Acre Tract Road
Requirement upon the earlier to occur of (i) 120 or more parking spaces being constructed on the
24 -Acre Tract, or (ii) when construction is started on any building located on the 24 -Acre Tract
that would require the issuance of a certificate of occupancy. Construction of the 24 -Acre Tract
Road Requirement must be completed within one year of commencement of said construction.
Upon completion of the construction by the Developer, and upon the City's approval and
acceptance of the 24 -Acre Tract Road Requirement, the City shall be obligated to maintain and
repair as necessary all portions of said 24 -Acre Tract Road Requirement.
1.3 Default in Construction of 24 -Acre Tract Road Requirement. In the event that the
Developer has not started or completed construction of the 24 -Acre Tract Road Requirement
pursuant to the terms of this Agreement, then in such event, the City shall provide written notice
to the Developer, whereupon the Developer shall have thirty (30) days in order to cure such
default. In the event the default is not cured within said thirty (30) day period or within a
reasonable time thereafter, the City shall have the right, but not the obligation, to use the cash or
LOC in the City's possession pursuant to Section 1.2 above to cure such default and complete
the construction of the 24 -Acre Tract Road Requirement.
1.4 Installation of Traffic Signals.
1.4.1 Pursuant to the TIA, Developer shall contribute $19,800.00 for the installation of a
proposed traffic signal at the intersection of CR 112 and University Boulevard. This amount
shall be deposited with the City upon approval of the first final plat within Parcel 1 as described
in the PUD. The traffic signal will be installed by the City where the City determines that said
signal is warranted.
1.4.2 Pursuant to the TIA, Developer shall contribute $37,800.00 for the installation of a traffic
signal at the intersection of Sandy Brook Drive and University Boulevard. This amount shall be
deposited with the City upon approval of the first final plat within Parcel 1 as described in the
PUD. The traffic signal will be installed by the City where the City determines that said signal is
warranted.
1.4.3 Pursuant to the TIA, the Developer shall contribute $22,000.00 for the installation of a
traffic signal at the intersection of Seton Parkway and University Boulevard. This amount shall
be deposited with the City upon approval of the first final plat for Parcels 2, 3, or 4 as described
in the PUD. The traffic signal will be installed by the City when the City determines that said
signal is warranted.

ARTICLE II.
MISCELLANEOUS PROVISIONS
2.1 Recitals. The recitals contained in this Agreement: (a) are true and correct as of the
Effective Date; (b) form the basis upon which the parties negotiated and entered into this
Agreement; and (c) reflect the intent of the parties with regard to the subject matter of this
Agreement. If it becomes necessary to interpret any provision of this Agreement, the intent of
the parties hereof, as evidenced by the recitals, shall be given full effect. The parties have relied,
to their material detriment, upon the recitals as part of the consideration for entering into this
Agreement, and, but for the recitals, the parties would not have entered into this Agreement.
2.2 Term. The term of this Agreement shall be ten (10) years from the date of this Agreement.
2.3 Authority. The City represents and warrants that this Agreement has been approved by the
action of the City Council of the City in accordance with all applicable public meeting and public
notice requirements (including, but not limited to, notices required by the Texas Open Meetings
Act) and that the individual executing this Agreement on behalf of the City has been authorized
to do so. Developer represents and warrants that this Agreement has been approved by
appropriate action of Developer and that the individual executing this Agreement on behalf of
Developer has been authorized to do so.
2.4 No Third Party Beneficiaries. This Agreement only inures to the benefit of, and may
only be enforced by; Developer and the City. No other person or entity shall have any right, title,
or interest under this Agreement or otherwise be deemed to be a third -party beneficiary of this
Agreement.
2.5 Entire Agreement; Amendment; Severability. This Agreement supersedes all prior
discussions, agreements and understandings between Developer and the City and constitutes the
entire agreement between the Developer and the City with respect to the transaction herein
contemplated. This Agreement may be amended or modified only by a written instrument
executed by Developer and the City. If any term, covenant, condition, or provision of this
Agreement or the application thereof to any person or circumstance shall, at any time or to any
extent be invalid or unenforceable, the remainder of this Agreement, or the application of such
term or provision to persons or circumstances other than those to which it is held invalid or
unenforceable, shall not be affected thereby, and each provision of this Agreement shall be valid
and shall be enforced to the fullest extent permitted by law.
2.6 Notices. Any notice or other communication required by this Agreement to be given,
provided, or delivered to a party shall be in writing addressed to the parties as set forth below.
Notices shall be considered "given" for purposes of this Agreement: (a) if by Certified Mail, five
business days after deposited with the U.S. Postal Service, Certified Mail, Return Receipt
Requested; (b) if by private delivery service (e.g., FedEx or UPS), on the date delivered to the
notice address as evidenced by a receipt signed by any person at the notice address; (c) if by
FAX, when sent, or (d) if by any other means (including, but not limited to, e-mail if an email
address is provided below), when actually received by the party at the notice address. Each party
has the right to change, from time to time, its notice addresses by giving at least 10 days written
notice to the other parties. If any time period provided in this Agreement ends on a Saturday,

Sunday, or legal holiday, the period shall be extended to the first business day following such
Saturday, Sunday or legal holiday.

2.7 Time. Time is of the essence in the performance by the parties of their respective
obligations under this Agreement.
2.8 Applicable Law and Venue. This Agreement shall be interpreted in accordance with the
laws of the State of Texas. Venue shall be in Williamson County, Texas.
2.9 Non -Waiver. If a party fails to insist on strict performance of any provision of this
Agreement, such failure shall not be deemed a waiver by such party of its right to insist on strict
performance of such provision in the future or strict performance of any other provision of this
Agreement.
2.10 Binding Effect. This Agreement is a covenant running with the land and shall be binding
on all subsequent owners of all or any portion of the Property.
2.11 Governmental Powers; Waivers of Immunity. By its execution of this Agreement, the
City does not waive or surrender any of its governmental powers, immunities, or rights.
2.12 Assignment. Except as provided for in Section 1.2 of this Agreement, this Agreement may
not be assigned by Developer to a successor owner of the property without the express written
consent of the City.
2.13 Exhibits. The following exhibits are attached to this Agreement and are incorporated as
part of this Agreement for all purposes as if set forth in full in the body of this Agreement.

educational facilities and 25.82 acres of open space. The remaining 24.66 acres is planned for
use by Austin Community College as a portion of their campus.
The agreement insures the construction of transportation improvements related to the
development, including the construction of University Village Drive and a share of the cost of
area traffic signals.

FOLLOWS
DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT (this "Agreement") is executed between the City of
Round Rock, Texas, a political subdivision of the state of Texas (the "City") and SBB
Holdings, LP, a Texas limited partnership (the "Developer"), to be effective on this Z34 day
of , 2008.
RECITALS:
WHEREAS, the Developer is the owner of a certain 98.19 acre tract of land located at the
southeast corner of the intersection of University Boulevard and Sandy Brook Drive in Round
Rock, Williamson County, Texas and more particularly described by metes and bounds in
Exhibit "A" attached hereto and incorporated herein (the "Property"); and
WHEREAS, a 73.52 acre portion of the Property is zoned subject to a Planned Unit
Development; recorded as Document No. in the Official Public Records of
Williamson County, Texas (the "PUD"); and
WHEREAS, the Developer has entered into a Purchase and Sale Agreement with Austin
Community College District ("ACC") in order to sell a portion of the Property containing
approximately 24.66 acres more particularly described on Exhibit "B" attached hereto and
incorporated herein (the "24 -Acre Tract"); and
WHEREAS, a Traffic Impact Analysis (the "TIA") prepared by the Developer indicates
that certain roadway improvements are necessary to develop the Property; and
WHEREAS, the Developer and the City by this Agreement, desire to memorialize their
respective obligations regarding such roadway and other improvements as relate to the PUD and
to the 24 -Acre Tract.
NOW THEREFORE, for the consideration of the provisions and the mutual agreements
set forth herein, the City and the Developer agree as follows:
ARTICLE I.
GENERAL PROVISIONS
1.1 Dedication of University Village Drive. The TIA requires the construction of a sixty-five
(65') foot wide north -south roadway as shown on Exhibit "C" attached hereto and incorporated
herein ("University Village Drive). University Village Drive shall be that portion that is within
the 24 -Acre Tract, including that portion that is contiguous to Parcel 3 and north of Zodiac Lane,
as shown as crosshatched on Exhibit "D" attached hereto (the "24 -Acre Tract Road
Requirement") shall be conveyed and dedicated by metes and bounds to the City by Developer
prior to or at the time of the conveyance of the 24 -Acre Tract. Notwithstanding the foregoing,
Developer shall have the right at anytime to transfer the Property, in whole or in part, including,
but not limited to, the 24 -Acre Tract, to an affiliated third party of Developer prior to the
conveyance and dedication of any portion of University Village Drive to the City.

1.2 Construction of University Village Drive. In order to assure completion of construction of the
24 -Acre Tract Road Requirement, Developer shall deposit with the City in the form of cash or a
Letter of Credit (the "LOC") acceptable to the City in an amount equal to 110% of the estimated
cost to construct the 24 -Acre Tract Road Requirement, said estimated cost to be determined by
the City after consultation with the Developer. The Letter of Credit shall be from a bank
approved by the City. Partial releases of said Letter of Credit shall be provided by the City
based upon previous city practices. The estimated cost to construct the 24 -Acre Tract Road
Requirement shall be submitted to the Developer within thirty (30) days after the date of this
Agreement and the Letter of Credit shall be deposited at the time of the conveyance of the 24
Acre Tract. The Developer shall commence construction of the 24 -Acre Tract Road
Requirement upon the earlier to occur of (i) 120 or more parking spaces being constructed on the
24 -Acre Tract, or (ii) when construction is started on any building located on the 24 -Acre Tract
that would require the issuance of a certificate of occupancy. Construction of the 24 -Acre Tract
Road Requirement must be completed within one year of commencement of said construction.
Upon completion of the construction by the Developer, and upon the City's approval and
acceptance of the 24 -Acre Tract Road Requirement, the City shall be obligated to maintain and
repair as necessary all portions of said 24 -Acre Tract Road Requirement.
1.3 Default in Construction of 24 -Acre Tract Road Requirement. In the event that the
Developer has not started or completed construction of the 24 -Acre Tract Road Requirement
pursuant to the terms of this Agreement, then in such event, the City shall provide written notice
to the Developer, whereupon the Developer shall have thirty (30) days in order to cure such
default. In the event the default is not cured within said thirty (30) day period or within a
reasonable time thereafter, the City shall have the right, but not the obligation, to use the cash or
LOC in the City's possession pursuant to Section 1.2 above to cure such default and complete
the construction of the 24 -Acre Tract Road Requirement.
1.4 Installation of Traffic Signals.
1.4.1 Pursuant to the TIA, Developer shall contribute $19,800.00 for the installation of a
proposed traffic signal at the intersection of CR 112 and University Boulevard. This amount
shall be deposited with the City upon approval of the first final plat within Parcel 1 as described
in the PUD. The traffic signal will be installed by the City where the City determines that said
signal is warranted.
1.4.2 Pursuant to the TIA, Developer shall contribute $37,800.00 for the installation of a traffic
signal at the intersection of Sandy Brook Drive and University Boulevard. This amount shall be
deposited with the City upon approval of the first final plat within Parcel 1 as described in the
PUD. The traffic signal will be installed by the City where the City determines that said signal is
warranted.
1.4.3 Pursuant to the TIA, the Developer shall contribute $22,000.00 for the installation of a
traffic signal at the intersection of Seton Parkway and University Boulevard. This amount shall
be deposited with the City upon approval of the first final plat for Parcels 2, 3, or 4 as described
in the PUD. The traffic signal will be installed by the City when the City determines that said
signal is warranted.

ARTICLE II.
MISCELLANEOUS PROVISIONS
2.1 Recitals. The recitals contained in this Agreement: (a) are true and correct as of the
Effective Date; (b) form the basis upon which the parties negotiated and entered into this
Agreement; and (c) reflect the intent of the parties with regard to the subject matter of this
Agreement. If it becomes necessary to interpret any provision of this Agreement, the intent of
the parties hereof, as evidenced by the recitals, shall be given full effect. The parties have relied,
to their material detriment, upon the recitals as part of the consideration for entering into this
Agreement, and, but for the recitals, the parties would not have entered into this Agreement.
2.2 Term. The term of this Agreement shall be ten (10) years from the date of this Agreement.
2.3 Authority. The City represents and warrants that this Agreement has been approved by the
action of the City Council of the City in accordance with all applicable public meeting and public
notice requirements (including, but not limited to, notices required by the Texas Open Meetings
Act) and that the individual executing this Agreement on behalf of the City has been authorized
to do so. Developer represents and warrants that this Agreement has been approved by
appropriate action of Developer and that the individual executing this Agreement on behalf of
Developer has been authorized to do so.
2.4 No Third Party Beneficiaries. This Agreement only inures to the benefit of, and may
only be enforced by; Developer and the City. No other person or entity shall have any right, title,
or interest under this Agreement or otherwise be deemed to be a third -party beneficiary of this
Agreement.
2.5 Entire Agreement; Amendment; Severability. This Agreement supersedes all prior
discussions, agreements and understandings between Developer and the City and constitutes the
entire agreement between the Developer and the City with respect to the transaction herein
contemplated. This Agreement may be amended or modified only by a written instrument
executed by Developer and the City. If any term, covenant, condition, or provision of this
Agreement or the application thereof to any person or circumstance shall, at any time or to any
extent be invalid or unenforceable, the remainder of this Agreement, or the application of such
term or provision to persons or circumstances other than those to which it is held invalid or
unenforceable, shall not be affected thereby, and each provision of this Agreement shall be valid
and shall be enforced to the fullest extent permitted by law.
2.6 Notices. Any notice or other communication required by this Agreement to be given,
provided, or delivered to a party shall be in writing addressed to the parties as set forth below.
Notices shall be considered "given" for purposes of this Agreement: (a) if by Certified Mail, five
business days after deposited with the U.S. Postal Service, Certified Mail, Return Receipt
Requested; (b) if by private delivery service (e.g., FedEx or UPS), on the date delivered to the
notice address as evidenced by a receipt signed by any person at the notice address; (c) if by
FAX, when sent, or (d) if by any other means (including, but not limited to, e-mail if an email
address is provided below), when actually received by the party at the notice address. Each party
has the right to change, from time to time, its notice addresses by giving at least 10 days written
notice to the other parties. If any time period provided in this Agreement ends on a Saturday,

Sunday, or legal holiday, the period shall be extended to the first business day following such
Saturday, Sunday or legal holiday.

2.7 Time. Time is of the essence in the performance by the parties of their respective
obligations under this Agreement.
2.8 Applicable Law and Venue. This Agreement shall be interpreted in accordance with the
laws of the State of Texas. Venue shall be in Williamson County, Texas.
2.9 Non -Waiver. If a party fails to insist on strict performance of any provision of this
Agreement, such failure shall not be deemed a waiver by such party of its right to insist on strict
performance of such provision in the future or strict performance of any other provision of this
Agreement.
2.10 Binding Effect. This Agreement is a covenant running with the land and shall be binding
on all subsequent owners of all or any portion of the Property.
2.11 Governmental Powers; Waivers of Immunity. By its execution of this Agreement, the
City does not waive or surrender any of its governmental powers, immunities, or rights.
2.12 Assignment. Except as provided for in Section 1.2 of this Agreement, this Agreement may
not be assigned by Developer to a successor owner of the property without the express written
consent of the City.
2.13 Exhibits. The following exhibits are attached to this Agreement and are incorporated as
part of this Agreement for all purposes as if set forth in full in the body of this Agreement.

DEVELOPMENT AGREEMENT
THIS DEVELOPMENT AGREEMENT (this "Agreement") is executed between the City of
Round Rock, Texas, a political subdivision of the state of Texas (the "City") and SBB
Holdings, LP, a Texas limited partnership (the "Developer"), to be effective on this 234 day
of , 2008.
RECITALS:
WHEREAS, the Developer is the owner of a certain 98.19 acre tract of land located at the
southeast corner of the intersection of University Boulevard and Sandy Brook Drive in Round
Rock, Williamson County, Texas and more particularly described by metes and bounds in
Exhibit "A" attached hereto and incorporated herein (the "Property"); and
WHEREAS, a 73.52 acre portion of the Property is zoned subject to a Planned Unit
Development, recorded as Document No. in the Official Public Records of
Williamson County, Texas (the "PUD"); and
WHEREAS, the Developer has entered into a Purchase and Sale Agreement with Austin
Community College District ("ACC") in order to sell a portion of the Property containing
approximately 24.66 acres more particularly described on Exhibit "B" attached hereto and
incorporated herein (the "24 -Acre Tract"); and
WHEREAS, a Traffic Impact Analysis (the "TIA") prepared by the Developer indicates
that certain roadway improvements are necessary to develop the Property; and
WHEREAS, the Developer and the City by this Agreement, desire to memorialize their
respective obligations regarding such roadway and other improvements as relate to the PUD and
to the 24 -Acre Tract.
NOW THEREFORE, for the consideration of the provisions and the mutual agreements
set forth herein, the City and the Developer agree as follows:
ARTICLE I.
GENERAL PROVISIONS
1.1 Dedication of University Village Drive. The TIA requires the construction of a sixty-five
(65') foot wide north -south roadway as shown on Exhibit "C" attached hereto and incorporated
herein ("University Village Drive). University Village Drive shall be that portion that is within
the 24 -Acre Tract, including that portion that is contiguous to Parcel 3 and north of Zodiac Lane,
as shown as crosshatched on Exhibit "D" attached hereto (the "24 -Acre Tract Road
Requirement") shall be conveyed and dedicated by metes and bounds to the City by Developer
prior to or at the time of the conveyance of the 24 -Acre Tract. Notwithstanding the foregoing,
Developer shall have the right at anytime to transfer the Property, in whole or in part, including,
but not limited to, the 24 -Acre Tract, to an affiliated third party of Developer prior to the
conveyance and dedication of any portion of University Village Drive to the City.

1.2 Construction of University Village Drive. In order to assure completion of construction of the
24 -Acre Tract Road Requirement, Developer shall deposit with the City in the form of cash or a
Letter of Credit (the "LOC") acceptable to the City in an amount equal to 110% of the estimated
cost to construct the 24 -Acre Tract Road Requirement, said estimated cost to be determined by
the City after consultation with the Developer. The Letter of Credit shall be from a bank
approved by the City. Partial releases of said Letter of Credit shall be provided by the City
based upon previous city practices. The estimated cost to construct the 24 -Acre Tract Road
Requirement shall be submitted to the Developer within thirty (30) days after the date of this
Agreement and the Letter of Credit shall be deposited at the time of the conveyance of the 24
Acre Tract. The Developer shall commence construction of the 24 -Acre Tract Road
Requirement upon the earlier to occur of (i) 120 or more parking spaces being constructed on the
24 -Acre Tract, or (ii) when construction is started on any building located on the 24 -Acre Tract
that would require the issuance of a certificate of occupancy. Construction of the 24 -Acre Tract
Road Requirement must be completed within one year of commencement of said construction.
Upon completion of the construction by the Developer, and upon the City's approval and
acceptance of the 24 -Acre Tract Road Requirement, the City shall be obligated to maintain and
repair as necessary all portions of said 24 -Acre Tract Road Requirement.
1.3 Default in Construction of 24 -Acre Tract Road Requirement. In the event that the
Developer has not started or completed construction of the 24 -Acre Tract Road Requirement
pursuant to the terms of this Agreement, then in such event, the City shall provide written notice
to the Developer, whereupon the Developer shall have thirty (30) days in order to cure such
default. In the event the default is not cured within said thirty (30) day period or within a
reasonable time thereafter, the City shall have the right, but not the obligation, to use the cash or
LOC in the City's possession pursuant to Section 1.2 above to cure such default and complete
the construction of the 24 -Acre Tract Road Requirement.
1.4 Installation of Traffic Signals.
1.4.1 Pursuant to the TIA, Developer shall contribute $19,800.00 for the installation of a
proposed traffic signal at the intersection of CR 112 and University Boulevard. This amount
shall be deposited with the City upon approval of the first final plat within Parcel 1 as described
in the PUD. The traffic signal will be installed by the City where the City determines that said
signal is warranted.
1.4.2 Pursuant to the TIA, Developer shall contribute $37,800.00 for the installation of a traffic
signal at the intersection of Sandy Brook Drive and University Boulevard. This amount shall be
deposited with the City upon approval of the first final plat within Parcel 1 as described in the
PUD. The traffic signal will be installed by the City where the City determines that said signal is
warranted.
1.4.3 Pursuant to the TIA, the Developer shall contribute $22,000.00 for the installation of a
traffic signal at the intersection of Seton Parkway and University Boulevard. This amount shall
be deposited with the City upon approval of the first final plat for Parcels 2, 3, or 4 as described
in the PUD. The traffic signal will be installed by the City when the City determines that said
signal is warranted.

ARTICLE II.
MISCELLANEOUS PROVISIONS
2.1 Recitals. The recitals contained in this Agreement: (a) are true and correct as of the
Effective Date; (b) form the basis upon which the parties negotiated and entered into this
Agreement; and (c) reflect the intent of the parties with regard to the subject matter of this
Agreement. If it becomes necessary to interpret any provision of this Agreement, the intent of
the parties hereof, as evidenced by the recitals, shall be given full effect. The parties have relied,
to their material detriment, upon the recitals as part of the consideration for entering into this
Agreement, and, but for the recitals, the parties would not have entered into this Agreement.
2.2 Term. The term of this Agreement shall be ten (10) years from the date of this Agreement.
2.3 Authority. The City represents and warrants that this Agreement has been approved by the
action of the City Council of the City in accordance with all applicable public meeting and public
notice requirements (including, but not limited to, notices required by the Texas Open Meetings
Act) and that the individual executing this Agreement on behalf of the City has been authorized
to do so. Developer represents and warrants that this Agreement has been approved by
appropriate action of Developer and that the individual executing this Agreement on behalf of
Developer has been authorized to do so.
2.4 No Third Party Beneficiaries. This Agreement only inures to the benefit of, and may
only be enforced by; Developer and the City. No other person or entity shall have any right, title,
or interest under this Agreement or otherwise be deemed to be a third -party beneficiary of this
Agreement.
2.5 Entire Agreement; Amendment; Severability. This Agreement supersedes all prior
discussions, agreements and understandings between Developer and the City and constitutes the
entire agreement between the Developer and the City with respect to the transaction herein
contemplated. This Agreement may be amended or modified only by a written instrument
executed by Developer and the City. If any term, covenant, condition, or provision of this
Agreement or the application thereof to any person or circumstance shall, at any time or to any
extent be invalid or unenforceable, the remainder of this Agreement, or the application of such
term or provision to persons or circumstances other than those to which it is held invalid or
unenforceable, shall not be affected thereby, and each provision of this Agreement shall be valid
and shall be enforced to the fullest extent permitted by law.
2.6 Notices. Any notice or other communication required by this Agreement to be given,
provided, or delivered to a party shall be in writing addressed to the parties as set forth below.
Notices shall be considered "given" for purposes of this Agreement: (a) if by Certified Mail, five
business days after deposited with the U.S. Postal Service, Certified Mail, Return Receipt
Requested; (b) if by private delivery service (e.g., FedEx or UPS), on the date delivered to the
notice address as evidenced by a receipt signed by any person at the notice address; (c) if by
FAX, when sent, or (d) if by any other means (including, but not limited to, e-mail if an email
address is provided below), when actually received by the party at the notice address. Each party
has the right to change, from time to time, its notice addresses by giving at least 10 days written
notice to the other parties. If any time period provided in this Agreement ends on a Saturday,

Sunday, or legal holiday, the period shall be extended to the first business day following such
Saturday, Sunday or legal holiday.

2.7 Time. Time is of the essence in the performance by the parties of their respective
obligations under this Agreement.
2.8 Applicable Law and Venue. This Agreement shall be interpreted in accordance with the
laws of the State of Texas. Venue shall be in Williamson County, Texas.
2.9 Non -Waiver. If a party fails to insist on strict performance of any provision of this
Agreement, such failure shall not be deemed a waiver by such party of its right to insist on strict
performance of such provision in the future or strict performance of any other provision of this
Agreement.
2.10 Binding Effect. This Agreement is a covenant running with the land and shall be binding
on all subsequent owners of all or any portion of the Property.
2.11 Governmental Powers; Waivers of Immunity. By its execution of this Agreement, the
City does not waive or surrender any of its governmental powers, immunities, or rights.
2.12 Assignment. Except as provided for in Section 1.2 of this Agreement, this Agreement may
not be assigned by Developer to a successor owner of the property without the express written
consent of the City.
2.13 Exhibits. The following exhibits are attached to this Agreement and are incorporated as
part of this Agreement for all purposes as if set forth in full in the body of this Agreement.
