R -08-12-04-9B1 WHEREAS, the City of Round Rock has previously entered into an engagement letter with Brown McCarroll, L.L.P. for legal services for Certificate of Convenience and Necessity (CCN) issues, and WHEREAS, Brown McCarroll, L.L.P. has submitted Supplement No. 3 to the engagement letter to include continued efforts to obtain amendments to the original CCN amendment applications along with related CCN issues that may arise between now and October 31, 2009, and WHEREAS, the City Council desires to enter into said Supplement No. 3 to the engagement letter with Brown McCarroll, L.L.P., Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City Supplement No. 3 to the engagement letter with Brown McCarroll, L.L.P., a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. The City Council hereby finds and declares that written notice of the date, hour, place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended. ("the Firm"), and the City of Round Rock ("the City") dated June 15, 2007. The June 15th engagement letter specified that the Firm had been retained by the City to assist it on amending its Certificates of Convenience and Necessity ("CCNs") for water and sewer services. The scope of initial work on the project was to provide input on development of CCN amendment applications and conduct analyses of issues affecting the project and providing the City with an assessment of its likelihood of success. The budget for that initial work was not to exceed $30,000. The first supplement to the letter of engagement, dated November 13, 2007, involved preparation of the CCN amendment applications by an environmental consulting firm and review and input by the Firm on preparation, notification, submittal, and other issues associated with the applications. The environmental consulting firm chosen by staff for this project is HDR Engineering, Inc. ("HDR"). HDR's budget according to the first supplement was approximately $35,000, and the Firm's budget was $20,000. Accordingly, the budget for that phase of work on the project was not to exceed $55,000. The second supplement to the letter of engagement, dated March 12, 2008, involved continued preparation and completion of the CCN amendment applications by HDR and input by the Firm on preparation, notification, submittal, and other issues associated with the applications. HDR's budget for this phase was $22,262, and the Firm's budget was $24,325. Accordingly, the total budget for the second supplement phase of work on the project was not to exceed $46,587. This third supplement to the letter of engagement, dated October 17, 2008, involves current and continued efforts to obtain amendments to the original CCN amendment applications along with related CCN issues that may arise between now and October 31, 2009.
