WHEREAS, the City of Round Rock has previously entered into a
Planning Services Agreement ("Agreement") for consulting services
for transportation planning from The Goodman Corporation, and
WHEREAS, The Goodman Corporation has submitted Supplemental
Agreement No. 3 to the Agreement to provide a scope of services
change, and
WHEREAS, the City Council desires to enter into said
Supplemental Agreement No. 3 with The Goodman Corporation, Now
Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,
TEXAS,
That the Mayor is hereby authorized and directed to execute on
behalf of the City Supplemental Agreement No. 3 to the Planning
Services Agreement with The Goodman Corporation, a copy of same
being attached hereto as Exhibit "A" and incorporated herein for all
purposes.
The City Council hereby finds and declares that written notice
of the date, hour, place and subject of the meeting at which this
Resolution was adopted was posted and that such meeting was open to
the public as required by law at all times during which this
Resolution and the subject matter hereof were discussed, considered
and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

This Supplemental Agreement No. 3 to "Planning Services Agreement" is made by and between
the City of Round Rock, Texas (hereinafter called the "City"), and The Goodman Corporation
(hereinafter called "TGC").
VVHF,REAS, the City and TGC executed the referenced Agreement (hereinafter called the
"Agreement") on the 14th day of the month of February, 2008; and
WHEREAS, the City and TGC executed Supplemental Agreement No. 1 to provide a scope of
services change and add additional tees on the 27th day of the month of June, 2008; and
WHEREAS, the City and TGC executed Supplemental Agreement No. 2 to provide a scope of
services change and add additional fees on the 9th day of the month of January, 2009; and
WHEREAS, it has now become necessary to execute Supplemental Agreement No. 3 to provide
a scope of services change to the Agreement; and to add additional fees therefor to Exhibit "B" to the
Agreement;
NOW, THEREFORE, premises considered, the City and TGC agree that said Agreement is
amended as follows:

Supplemental Planning
Scope of Services
The Goodman Corporation (TGC) is pleased to provide ongoing transit planning and financial
strategy services to the City of Round Rock (City), in the following areas:
Task 1 Round Rock Park & Ride Operational Plan. Create a preliminary operating
plan, to include a demand analysis which will identify the number of
parking spaces required for the second park and ride, which is proposed for south
Round Rock. As a result of the demand analysis, create a layout that will
maximize parking spaces and will be the most efficient use of the property.
Determine the cost associated with development of the second park & ride
facility.
Deliverable: A final report documenting the Round Rock Park & Ride
Operational Analysis.
Task 2 Letter of No Prejudice (LONP). Prepare data, information and analysis to
support a LONP request to the FTA. The LONP will ensure dollars invested
towards the second park and ride, which is proposed for south Round Rock in
advance of federal funding, are credited toward the federal local share
requirement or used to leverage additional federal dollars. The LONP
documentation will also include an environmental categorical exclusion analysis
which shall include a review of potential environmental impacts covering over
twenty-five (25) separate environmental impact categories.
Deliverables: Develop and submit LONP package to FTA which will include a
site selection, mobility benefits analysis and a categorical exclusion analysis.
Task 3 Ongoing Grant Assistance. Provide grant preparation services that may include
strategy recommendations, meeting facilitation (if applicable), grant application
preparation and submittal (according to applicable requirements/deadlines),
ensure all Federal grant requirements are satisfied, track grant submissions
through the appropriate channels, clarifying details of the grant proposal to FTA
officials, prepare and/or submit any follow-up documentation requested by FTA
officials, and assisting with the City with the execution of an approved grant.
• Assist with FTA compliance requirements (e g. annual Certifications and
Assurances, DBE); quarterly grant management activities, including
Financial Status Reports (FSRs) & Milestones; create grant budget
amendments or revisions, including advising City staff regarding options;
and grant close out procedures. Create monthly grant status update
documents to aid the City in tracking the progress of the grants as they
relate to on-going projects.
• Depending on the complexities of individual projects/grant applications,
grant development and grant management activities may include travel to
FTA regional headquarters in Fort Worth to discuss or clarify project
details.
Deliverable: Entries (grant submittals, revision/amendments, etc.) in the
FTA TEAM database.
Task 4 Intergovernmental Assist City with the preparation of submittals for future
funding earmarks and advise regarding other potential funding resources to
support transit related projects.
•. Prepare request for FTA Section 5309 Discretionary funds to support the
Downtown Intermodal Transit and Parking Facility, the second park and
ride, which is proposed for south Round Rock, and the rail link during the
FY 2010 Appropriation process, which will begin in early 2009. The
pursuit of FTA Section 5309 and Federal Highway Administration
(FHWA) Surface Transportation Program (STP) funding may include
working with the City's Congressional delegation to secure funding
through annual appropriations.
• Assist the City with the development of data and documentation toward
the programming of potential projects (ex. second park and ride, which is
proposed for south Round Rock) for inclusion in the Capital Area
Metropolitan Planning Organization (CAMPO) Transportation
Improvement Program (TIP) and long-range Metropolitan Transportation
Plan (MTP).
Deliverable: Preparation and submittal of request for FTA Section 5309 and
FHWA STP funding during the FY 2010 Congressional Appropriations process.
Provide information as needed to support recommended projects for inclusion in
the TIP and MTP. Includes visit to Washington D.C. to brief Congress.
Task 5 Conceptual Design and Engineering Related to Round Rock Rail LinIc. Create
sufficient level of conceptual design and engineering to address potential impacts
and operational characteristics of the Round Rock Rail Link.
Deliverable: Conceptual design drawings and associated engineering report.

Background Information:
The City and The Goodman Corporation (TGC) executed a Planning Services Agreement on February 14,
2008, Supplemental Agreement No. 1 on June 27, 2008 and Supplemental Agreement No. 2 on January
9, 2009. The services provided under the agreement and supplemental agreements included developing
and implementing a Peak Hour Express Transit Service between Round Rock and the CMTA service area,
preparing the City's LONP amendment request to the Federal Transit Administration and facilitating
completion of a survey to aid in determining potential ridership demand for a proposed rail link from
Round Rock to the future CMTA Red Line commuter rail.
The transit planning services provided by TGC under this supplemental agreement are eligible for 80%
reimbursement from the Federal Government through the Interlocal Agreement with CMTA, which was
approved by Council on November 13, 2008 and the CMTA Board on December 10, 2008.
