R -10-11-23-11A1 WHEREAS, the City desires to purchase certain property interests necessary for the Chisholm Trail Road Improvement Project, and said tracts are described as follows ("Property"): All of that certain 15.0790 acre tract of land (Parcel 19, Part 5); Access easement in and across of that certain 0.0205 acre tract of land (Parcel 19E, Part 1); Public utility easement and slope easement interest in and to that certain 0.6326 acre tract of land (Parcel 19E, Part 6B); Temporary construction easement interest in and across that certain 0.2138 acre tract of land (Parcel 19E, Part 7); Drainage easement interest in and across that certain 0.6745 acre tract of land (Parcel 19E, Part 5); and temporary construction easement interest for offsite grading in and across that certain 1.0422 acre and approximately 1.113 acre tract of land (Parcel 19E, Part 10 & Area 1), and WHEREAS, Chisholm Trail Developers Venture, Ltd., the owner of the Property, has agreed to sell said Property to the City, Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City a Real Estate Contract with Chisholm Trail Developers Venture, Ltd., for the purchase of the above described Property, a copy of said Real Estate Contract being attached hereto as Exhibit "A" and incorporated herein for all purposes. WHITE, City Secretary REAL ESTATE CONTRACT Chisholm Trail Road Improvement Project State of Texas County of Williamson EXHIBIT IIA„ THIS REAL ESTATE CONTRACT ("Contract") is made by and between CHISHOLM TRAIL DEVELOPERS VENTURE, LTD., a Texas limited partnership, (referred to in this Contract as "Seller", whether one or more) and the CITY OF ROUND ROCK, TEXAS (referred to in this Contract as "Purchaser"), upon the terms and conditions set forth in this Contract. CTD(19)--final purchase contract (DC 11-5-10 clean) (00207627).DOC Temporary construction easement interest for offsite grading in and across that certain 1.0422 acre and approximately 1.113 acre tract of land, more or less, both situated in the David Curry Survey, Abstract No. 130, in Williamson County, Texas; being more fully described on the sketch as shown in Exhibit "F" and Exhibit "G', attached hereto and incorporated herein (Parcel 19E, Part 10 & Area 1). This purchase also includes any improvements and fixtures situated on and attached to the Property described in Exhibit "A" which are not removed by Seller, for the consideration and upon and subject to the terms, provisions, and conditions set forth below. ARTICLE II PURCHASE PRICE Amount of Purchase Price 2.01. The purchase price for the Property described in Exhibit "A" shall be the sum of SIX HUNDRED THOUSAND THIRTY NINE and 00/100 Dollars ($600,039.00). 2.01.1. The purchase price for the property interests described in Exhibit "B" shall be the sum of TWELVE THOUSAND FOUR HUNDRED NINETY NINE and 00/100 Dollars ($12, 499.00). 2.01.2. The purchase price for the property interests described in Exhibits "C -D" shall be the sum of FIFTY FIVE THOUSAND ONE HUNDRED THIRTY FOUR and 00/100 Dollars ($55,134.00). 2.01.3. The property interests described in Exhibits "E -G" shall be donated to Purchaser by Seller. Out of the total Purchase Price amount of $667,672.00 Purchaser has previously paid the amount of $50,000.00 in connection with a Possession and Use Agreement for portions of the Property sought herein, leaving a balance of $617,672.00 now due and owing to Seller at closing. Payment of Purchase Price 2.02. The Purchase Price shall be payable in cash at the closing. 2 Special Provisions 2.03. As an obligation which shall survive the closing of this transaction, Purchaser agrees to construct a driveway between the proposed Chisholm Trail Road improvements and the remaining property of Seller at approximately Station 68+75R of the roadway project. The paved driveway improvements shall terminate at the new Chisholm Trail Road right of way line, and shall otherwise be constructed in substantial compliance with any notes or specifications as shown on the plan sheet attached hereto as Exhibit "H". Seller agrees to provide any necessary temporary construction easement to Purchaser or its contractors necessary to carry out the obligations of this paragraph. ARTICLE III PURCHASER'S OBLIGATIONS Conditions to Purchaser's Obligations 3.01. The obligations of Purchaser hereunder to consummate the transactions contemplated hereby are subject to the satisfaction of each of the following conditions (any of which may be waived in whole or in part by Purchaser at or prior to the closing.). Preliminary Title Commitment 3.02. Purchaser, at Purchaser's sole cost and expense, has caused the Texas American Title Company, ("Title Company") to issue a preliminary title report (the "Title Commitment") accompanied by copies of all recorded documents relating to easements, rights-of-way, etc., affecting the Property. In the event that title to the property is not satisfactory to Purchaser, after notice of such unsatisfactory condition Seller shall provide Purchaser with any assistance reasonably requested as necessary to eliminate or modify such matters. Survey 3.03. Purchaser, at Purchaser's expense, has caused to be delivered a current plat of survey of the Property, prepared by a duly licensed Texas land surveyor. Miscellaneous Conditions 3.04. Seller shall have performed, observed, and complied with all of the covenants, agreements, and conditions required by this Contract to be performed, observed, and complied with by Seller prior to or as of the closing. 3 ARTICLE IV REPRESENTATIONS AND WARRANTIES OF SELLER Seller hereby represents and warrants to Purchaser as follows, which representations and warranties shall be deemed made by Seller to Purchaser also as of the closing date, to the best of Seller's current actual knowledge: (1) There are no parties in possession of any portion of the Property as lessees, tenants at sufferance, or trespassers, other than as previously disclosed; (2) Seller has complied with all applicable laws, ordinances, regulations, statutes, rules and restrictions relating to the Property, or any part thereof. The Property herein is being conveyed to Purchaser under threat of condemnation. ARTICLE V CLOSING Closing Date 5.01. The closing shall be held at the Title Company on or before December 15, 2010, or at such time, date, and place as Seller and Purchaser may agree upon, or within 10 days after the completion of any title curative matters if necessary for items as shown on the Title Commitment (which date is herein referred to as the "closing date"). Seller's Obligations at Closing 5.02. At the closing Seller shall: (1) Deliver to Purchaser a duly executed and acknowledged Special Warranty Deed conveying good and indefeasible title to all of the Property as shown in Exhibit "A", deliver a duly executed access easement in and across the portion of the Property shown in Exhibit "B", deliver a duly executed public utility easement and slope easement in and across the portion of the Property shown in Exhibit "C", deliver a duly executed temporary construction easement in and across the portion of the Property shown in Exhibit "D", deliver a duly executed drainage easement in and across the portion of the Property shown in Exhibit "E", and deliver a duly executed temporary construction easement for offsite grading in and across the portion of the property shown in Exhibits "F" and "G", all free and clear of any and all liens and encumbrances, except for the following: (a) General real estate taxes for the year of closing and subsequent years not yet due and payable; 4 (b) Any exceptions approved by Purchaser pursuant to Article III hereof; and (c) Any exceptions approved by Purchaser in writing. The form of the deed shall be as shown in Exhibit "I" attached hereto. The form of the access easement shall be as shown in Exhibit "J" attached hereto. The form of the public utility easement shall be as shown in Exhibit "K" attached hereto. The slope easement shall be as shown in Exhibit "L" attached hereto. The form of the drainage easement shall be as shown in Exhibit "M" attached hereto. The form of the temporary construction easement for offsite grading shall be as shown in Exhibit "N" attached hereto. The form of the temporary construction easement for adjacent road and utility work shall be as shown in Exhibit "0" attached hereto. (2) If requested, deliver to Purchaser a Texas Owner's Title Policy at Purchaser's sole expense, issued by Title Company, in Purchaser's favor in the full amount of the purchase price, insuring Purchaser's drainage easement interest to the Property subject only to those title exceptions listed herein, such other exceptions as may be approved in writing by Purchaser, and the standard printed exceptions contained in the usual form of Texas Owner's Title Policy, provided, however: (a) The boundary and survey exceptions shall be deleted; (b) The exception as to restrictive covenants shall be endorsed "None of Record", if applicable; and (c) The exception as to the lien for taxes shall be limited to the year of closing and shall be endorsed "Not Yet Due and Payable." (3) Deliver to Purchaser possession of the Property if not previously done. Purchaser's Obligations at Closing 5.03. At the Closing, Purchaser shall pay the cash portion of the purchase price. Prorations 5.04. If required, general real estate taxes for the then current year relating to the Property shall be prorated as of the closing date and shall be adjusted in cash at the closing. If the closing shall occur before the tax rate is fixed for the then current year, the apportionment of taxes shall be upon the basis of the tax rate for the next preceding year applied to the latest assessed valuation. All special taxes or assessments to the closing date shall be paid by Seller. Agricultural roll -back taxes, if any, shall be paid by Purchaser. 5 Closing Costs 5.05. All costs and expenses of closing in consummating the sale and purchase of the Property shall be borne and paid as follows: (1) Owner's Title Policy and survey to be paid by Purchaser. (2) Deed, tax certificates, and title curative matters, if any, paid by Purchaser. (3) All other closing costs shall be paid by Purchaser. (4) Attorney's fees paid by each respectively. ARTICLE VI BREACH BY SELLER In the event Seller shall fail to fully and timely perform any of its obligations hereunder or shall fail to consummate the sale of the Property for any reason, except Purchaser's default, Purchaser may: (1) enforce specific performance of this Contract; or (2) request that the Escrow Deposit, if any, shall be forthwith returned by the title company to Purchaser. ARTICLE VII BREACH BY PURCHASER In the event Purchaser should fail to consummate the purchase of the Property, the conditions to Purchaser's obligations set forth in Article III having been satisfied and Purchaser being in default and Seller not being in default hereunder, Seller shall have the right to receive the amount of FIVE HUNDRED and 00/100 Dollars ($500.00) from the Purchaser, the sum being agreed on as liquidated damages for the failure of Purchaser to perform the duties, liabilities, and obligations imposed upon it by the terms and provisions of this Contract, and Seller agrees to accept and take this cash payment as its total damages and relief and as Seller's sole remedy hereunder in such event. ARTICLE VIII SPECIAL PROVISIONS The City agrees that Grantor, its successors and assigns, has the right to modify the 100 - year ultimate flood plain by excavation, placement of embankment, and/or channelization in conjunction with future regulated development activities on the property currently owned by the Grantor abutting Chisholm Trail (or a successor name) after Grantor, its successors and assigns, provides engineered flood plain studies supporting said modifications to the Grantee's City Engineer for his/her approval, which studies adhere to all other local, state and federal regulations. 6 Grantor, its successors and assigns, shall not be required to dedicate any additional public utility easements which are approximately parallel and immediately adjacent to Chisholm Trail Road (or a successor name) from property currently owned by Grantor abutting Chisholm Trail (or a successor name). Grantee agrees to install temporary fencing for the drainage easement along the east side of Chisholm Trail which is required to prevent livestock from escaping during the construction period. Grantor and Grantee have previously entered into agreements regarding Chisholm Trail. These agreements include: AGREEMENT REGARDING STORMWATER SYSTEM AND DEDICATION OF RIGHT- OF-WAY FOR PUBLIC IMPROVEMENTS, filed of record in document No. 2003093097 on September 22, 2003, in the Williamson County Real Property Records; AGREEMENT REGARDING CONSTRUCTION OF STORMWATER SYSTEM IMPROVEMENTS effective June 24, 1999; and AGREEMENT REGARDING CONSTRUCTION OF DRAINAGE IMPROVEMENTS effective January 11, 1996. Both parties agree that the three prior agreements shall remain in full force and effect. Any conflicts between the three prior agreements and this agreement and its related documents, are specific to this Chisholm Trail widening project and shall not be interpreted as amending or changing in any manner the three prior agreements lists above. MISCELLANEOUS Notice 8.01. Any notice required or permitted to be delivered hereunder shall be deemed received when sent by United States mail, postage prepaid, certified mail, return receipt requested, addressed to Seller or Purchaser, as the case may be, at the address set forth opposite the signature of the party. Texas Law to Apply 8.02. This Contract shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the parties created hereunder are performable in Williamson County, Texas. 7 Parties Bound 8.03. This Contract shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, legal representatives, successors and assigns where permitted by this Contract. Legal Construction 8.04. In case any one or more of the provisions contained in this Contract shall for any reason be held to be invalid, illegal, or unenforceable in any respect, this invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this Contract shall be construed as if the invalid, illegal, or unenforceable provision had never been contained herein. Prior Agreements Superseded 8.05. This Contract constitutes the sole and only agreement of the parties and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter. Time of Essence 8.06. Time is of the essence in this Contract. Gender 8.07. Words of any gender used in this Contract shall be held and construed to include any other gender, and words in the singular number shall be held to include the plural, and vice versa, unless the context requires otherwise. Memorandum of Contract 8.08. Upon request of either party, both parties shall promptly execute a memorandum of this Contract suitable for filing of record. Compliance 8.09 In accordance with the requirements of Section 20 of the Texas Real Estate License Act, Purchaser is hereby advised that it should be furnished with or obtain a policy of title insurance or Purchaser should have the abstract covering the Property examined by an attorney of Purchaser's own selection. Survival of Closing 8.10 The terms of this agreement shall survive the closing and continue to be of force and effect until mutually terminated by the parties or their successors. 8 Effective Date 8.11 This Contract shall be effective as of the date it is approved by the City of Round Rock, which date is indicated beneath the City's signature below. The purchase price for the property interests described in Exhibit "B" shall be the sum of TWELVE THOUSAND FOUR HUNDRED NINETY NINE and 00/100 Dollars ($12, 499.00). 2.01.2. The purchase price for the property interests described in Exhibits "C -D" shall be the sum of FIFTY FIVE THOUSAND ONE HUNDRED THIRTY FOUR and 00/100 Dollars ($55,134.00). 2.01.3. The property interests described in Exhibits "E -G" shall be donated to Purchaser by Seller. Out of the total Purchase Price amount of $667,672.00 Purchaser has previously paid the amount of $50,000.00 in connection with a Possession and Use Agreement for portions of the Property sought herein, leaving a balance of $617,672.00 now due and owing to Seller at closing. Payment of Purchase Price 2.02. The Purchase Price shall be payable in cash at the closing. 2 Special Provisions 2.03. As an obligation which shall survive the closing of this transaction, Purchaser agrees to construct a driveway between the proposed Chisholm Trail Road improvements and the remaining property of Seller at approximately Station 68+75R of the roadway project. The paved driveway improvements shall terminate at the new Chisholm Trail Road right of way line, and shall otherwise be constructed in substantial compliance with any notes or specifications as shown on the plan sheet attached hereto as Exhibit "H". Seller agrees to provide any necessary temporary construction easement to Purchaser or its contractors necessary to carry out the obligations of this paragraph. ARTICLE III PURCHASER'S OBLIGATIONS Conditions to Purchaser's Obligations 3.01. The obligations of Purchaser hereunder to consummate the transactions contemplated hereby are subject to the satisfaction of each of the following conditions (any of which may be waived in whole or in part by Purchaser at or prior to the closing.). Preliminary Title Commitment 3.02. Purchaser, at Purchaser's sole cost and expense, has caused the Texas American Title Company, ("Title Company") to issue a preliminary title report (the "Title Commitment") accompanied by copies of all recorded documents relating to easements, rights-of-way, etc., affecting the Property. In the event that title to the property is not satisfactory to Purchaser, after notice of such unsatisfactory condition Seller shall provide Purchaser with any assistance reasonably requested as necessary to eliminate or modify such matters. Survey 3.03. Purchaser, at Purchaser's expense, has caused to be delivered a current plat of survey of the Property, prepared by a duly licensed Texas land surveyor. Miscellaneous Conditions 3.04. Seller shall have performed, observed, and complied with all of the covenants, agreements, and conditions required by this Contract to be performed, observed, and complied with by Seller prior to or as of the closing. 3 ARTICLE IV REPRESENTATIONS AND WARRANTIES OF SELLER Seller hereby represents and warrants to Purchaser as follows, which representations and warranties shall be deemed made by Seller to Purchaser also as of the closing date, to the best of Seller's current actual knowledge: (1) There are no parties in possession of any portion of the Property as lessees, tenants at sufferance, or trespassers, other than as previously disclosed; (2) Seller has complied with all applicable laws, ordinances, regulations, statutes, rules and restrictions relating to the Property, or any part thereof. The Property herein is being conveyed to Purchaser under threat of condemnation. ARTICLE V CLOSING Closing Date 5.01. The closing shall be held at the Title Company on or before December 15, 2010, or at such time, date, and place as Seller and Purchaser may agree upon, or within 10 days after the completion of any title curative matters if necessary for items as shown on the Title Commitment (which date is herein referred to as the "closing date"). Seller's Obligations at Closing 5.02. At the closing Seller shall: (1) Deliver to Purchaser a duly executed and acknowledged Special Warranty Deed conveying good and indefeasible title to all of the Property as shown in Exhibit "A", deliver a duly executed access easement in and across the portion of the Property shown in Exhibit "B", deliver a duly executed public utility easement and slope easement in and across the portion of the Property shown in Exhibit "C", deliver a duly executed temporary construction easement in and across the portion of the Property shown in Exhibit "D", deliver a duly executed drainage easement in and across the portion of the Property shown in Exhibit "E", and deliver a duly executed temporary construction easement for offsite grading in and across the portion of the property shown in Exhibits "F" and "G", all free and clear of any and all liens and encumbrances, except for the following: (a) General real estate taxes for the year of closing and subsequent years not yet due and payable; 4 (b) Any exceptions approved by Purchaser pursuant to Article III hereof; and (c) Any exceptions approved by Purchaser in writing. The form of the deed shall be as shown in Exhibit "I" attached hereto. The form of the access easement shall be as shown in Exhibit "J" attached hereto. The form of the public utility easement shall be as shown in Exhibit "K" attached hereto. The slope easement shall be as shown in Exhibit "L" attached hereto. The form of the drainage easement shall be as shown in Exhibit "M" attached hereto. The form of the temporary construction easement for offsite grading shall be as shown in Exhibit "N" attached hereto. The form of the temporary construction easement for adjacent road and utility work shall be as shown in Exhibit "0" attached hereto. (2) If requested, deliver to Purchaser a Texas Owner's Title Policy at Purchaser's sole expense, issued by Title Company, in Purchaser's favor in the full amount of the purchase price, insuring Purchaser's drainage easement interest to the Property subject only to those title exceptions listed herein, such other exceptions as may be approved in writing by Purchaser, and the standard printed exceptions contained in the usual form of Texas Owner's Title Policy, provided, however: (a) The boundary and survey exceptions shall be deleted; (b) The exception as to restrictive covenants shall be endorsed "None of Record", if applicable; and (c) The exception as to the lien for taxes shall be limited to the year of closing and shall be endorsed "Not Yet Due and Payable." (3) Deliver to Purchaser possession of the Property if not previously done. Purchaser's Obligations at Closing 5.03. At the Closing, Purchaser shall pay the cash portion of the purchase price. Prorations 5.04. If required, general real estate taxes for the then current year relating to the Property shall be prorated as of the closing date and shall be adjusted in cash at the closing. If the closing shall occur before the tax rate is fixed for the then current year, the apportionment of taxes shall be upon the basis of the tax rate for the next preceding year applied to the latest assessed valuation. All special taxes or assessments to the closing date shall be paid by Seller. Agricultural roll -back taxes, if any, shall be paid by Purchaser. 5 Closing Costs 5.05. All costs and expenses of closing in consummating the sale and purchase of the Property shall be borne and paid as follows: (1) Owner's Title Policy and survey to be paid by Purchaser. (2) Deed, tax certificates, and title curative matters, if any, paid by Purchaser. (3) All other closing costs shall be paid by Purchaser. (4) Attorney's fees paid by each respectively. ARTICLE VI BREACH BY SELLER In the event Seller shall fail to fully and timely perform any of its obligations hereunder or shall fail to consummate the sale of the Property for any reason, except Purchaser's default, Purchaser may: (1) enforce specific performance of this Contract; or (2) request that the Escrow Deposit, if any, shall be forthwith returned by the title company to Purchaser. ARTICLE VII BREACH BY PURCHASER In the event Purchaser should fail to consummate the purchase of the Property, the conditions to Purchaser's obligations set forth in Article III having been satisfied and Purchaser being in default and Seller not being in default hereunder, Seller shall have the right to receive the amount of FIVE HUNDRED and 00/100 Dollars ($500.00) from the Purchaser, the sum being agreed on as liquidated damages for the failure of Purchaser to perform the duties, liabilities, and obligations imposed upon it by the terms and provisions of this Contract, and Seller agrees to accept and take this cash payment as its total damages and relief and as Seller's sole remedy hereunder in such event. ARTICLE VIII SPECIAL PROVISIONS The City agrees that Grantor, its successors and assigns, has the right to modify the 100 - year ultimate flood plain by excavation, placement of embankment, and/or channelization in conjunction with future regulated development activities on the property currently owned by the Grantor abutting Chisholm Trail (or a successor name) after Grantor, its successors and assigns, provides engineered flood plain studies supporting said modifications to the Grantee's City Engineer for his/her approval, which studies adhere to all other local, state and federal regulations. 6 Grantor, its successors and assigns, shall not be required to dedicate any additional public utility easements which are approximately parallel and immediately adjacent to Chisholm Trail Road (or a successor name) from property currently owned by Grantor abutting Chisholm Trail (or a successor name). Grantee agrees to install temporary fencing for the drainage easement along the east side of Chisholm Trail which is required to prevent livestock from escaping during the construction period. Grantor and Grantee have previously entered into agreements regarding Chisholm Trail. These agreements include: AGREEMENT REGARDING STORMWATER SYSTEM AND DEDICATION OF RIGHT- OF-WAY FOR PUBLIC IMPROVEMENTS, filed of record in document No. 2003093097 on September 22, 2003, in the Williamson County Real Property Records; AGREEMENT REGARDING CONSTRUCTION OF STORMWATER SYSTEM IMPROVEMENTS effective June 24, 1999; and AGREEMENT REGARDING CONSTRUCTION OF DRAINAGE IMPROVEMENTS effective January 11, 1996. Both parties agree that the three prior agreements shall remain in full force and effect. Any conflicts between the three prior agreements and this agreement and its related documents, are specific to this Chisholm Trail widening project and shall not be interpreted as amending or changing in any manner the three prior agreements lists above. MISCELLANEOUS Notice 8.01. Any notice required or permitted to be delivered hereunder shall be deemed received when sent by United States mail, postage prepaid, certified mail, return receipt requested, addressed to Seller or Purchaser, as the case may be, at the address set forth opposite the signature of the party. Texas Law to Apply 8.02. This Contract shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the parties created hereunder are performable in Williamson County, Texas. 7 Parties Bound 8.03. This Contract shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, legal representatives, successors and assigns where permitted by this Contract. Legal Construction 8.04. In case any one or more of the provisions contained in this Contract shall for any reason be held to be invalid, illegal, or unenforceable in any respect, this invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this Contract shall be construed as if the invalid, illegal, or unenforceable provision had never been contained herein. Prior Agreements Superseded 8.05. This Contract constitutes the sole and only agreement of the parties and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter. Time of Essence 8.06. Time is of the essence in this Contract. Gender 8.07. Words of any gender used in this Contract shall be held and construed to include any other gender, and words in the singular number shall be held to include the plural, and vice versa, unless the context requires otherwise. Memorandum of Contract 8.08. Upon request of either party, both parties shall promptly execute a memorandum of this Contract suitable for filing of record. Grantee also certifies that all drainage facilities, storm sewer lines, and/or culverts constructed downstream of the easement as part of the Grantee's Chisholm Trail Reconstruction/Chisholm Parkway Extension project are sized and constructed to convey the fully -developed, undetained 100 year storm water runoff from the same thirty nine (39) acre upstream drainage basin from the easement to Onion Creek with the assumptions of eighty (80) percent impervious coverage and a time of concentration of five (5) minutes for the drainage basin.
