R -11-02-24-11B1 WHEREAS, the City of Round Rock has previously entered into an Agreement for Provision of Employee Benefit Consulting Services with Holmes Murphy & Associates regarding the City's benefit programs ("Agreement"), and WHEREAS, Holmes Murphy & Associates has submitted Supplemental Agreement No. 2 to extend the Agreement by renewal, and WHEREAS, the City Council desires to enter into said Supplemental Agreement No. 2 with Holmes Murphy & Associates, Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental Agreement No. 2 to the Agreement for Provision of Employee Benefit Consulting Services with Holmes Murphy & Associates, Inc., a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. The City Council hereby finds and declares that written notice of the date, hour, place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551, Texas Government Code, as amended. WHEREAS, City and Consultant executed the original Agreement (hereinafter referred to as the "Agreement") on the 12th day of February, 2009; and WHEREAS, City and Consultant executed Supplemental Agreement No. 1 on the 25th day of February, 2010, which extended the original Agreement for the first allowable renewal period; and WHEREAS, it has become necessary to again extend the original Agreement for the second and final allowable renewal period: NOW THEREFORE, premises considered, City and Consultant agree that the original Agreement is amended as follows: Section 1.01 shall. be amended as follows: A. This Agreement shall be effective on the date this Agreement has been signed by every party hereto, and shall remain in full force and effect unless and until it expires by operation of the term indicated herein, or is terminated or extended as provided herein. 213370/jkg B. The initial term of this Agreement shall be for one (1) twelve-month period from the effective date. For purposes hereof, the effective date means the date upon which the binding signature of both parties to this Agreement are affixed. C. At City's option, this Agreement may be renewed for a maximum of two (2) additional periods of time not to exceed twelve (12) months for each renewal. This Supplemental Agreement No. 2 embodies the second and final renewal of twelve (12) months, following the expiration of the original tertn of twelve (12) months and following the first renewal term of twelve (12) months, and this Supplemental Agreement No. 2 extends the original Agreement as to time only with no other changes in terns or conditions of the original Agreement. D. City reserves the right to review Consultant's performance at any time during the initial term or any renewal period, and may elect to terminate this Agreement with or without cause or may elect to continue.
