ARTIST'S AGREEMENT WITH
DORAMY MEDIA. LLC
F/S/O NEXT TOWN DOWN
This Agreement is by and between the City of Round Rock (hereinafter referred to as
"City"), whose address is 221 East Main Street, Round Rock, Texas 78664, and Doramy Media,
LLC F/S/O "Next Town Down" (hereinafter referred to "Artist"), whose address is 1040
Meadowbrook Avenue, Los Angeles 90019.
RECITALS:
WHEREAS, City has determined that it has a need to contract for the performance
services of Artist; and
WHEREAS, the parties desire to enter into this Agreement to set forth in writing their
respective rights, duties and obligations hereunder,
NOW, THEREFORE, WITNESSETH:
That for and in consideration of the mutual promises contained herein and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, it is
mutually agreed by and between the parties as follows:
1. Show Details
A. Artist agrees to perform at the City's Round Rock Juncteenth Festival on
June 16, 2018, at 3300 East Palm Valley Boulevard, Round Rock, Texas,
pursuant to the terms set forth herein.
B. The time of the Show shall be determined by the City and communicated
to Artist as soon as the time is determined.
C. Artist shall have the sole and exclusive control over the production,
presentation, and performance of the Show.
Compensation
A. In consideration for the services to be performed Artist, City agrees to pay
Artist a total sum not to exceed Six Thousand Five Hundred and No/100
Dollars ($6,500.00), in full payment for the services delineated herein.
B. Payment shall be made by City to Artist in U.S. funds by City of Round
Rock check as follows: Three Thousand Two Hundred Fifty and No/100

Dollars ($3,250.00) shall be paid to Artist by May 16, 2018. The
remaining balance of Three Thousand Two Hundred Fifty and No/100
Dollars ($3,250.00) immediately prior to the performance on June 16,
2018.
C. The monetary compensation set forth above, shall be paid as set forth in
Exhibit "A" which document is attached hereto and incorporated herein
by reference for all purposes.
3. Cancellation of Agreement
A. This Agreement may be cancelled with all obligations extinguished
including the duty of City to pay compensation, as follows:
1. By Artist for reasons of his own, with or without cause, and not
subject to the mutual consent of any other party, such written
cancellation notice to be given to the other party not less than
thirty (30) days prior to the performance date of the engagement
hereunder.
2. By City for reasons of its own, with or without cause, and not
subject to the mutual consent of any other party, such written
cancellation notice to be given to the other party not less than thirty
(30) days prior to the performance date of the engagement
hereunder.
By mutual agreement and consent of the parties, such consent to be
in writing.
B. Proper cancellation by any party shall extinguish all rights, duties, and
obligations of City and the other party to fulfill contractual obligations.
4. Independent Contractor Status
Artist is an independent contractor, and is not City's employee. This Agreement does not
create a partnership relationship, employer/employee relationship, joint venture relationship,
principal/agent relationship, or any other relationship of similar kind, and no party shall represent
itself to third parties as having such relationship.
Reproduction of Performance
City shall not record or permit others to record, broadcast, televise, photograph or
otherwise reproduce the visual and/or audio performance.
6. Rielit to Likeness
Artist's name or likeness may not be used as an endorsement of any product or service
nor in connection with any commercial tie-up without Artist's prior written consent from Artist's
management.
7. Assi2nment and Delegation
No party may assign any rights or delegate any duties under this Agreement without the
other party's express prior written approval.
S. Payment of Taxes
A. Artist shall pay all income taxes, and FICA (Social Security and
Medicare taxes) incurred while performing services under this
Agreement. City will not:
I . Withhold FICA from Artist's payment or make payments on its
behalf;
2. Make state and/or federal unemployment compensation
contributions on Artist's behalf, or
3. Withhold state or federal income tax from Artist's payment.
S. If requested, City shall provide Artist with a certificate from the Texas
State Comptroller indicating that City is a non-profit corporation and not
subject to State of Texas Sales and Use Tax.
9. Notices
A. All notices and other communications in connection with this Agreement
shall be in writing and shall be considered given as follows:
1. When delivered personally to the recipient's address as stated in
this Agreement; or
2. Three (3) days after being deposited in the U.S. mail, postage
prepaid, to the recipient's address as stated herein.

B. Nothing contained in this section shall be construed to restrict the
transmission of routine communications between representatives of City
and Artist.
10. AARplicable Law
The laws of the State of Texas shall govern this Agreement.
11. Exclusive Agreement
The terms and conditions of this Agreement, including all exhibits, constitute the entire
agreement of the parties and supersede all previous communications, representations and
agreements, either written or oral, with respect to the subject matter hereof. No modifications of
this Agreement will be binding on the parties unless acknowledged in writing by the duly
authorized governing body or representative for each party.
12. Audio or Visual Reproduction
No part, portion, or segment of Producer/Artist's performance shall be reproduced by
City using either audio or visual means without prior written consent of Producer/Artist.
13. Right to Sell Merchandise Items
A. Artist shall have the right to sell various legal merchandise items at a
suitable place or places within the venue or place of engagement, as

indicated by representatives of City. City shall receive no commission on
the sale of such items.
B. City shall not knowingly allow unauthorized merchandisers to conduct
business within the venue or place of engagement.
14. Jurisdiction and Venue
This Agreement shall be governed by the laws of the State of Texas, and exclusive
jurisdiction and venue shall lie in Williamson County, Texas. The parties expressly understand
and agree that there shall be no requirements or provisions for mediation or arbitration prior to
seeking redress in the courts of Williamson County, Texas.
15. Liabili
City assumes responsibility for payment of costs, expenses, charges, claims, losses,
liabilities, and damages related to the subject matter of this Agreement only if and when such
specific liability is imposed upon City by a finding of negligence in the appropriate court of law.
I6. Insurance
City warrants that it has complete and adequate general liability insurance relative to
potential third -party claims arising from performance of the subject matter hereof.
It is expressly understood and agreed by and between the parties hereto that City will not
provide insurance coverage, including but not limited to health, accident or worker's
compensation coverage, for the Artist, its agents, employees, volunteers, members of the
performing group, or anyone similarly situated, and that City will not provide insurance coverage
for any musical instruments, equipment or vehicles.
17. Indemnification
Artist and City each agree to indemnify, defend and hold harmless the other from and
against amounts payable under any judgment, verdict, court order or settlement for death or
bodily injury or the damage to or loss or destruction of any real or tangible property to the extent
arising out of the other party's negligence in the performance of this Agreement.
18. Sickness or Accident
In the event of sickness or if accident to Artist beyond the control of Artist, it is
understood and agreed that there shall be no claim for damages by City and Artist's obligations
as to such performance shall be waived by City, so long as Artist gives immediate notice of
sickness or accident to City.
19. Force Majeure
For purposes of this Agreement, `force majeure" means an act of terror committed within
the United States of America that materially impairs business operations; a prolonged and
unforeseen strike, riot, or occurrence of civil disobedience that materially impairs business
operations; a prolonged and unforeseen shortage of fuel, labor, or material; delay related to or
caused by a severe weather event, such as a tornado, a hurricane, or flooding; interruption of
utilities; fire or other casualty; or any other act of God beyond City's or Artist's reasonable
control, which could not be avoided by the exercise of due care.
20. Inclement Weather
Notwithstanding anything contained herein to the contrary, inclement weather shall not
be deemed to be a force majeure occurrence. City shall determine in good faith whether any
such inclement weather conditions shall render the performance impossible, hazardous or unsafe.
IN WITNESS WHEREOF, the parties have executed this Agreement in duplicate
originals on this theZ day of the month of April, 2018.

Artist: Next Town Down
1. Purchaser shall not and shall not authorize any third party to record, broadcast, televise, photograph or otherwise reproduce the audio, visual
and/or audio-visual performance, in whole or in part, rendered by Artist hereunder. If Purchaser televises the performance hereunder on a jumbo -
Iron or similar scraon during Artist's performance, then any and all lopes or other recordings — physical, digital or other — created for purposes of
such real-time broadcast, shell be surrendered by Purchaser to Artist at the completion of Artist's performance.
2. Artist shall have the exclusive right to sell souvenir programs, photographs, records and any and all types of Artist merchandise Including, but not
limited to, articles of clothing (i.e.. t -shirts, hats, etc.), posters, stickers, and any other merchandise Artist wishes to sell within Arlisl's discretion, on
the premises of the place of performance without any participation In the proceeds by Purchaser, subject to concessionaire's requirements, if any.
3. Artist's name, likeness, image, and/or biographical data shall not be used by Purchaser or any other party under the control of Purchaser, to
endorse, promote or otherwise advortiso Purchaser, any commercial lio•In, any sponsor, or any other product or service connected with Purchaser,
unless otherwise agreed between Artist and Purchaser, In writing, prior to Artist's arrival at the performance venue.
4. In the event Purchaser rof uses or neglects to provide any of the material Items or to perform any of its material obligations per the Agreement and
this Exhibit A, and/or fails to timely make any of the payments as provided herein, then Artist shall have the right, In addition to any other remedies
which may be available to Artist at law and In equity, to refuse to perform in accordance with the leans of the Agreement, to retain any amounts
theretofore paid to Artist (or Arttat's designee) by Purchaser (or Purchaser's designee), and, Purchaser shalt remain liable to Artist for the
Immediate payment of the full amount of the Artist Guarantee set forth in the Agreement. In addition, If an or before Ilia dais of any scheduled
performance, Purchaser has failed, neglected or refused to perform any contract with any other performer for any other engagement, or if the
financial standing or credit of Purchaser worsens after Purchaser and Artist's representative agree to the performance which is the subject hereof,
then Artist shall have the right to cancel this engagement without penalty by notice to Purchaser to that effect, and Artist shall have the right to
retain any and all deposit monlas paid to Artist by Purchaser, and Purchaser shall remain liable to Artist for the Immediate payment of the full
amount of the Artist Guarantee herein set forth.
5. In the event of Artist fitness or serious Injury, or if a performance Is prevented, rendered impossible or Infeasible by an Act of God, any act or
regulation of any public authority or bureau, civil tumult, strike, epidemic, Interruption or delay of transportation services, war conditions,
emergencies, or any other similar or dissimilar cause beyond the control of either Artist or Purchaser (each a "Force Majeure Occurrence"), it Is
understood and agreed by the parties that there shall be no claim for damages by either party against the other and each party's obligations
hereunder shall be deemed waived and any deposit monfes paid to Artist by Purchaser shall be refunded to Purchaser. Notwithstanding the
foregoing, if Artist's performance is prevented by a Force Majoure Occurrence, but Artist Is present, ready, willing and able to render its services in
accordance with the terms hereof, then Purchaser shall pay Artist the full amount of the Artist Guarantee. The parties acknowledge and agree that
the occurrences of the H1 N1 virus (i.e., swine flu) In an area In dose proximity to the performance venue shag not In and of Itself be deemed a
Force Majoure Oocurrence, unless Health Canada (or a similarly authorized agency) officlally declares the virus to be an epidemic affecting the
particular slate In which the performance is scheduled to take place.
6. Artist shall have Use sole and exclusive control over the production, presentation and performance of the engagement hereunder Including, but not
limited to the details, means and methods of the performance of the performing artists hereunder, and Artist shall have the sole right to make
changes to the porforming personnel.
7. Inclement weather rendering performance impossible, infeasible or unsafe shall not be deemed a Force Majeure Occurrence and payment of the
full amount of the Artist Guarantee shall be made by Purchaser to Artist notwithstanding. If Artist Is present, ready, willing and able to render Its
services as contracted hereunder, Irrespective of weather, the full amount of the Artist Guarantee shall be paid by Purchaser to Artist. If Purchaser
and Artist disagree as to whether rendition of the performance is Impossible, infeasible or unsafe because of Inclement weather, Artist's
determination as to performance shall prevail.
8. Unless stipulated by the parties to the contrary, in writing, Purchaser agrees that Artist may cancel the engagement hereunder without liability by
giving Purchaser written notice thereof as least thirty (30) days prior to the date of performance Artist shall have the right to terminate this
Agreement without liability to Purchaser it Purchaser fails to sign and return the Agreement within ten (10) days of Purchaser's receipt thereof.
9. it Is agreed that Artist and Purchaser each signs this Agreement as an Independent contractor and not as employee of the other. This contact
shall not In any way be construed so as to create a partnership, employorlemptoyea relationship or joint venture between the parties, nor shall
Artist for any reason by Its signature hereof be held liable In whole or in part for any obligation of Purchaser or which may be incurred by Purchaser
in Its carrying out any of the provisions hereof or otherwise.
10. In the event of any inconsistenoy(ies) between the provision of the Agreement (including Exhibit A) and the provisions) of any rider, addendum,
exhibit or any other attachments hereto, the parties agree that the provisions of this Agreement shall control.
11. Purchaser hereby indemnifies and hold Artist, as well as Artist's agents, representatives, prindpals, employees, contractors, officers and directors
('Indemnileesl, harmless from and against any loss, damage, or expanse, including reasonable attorney's fees Incurred or suffered by or
threatened against Artist or any of the Indemnflees in connection with or as a result of; (a) any act or failure to act by Purchaser. Its employees,
agents, representatives, contractors, officers and/or directors ("Purchaser Parties"): (b) Purchaser's and/or Purchaser Pertles' breach of any of the
warranties and represeniallons made by Purchaser hereunder or in any addendum or rider(s) attached hereto; (c) Purchaser's and/or Purchaser
Parties' breach of any of the terms hereof and/or of any addendum and/or dder(s) attached hereto; (d) any claim for personal Injury or properly
damage or other brought by or on behalf of any third party as a result of or in connection with the engagement, which claim does not result from
the active and Wilful negligence of Artist.
12. This Agreement and all questions arising hereunder shall be governed by, and constructed In accordance with, the laws and decisions of the
Province of Ontario and the federal laws of Canada without giving effect to the principles thereof relating to conflicts of law. Each of the parties
hereto (a) Irrevocably agrees that the federal courts of Ilia city of Toronto, Province of Ontario, Canada courts have sole and exclusive jurisdiction
over any suit or othor proceeding arising out of or based upon this Agreement, (b) submits to the venue and jurisdiction of such courts and (c)
Irrevocably consents to personal jurisdiction by such courts.
13. Nothing In this Agreement shall require the commission of any act contrary to law or to any rules or regulations of any union, guild or similar body
having jurisdiction over the services and personnel to be furnished by the Purchaser to Artist hereunder. If there Is a conflict between any
provision of this Agreement and any low, rule or regulation, such low, rule or regulation shall prevail and this Agreement shall be curtailed, modified
and/or limited only to the extent necessary to eliminate such conflict. Artist agreas to comply with all regulations and requirements of any unlon(s)
Drat may have jurisdiction over any of the said materials, facilities, and personnel to be lumished by Purchaser, of which Artist is advised by
Purchaser, in writing, prior to arrival at the performance venue.
14. it is agreed that The United Talent Agency, Ltd. ("Agent") Is not a party to the contract and acts heroin only as the agent for Artist. As such, Agent
Is not responsible for any act of commission or omission on the part of either Purchaser or Artist. In furtherance thereof and for the benefit of
Agent, It Is agreed that neither Artist or Purchaser will name or join Agent as a party In any civil action or suit arising out of, In connection with, or

related to any acl(s) of commission or omission of Purchaser or Artist hereunder. If at any time there shall be a controversy between Purchaser
and Artist with respect to the monies for the performance(s) covered hereunder which are hold by Agent In Its trust account ("Trust Funds'), Agent
may upon notice to Purchaser and Artist either: (I) hold the Trust Funds until otherwise directed by a written Instrument signed by Purchaser and
Artist or by an order, decree or judgment by a court of competent jurisdiction which, by lapse or otherwise, shall no longer be or shall not be
subject to appeal or review, or, CO) deposit the Trust Funds in any court of competent jurisdiction pending the final determination of any dispute
among the parties hereto, Upon delivery of the Trust Funds in accordance herewith, the obligations of the Agent shall cease with respect thereto
and it shall not be required to perform any further acts whatsoever pursuant to this Agreement.
15 This Agreement: (a) shall not be assigned or transferred wlllrout the written consent of both parties; (b) contains the sale and complete
understanding of the parties hereto with respect to the subject matter hereof, and, (c) may not be amended, supplemented, varied or discharged,
except by a wrlllen Instrument, signed by both parlios. The person executing this Agreement on Purchaser's behalf warrants his/her authority to do
so. The terms, "Purchaser" and Arlfsl" as used herein shall Include and apply to the singular, the plural and all genders.
iii. This Agreement may be executed In any number of counterparts, all of which taken together shall constitute one single agreement between the
parties. The parties agree that transmission to the other party of this Agreement with Its facsimile signatures shall suffice to bind the party
transmitting the same to this Agreement in the some manner as if an original signature had been delivered. Without limllation of the foregoing,
each party who transmits this Agreement with its facsimile signature covenants to deliver the origlnal thereof to the other party as soon as
practicable thereafter.
17. No delay or omission by either party to exercise any right or power it has under this Agreement shall impair or be construed as a waiver of such
right or power. A waiver by either party of any breach or covenant shall not be construed to be a waiver of any succeeding breach or any other
covenant. All waivers must be in writing and signed by tho party waiving Its rights.

19. Artist Is solely responsible for ensuring that taxes (GSTMST/QST) are charged on Artist earning In the correct amount, and Artist shall not look to
TAG to ensure same.

Consider executing an Artist's Agreement with Doramy Media, LLC for performance at the
2018 Juneteenth Festival.
For 10 years, the Parks and Recreation Department has partnered with "The Voice", Inc.
to present the FREE Round Rock Juneteenth Rhythm and Ribs Festival at Old Settlers
Park. This event features live music( Next Town Down), health fair, moonwalks, clowns,
games, food, retail vendors and more. Parks and Recreation helps pay a portion of the
artist fee to provide quality entertainment for the event. More than 12,000 residents attend
this two day event. "The Voice", Inc. is a 501 (c) (3) non-profit organization established in
2008 to "Impact, Empower and Enrich" the community one person at a time.
Juneteenth is the oldest known celebration commemorating the emancipation of slavery in
the state of Texas. Historically, the celebration falls on June 19th and commemorates the
day in 1865 that Texans were told by Union troops that the Civil War had ended and that all
slaves were now freed. Though the Emancipation Proclamation became official on
January 1, 1863, there was little impact on the lives of Texans until 1865. Today,
Juneteenth celebrates African American freedom while encouraging self -development and
respect for all cultures.
