This letter will formally terminale the agreement with Allison Systems for the maintenance and support of the
Police Department's iPro integrated interview room recording system. The system was purchased in 2010 and
replaced in September of this year with a more reliable, lower cost system. The total cost of this new system
was approx. 1/3 of the cost of annual maintenance on the Allison iPro system. The new system was tested
thouroughly prior to being put in production antl is working well for the officers that rely on it to capture case
related interviews.

Re: Termination Notification of "City of Round Rock Agreement for Purchase
of Integrated Audio Video Recording System" dated October 14, 2010
Dear Mr. Doyle
This correspondence shall serve as notice that the City of Round Rock, Texas (the
"City") hereby terminates the above -referenced "City of Round Rock Agreement for
Purchase of Integrated Audio Video Recording System" (the "Agreement). The
Agreement became effective on October 14, 2010. The term of the Agreement was for
sixty (60) months from the effective date of the Agreement, and for two (2) additional
successive twelve (12) month terms upon agreement of the parties.
Pursuant to Section 17.01, Paragraph A, the "City has the right to terminate this
Agreement, in whole or in part, for convenience and without cause, at any time upon
thirty (30) days' written notice to Vendor." Pursuant to Section 21.01, Paragraph 2,
notice shall be considered given three (3) days after being deposited in the U.S. mail.
Pursuant to Section 17.01, Paragraph D, "upon City's delivery of the referenced
notice to Vendor, Vendor shall discontinue all services in connection with the
performance of this Agreement and shall proceed to cancel promptly all existing orders
and contracts insofar as such orders and contracts are chargeable to this Agreement.
Within thirty (30) days after such notice of termination, Vendor shall submit a statement
showing in detail the goods and/or services satisfactorily performed under this
Agreement to the date of termination. City shall then pay Vendor that portion of the
charges, if undisputed. The parties agree that Vendor is not entitled to compensation for
services it would have performed under the remaining term of the Agreement except as
provided herein."

being delivered via written notice to the entity and to the most recent address provided by
Allison Systems, Inc. to the City.
