REAL ESTATE CONTRACT RM 620 Right of Way—Parcel 1/1 PUE THIS REAL ESTATE CONTRACT ("Contract") is made by and between ROBINSON LAND LIMITED PARTNERSHIP, a Texas limited partnership; GER LAND PARTNERSHIP, LTD., a Texas limited partnership; ROBINSON 1991 LAND LIMITED PARTNERSHIP, a Texas limited partnership; ROBINSON RANCH, a Texas general partnership; SCOTT BRADLEY ROBINSON, Trustee of the Scott Bradley Robinson Exempt Appointment Trust No. One U/W/0 A.H. Robinson, Jr. and sole Trustee of the Thomas Scott Robinson Lifetime Trust (referred to in this Contract as "Seller", whether one or more) and the CITY OF ROUND ROCK, TEXAS (referred to in this Contract as "Purchaser"), upon the terms and conditions set forth in this Contract. ARTICLE I PURCHASE AND SALE By this Contract, Seller sells and agrees to convey, and Purchaser purchases and agrees to pay for, the tract(s) of land described as follows: All of that certain 0.158 acre (6,883 square foot) parcel of land situated in the J.M. Harrell Survey, Abstract No. 284, in Williamson County, Texas; said 0.158 acre parcel of land being more fully described by metes and bounds in Exhibit "A", attached hereto and incorporated herein (Parcel 1 ; and {W0826157.3) rI-Z`6--- e,?-lIrl Public Utility Easement interest in and across all of that certain 0.123 acre (5,347 square foot) tract of land situated in the J.M. Harrell Survey, Abstract No. 284, in Williamson County, Texas; said 0.123 acre tract of land being more fully described by metes and bounds in Exhibit G4B", attached hereto and incorporated herein (Parcel._1_PUE ; (Parcel 1 and the Parcel 1 PUE being collectively referred to in this Contract as the "Property"), for the consideration and upon and subject to the terms, provisions, and conditions set forth below. ARTICLE II PURCHASE PRICE Purchase Price 2.01. The Purchase Price for Parcel 1 and any damage to the remaining property of Seller shall be the sum of SIXTY-NINE THOUSAND FOUR HUNDRED FOURTEEN and 00/100 Dollars ($69,414.00). 2.02. The Purchase Price for the Parcel 1 PUE shall be the sum of TWELVE THOUSAND EIG14T HUNDRED NINETY-FOUR and 00/100 Dollars ($12,894.00). Payment of Purchase Price 2.03. The total Purchase Price for the Property shall be payable in cash at the Closing. AR'T'ICLE III PURCHASER'S OBLIGATIONS Conditions to Purchaser's Obligations 3.01. The obligations of Purchaser hereunder to consummate the transactions contemplated hereby are subject to the satisfaction of each of the following conditions (any of which may be waived in whole or in part by Purchaser at or prior to the Closing). Miscellaneous Conditions 3.02. Seller shall have performed, observed, and complied with all of the covenants, agreements, and conditions required by this Contract to be performed, observed, and complied with by Seller prior to or as of the Closing. {WO92G 157.3, 2 ARTICLE IV TERMS OF SALE 4.01 SELLER IS SELLING THE PROPERTY TO PURCHASER ON AN "AS IS" BASIS,AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES OTHER THAN THE SPECIAL WARRANTY OF TITLE TO BE CONTAINED IN THE DEED CONVEYING THE PROPERTY TO PURCHASER. PURCHASER HAS HAD THE OPPORTUNITY TO INSPECT AND STUDY EVERY ASPECT OF THE PROPERTY, BOTH PERSONALLY AND THROUGH CONSULTANTS OF PURCHASER'S CHOICE, TO PURCHASER'S ENTIRE SATISFACTION. ANYTHING HEREIN TO THE CONTRARY NOTWITHSTANDING, PURCHASER AGREES THAT, IF PURCHASER CLOSES ITS PURCHASE OF THE PROPERTY, PURCHASER WILL BE DOING SO BASED UPON ITS OWN STUDIES AND CONCLUSIONS, AND NOT BASED UPON ANY REPRESENTATIONS OR WARRANTIES OF SELLER OR ANY AGENT OF SELLER. SELLER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES CONCERNING THE PROPERTY, INCLUDING THE IMPLIED WARRANTIES OF HABITABILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR, PURPOSE. FURTHER, SELLER MAKES NO WARRANTIES REGARDING ENDANGERED SPECIES OR ENVIRONMENTAL, CONDITIONS. PURCHASER AGREES THAT THIS PROVISION OF THE CONTRACT IS A MATERIAL PORTION OF THE CONSIDERATION FOR PURCHASER'S PURCHASE, AND ACKNOWLEDGES THAT SELLER WOULD NOT AGREE TO SELL THE PROPERTY TO PURCHASER ON ANY OTHER BASIS. THE PROVISIONS OF THIS SECTION WILL SURVIVE CLOSING. 4.02. The Property is being conveyed to Purchaser under threat of condemnation. ARTICLE V CLOSING Closing Date 5.01. The Closing shall be held at the office of Heritage Title Company of Austin, Inc., on or before September 15, 2018, or at such other date, time, date, and place as Seller and Purchaser may agree (which date is herein referred to as the "Closing Date"). Seller's Obligations at Closing 5.02. At the Closing Seller shall: (1) Deliver to the State of Texas a duly executed and acknowledged Deed conveying good and indefeasible title in fee simple to Parcel 1 and deliver to the City of Round Rock a duly {W0826157.3} executed and acknowledged Public Utility Easement conveying an easement in and to the Parcel 1 PUE, both free and clear of any and all liens and restrictions, except for the following: (a) General real estate taxes for the year of Closing and subsequent years not yet due and payable, and any supplemental taxes for the year of Closing and any rollback taxes, penalties and interest levied against the Property relating to any period prior to the date of Closing due to the sale of the Property or a change in use or ownership of the Property; (b) The exceptions set forth on Exhibit"C", attached hereto; and (c) Any exceptions approved by Purchaser in writing. The Deed to the State of Texas shall be in the form as shown in Exhibit "D" attached hereto. The Public Utility Easement to the City of Round Rock shall be in the form as shown in Exhibit "E" attached hereto. (2.) Deliver to Purchaser possession of the Property. Purchaser's Obligations at Closing 5.03. At the Closing, Purchaser shall pay the Purchase Price to Seller in immediately available funds. Prorations 5.04. At the Closing, ad valorem taxes for the year of Closing and other assessments relating to the Real Property will be prorated as of the date of Closing, and the obligation to pay such taxes will be assumed by Purchaser. Purchaser acknowledges that the value of the Real Property for ad valorem tax purposes is currently determined by a special appraisal method that allows for appraisal of the Real Property at less than its market value ("Agricultural Mahle Appraisal"). Seller will pay prorated taxes for the year of Closing and taxes for prior years based on the Agricultural Value Appraisal; however, any supplemental taxes for the year of Closing and any rollback taxes, penalties and interest levied against the Real Property relating to any period prior to the date of Closing due to the sale of the Real Property or a change in use or ownership of the Real Property ("Rollback Taxes") will be paid by Purchaser when assessed. If Closing occurs before the tax rate is fixed for the year of Closing, the apportionment of taxes for the year of Closing will be based upon the tax rate for the preceding year applied to the latest Agricultural Value Appraisal and adjusted directly between the parties, if necessary, when the tax rate for the year of Closing becomes available. The agreements of the parties under this Section will survive Closing. I W08261 X7.3} Closing Costs 5.05. All costs and expenses of closing in consummating the sale and purchase of the Property shall be borne and paid as follows: (1) Owner's Title Policy and survey to be paid by Purchaser. (2) Deed, tax certificates, and title curative matters, if any, paid by Purchaser. (3) All other closing costs shall be paid by Purchaser. (4) Each party will pay its own attorney's fees. ARTICLE VI BREACH BY SELLER In the event Seller shall fail to fully and timely perform any of its obligations hereunder or shall fail to consummate the sale of the Property for any reason, except Purchaser's default, Purchaser may, as its sole and exclusive remedy, enforce specific performance of this Contract. ARTICLE VII BREACH BY PURCHASER In the event Purchaser should fail to consummate the purchase of the Property, the conditions to Purchaser's obligations set forth in Article III having been satisfied and Purchaser being in default and Seller not being in default hereunder, Seller shall have the right to receive the sure of$500 from Purchaser, the sum being agreed on as liquidated damages for the failure of Purchaser to perform the duties, liabilities, and obligations imposed upon it by the terms and provisions of this Contract, and Seller agrees to accept and take this cash payment as its total damages and relief and as Seller's sole remedy hereunder in such event. ARTICLE VIII MISCELLANEOUS Notice 8.01. Any notice required or permitted to be delivered hereunder shall be deemed received when sent by United States mail, postage prepaid, certified mail, return receipt requested, addressed to Seller or Purchaser, as the case may be, at the address set forth opposite the signature of the party. This Contract shall be construed under and in accordance with the laws of the State of Texas, and all obligations of the parties created hereunder are perfonnable in Williamson County, Texas. Parties Bound 8.03. This Contract shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, legal representatives, successors and assigns where permitted by this Contract. Legal Construction 8.04. In case any one or more of the provisions contained in this Contract shall for any reason be held to be invalid, illegal, or unenforceable in any respect, this invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this Contract shall be construed as if the invalid, illegal, or unenforceable provision had never been contained herein. Prior Agreements Superseded 8.05. This Contract constitutes the sole and only agreement of the parties and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter. Time of Essence 8.06. Time is of the essence in this Contract. Gender 8.07. Words of any gender used in this Contract shall be held and construed to include any other gender, and words in the singular number shall be held to include the plural, and vice versa, unless the context requires otherwise. Compliance 8.09 In accordance with the requirements of Section 20 of the Texas Real Estate License Act, Purchaser is hereby advised that it should be furnished with or obtain a policy of title insurance or Purchaser should have the abstract covering the Property examined by an attorney of Purchaser's own selection. (W0826157.3) 6 Effective Date 8.10 This Contract shall be effective as of the date it is approved by the Round Rock city council or city manager, which date is indicated beneath the Mayor's or City Manager's signature below. Counterparts 8.11 This Contract may be executed in any number of counterparts, which may together constitute the Contract.
