SUMMARY & TERMS
CITY OF ROUND RUCK OFFICIAL SOUVENIR MERCHANDISING AGREEMENT
FINE DESIGNS AGREES TO THE FOLLOWING:
1. Commission Payment Structure: City of Round Rock is paid according to! he following formula for the exclusive merchandising
and novelty sales at the city of Round Rock's agreed upon events:
1. For events generating sales $0.001 and above
20% of Gross Sales or a minimum guarantee of $5.00 an every item sold, whichever is greater.
2. For events generating sales between $4,001 and $8,000
1596 of Gross Sales or a minimum guarantee of $4.00 on every item sold, whichever is greater.
3. For events generating sales $4.000 and below
10% of Gross Sales or a minimum guarantee of $3.00 on every item sold, whichever is greater.
4. Low Sales: It is understood that If gross sales at the end of the event are less than $1,500 for any reason (rain, lower
registration numbers, economic impact, etc), no commission of sales will be required by Fine Designs to the event host
unless otherwise written and agreed to by both parties.
2. Optional Donated Apparel: We will donate up to 10 volunteer Cotton T-shirts at no cost to City of Round Rock or equivalent
wholesale apparel value in jackets, etc. Donated apparel includes the Official tournament logo on front with either "Staff' or
"Volunteer" wording on the back Additional Volunteer tees will be sold at the lowest wholesale cast of $6.00 per item for 100%
cotton tees.
3. Paint of Sales Reporting: Fine Designs will provide a detailed sales report following each scheduled event. Report to include the
percentage of items sold by category, the number of Items sold and the sales total. It will also include the amount to be sent by
check to City of Round Rock. Check to be mailed no later than 7 business days following each event.
4. Logo Design: We will provide all event logos, slogans and other decals at no charge.
5. Design Proof: We will provide PROOF of ALL artwork to be used onsite with ample time for edits.

6. Roster/Typesetting: We will provide typesetting for a COMPLETE LIST OF TEAM AND COMPETITOR NAMES to be used on the back
of shirts as a customization option for buyers
7. Staff Manager. We will assign one team manager to coordinate onsite sales for all events in the calendar year.
S. Inventory: All garment types and novelty items are to be agreed upon by both parties. We will provide a minimum of TEN (SD)
STYLES of garments for sale. (For larger spectator championships, Fine Designs MH provide a more extensive selection of
Graphics and artwork),
1. Quantity: We will have an adequate number of products on hand throughout the entire event so that everyone can benefit
from the large selection of items and customization options
2. Quality of Production: All our products are guaranteed not to crack, peel, or bleed for up to 2 years from purchase.
9. Quality of Presentation: We will provide an attractive Sales Kiosk that will draw spectator and participant attention with
colorful displays and graphics All displays will be subject to review and approval of City of Round Rock.
10. Professional Staff: We will provide an adequate number of professionally trained sales staff onsite at each event for the agreed
upon times.
11. Venue Coverage: If multiple venues are utilized, Fine Designs commits to provide sales staff at all additionally agreed upon
locations.
12. Wholesale Apparel Er Products: Additional staff, volunteer or bulk merchandise is available for purchase throughout the year at
our lowest wholesale cost.

City of Round Rock AGREES TO THE FOLLOWING:
SUMMARY & TERMS
1. Exclusive Souvenir Apparel; Allow Fine Resigns to have the exclusive selling rights on souvenir apparel (i.e. Onsite screen
printing).
2. Named Official Event Merchandiser. Name Fine Resigns the "Official Event Merchandiser" of City of Round Rock agreed events
3. Roster Provision: City of Round Rock will provide team and competitor names in excel format no later than four (4) days prior to
the start of each event (for printing onto the back of apparel items).
4. Logo Property: All data produced as a result of this program shall remain the sale property of the Event Host.
S. Host Provisions: City of Round Rock is to provide prime sales location (space accommodations are to be agreed upon by both
parties). city of Round Rock is to use Its best efforts to provide 4 tables, electricity and tents (if applicable).
6. Outside vendors: City of Round Rock agrees to seek approval from Fine Resigns for any other vendors and/or suppliers to be
allowed to sell any type of apparel, sports equipment, and/or novelties at any events covered as part of this partnership. The sale
of the Official Event logo merchandise is exclusively limited to Fine Resigns. In the event that Fine Designs grants approval, it is
understood that Fine Designs will be granted its first choice of sales location($) at each venue.
7. Revenue Sharing: I f revenue sharing is required, Fine Designs shall not be responsible for providing any additional percentage
or vendor fees to any third party. City of Round Rock will handle all responsibility and negotiations if revenue sharing Is required.
B. Apparel Marketing: City of Round Rock agrees to property market the onsite merchandise by sending E-mail blasts and social
media plugs weekly to promote City of Round Rock Official Custom Merchandise onsite. City of Round Rock also agrees to
contribute creative ideas to promote the sales of official merchandise.

Both parties understand that thls document is subject to revision if both parties mutually agree to modify it before or during the
contract term. By signing this document. you are agreeing to all the terms and conditions of this proposal and would like to step into a
partnership agreement with Fine Designs.
