CITY OF ROUND ROCK § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. I to "City of Round Rock Agreement for Professional Consulting Services for the Historic Downtown Water Tank Restoration Project with HOT Inspections, Inc.," hereinafter called "Supplemental Agreement No. 1," is made by and between the City of Round Rock, Texas, a home -rule municipality, hereinafter called the "City" and HOT Inspections, Inc., hereinafter called the "Consultant." WHEREAS, the City and Consultant executed the referenced "City of Round Rock Agreement for Professional Consulting Services for the Historic Downtown Water Tank Restoration Project," hereinafter called the "Agreement," on February 14, 2019 by Resolution No. R-2019-0099; and WHEREAS, the City desires to amend the Scope of Services to add additional services and increase the fee an additional Seven Thousand Five Hundred and No. 100 Dollars ($7,500.00); and WHEREAS, it is necessary to amend the Scope of Services and the Fee as provided in the Agreement; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said Agreement is amended and supplemented as follows: Section 3.01 of the Aarccment is hereby amended to read as follows; 3.01 PROPOSAL FOR SERVICES For purposes of this Agreement Consultant has issued its proposal for services for the tasks delineated therein, such proposal for services being attached to this Agreement as Exhibit 00435200 ss3 �,2a q, 6 24.,4 "B" and the Addendum to Exhibit "B" titled "Scope of Services." which documents is, are incorporatcd herein for all purposes. Section 4.01 of the Aarccmcnt is hereby amended to read as fellows: 4.01 SCOPE OF SERVICES Consultant shall satisfactorily provide all services described herein and as set forth in Exhibit "B" and the Addendum to Exhibit "B." (Scope of Services). Consultant's undertaking shall be limited to performing services for the City and or advising City concerning those matters on which Consultant has been specifically engaged. Consultant hall perform services in accordance with this Agreement; in accordance with the schedule set forth in Exhibit "C," titled "Work Schedule," which document is incorporated herein for all purposes; in accordance with the services set forth appended in Exhibit "B" and the Addendum to Exhibit "B" (Scope of Services); and in a professional and workmanlike manner. Section 6.01 of the Aerecment is hcreby amended to read as follows: 6.01 CONTRACT AMOUNT In consideration for consulting services to be performed by Consultant, City agrees to pay Consultant as follows and as set forth in Exhibit "D" and the Addendum to Exhibit "D", titled "Fee Schedule," which documents are attached hereto and incorporated herein for all purposes, for services and the Scope of Service deliverables as delineated in Exhibit "B" and the addendum to Exhibit "B." Nat -to -Exceed Total Pavment for Services: Consultant's total compensation for consulting services hereunder shall not exceed ($60,00Sixtv-Seven Thousand Five Hundred and No/100 Dollars ($67,500.00), This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. CONSTRUCTION PHASE Conduct on site visits to provide Quality Assurance Surveillance and observe the progress and quality of the executed work in accordance with the Contract Documents. Reasonable measures will be taken by HOT Inspection Services, Inc., in performing these services to protect Owner against defects and deficiencies in the Contractor's work. HOT Inspection Services, Inc., shall not guarantee responsibility for the actual supervision of construction operations or for the safety measures which Contractor takes or should take. HOT Inspection Services, Inc., will provide the oversight by an AWS Certified Welding Inspector and NACE Certified Coating Inspector. The objective of this project is to provide quality assurance surveillance of the electrical lighting and hardware installation. Services to be rendered will include the following: Review tank project drawings to provide comments and recommendations. Weekly progress meetings at the downtown tank site. Observe and monitor the installation of the electrical hardware and quality of workmanship. Take progress photos and send email reports of the progress with the photos. The inspection methods to be implemented for the above inspection will consist of Visual Testing. All inspections shall verify compliance with the Contract Specifications. Box 1208 • Round Rock, TX 78680-1208 WIF Office: (512) 244-2523 Exhibit D Fee Schedule Downtown Historic EST Restoration Supplemental Agreement #1 Providing personal services to the City of Round Rock for consulting, on-site project management, and inspection for the rehabilitation and improvements on the Downtown Historic EST. Services to include: weekly progress meetings attendance, onsite observation of the electrical hardware installation and weekly email report with photos. Total fee below is based on the scope of work listed in Exhibit B. The fees are based on assumptions that the tank will be accessible during the construction. The cost is estimated based on the the electrical installation taking approximately 45 days. The tank remained in service until the 1986 construction of the take Creek well system and ground storage tank. The tank is an icon of the City and is visible to the entire downtown area and beyond. A new coating system was applied, and a lighting contractor has been contracted to furnish the tower with a lighting scheme designed by Hendrix Consulting Engineers. The lights anchor to the water tank with clips that have the potential to damage the newly applied coating system. The Utilities and Environmental Services Department request a Supplemental Contract for $7,500 to Hot Inspection Services, Inc. to ensure any blemishes on the tank coating be properly addressed and repaired.
