CITY OF ROUND ROCK § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. l to "City of Round Rock Agreement for Professional Consulting Services related to Providing Support and Defense of the 2015 and 2017 Wholesale Utility Rate Studies with Raftelis Financial Consultants, Inc.," hereinafter called "Supplemental Agreement No. I," is made by and between the City of Round Rock, Texas, a home -rule municipality, hereinafter called the "City" and Raftelis Financial Consultants, Inc., hereinafter called the "Consultant," located at 227 W. Trade Street, Suite 1400, Charlotte, North Carolina 28202. WHEREAS, the City and Consultant previously executed the referenced "City of Round Rock Agreement for Professional Consulting Services related to Providing Support and Defense of the 2015 and 2017 Wholesale Utility Rate Studies," hereinafter called the "Agreement," in the amount of $150,000.00; and WHEREAS, the City desires to extend the term of the Agreement only with no changes to the scope of services or contract amount; and WHEREAS, it is necessary to amend the term of the Agreement to extend the completion date to January 31, 2021; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said Agreement is amended and supplemented as follows: I. Section 1.0I of the Agreement is hereby amended to read as follows: 1.01 EFFECTIVE DATE, DURATION, AND TERM This Agreement shall be effective on the date this Agreement has been signed by each party hereto and shall remain in full force and effect unless and until it expires by operation of the term indicated herein or is terminated or extended as provided herein. 00438854;'s 2 The term of this Agreement shall be until full and satisfactory completion of the work specified herein is achieved, with an estimated completion date of January 31, 2021. II. This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. (RFC) to review the water and wastewater rates that the City charges to both our retail and wholesale customers. At that time, the City planned on staying on a three-year schedule to update the water and wastewater rates to ensure that our rates are set to recover the cost of providing these services. In order to stay on this schedule, it was time to review the water and wastewater rates in 2017. That professional services work was completed. After completion of the rate study and adoption of the new rates, five of the Wholesale Customers, Paloma Lake MUDS No. 1 & 2, Williamson County MUDs 10 & 11 (Terravista), and Vista Oaks MUD, collectively started to contest the adopted rates. This Supplemental Contract No. 1 will extend the term to January 31, 2021 and authorize RFC, Inc. to continue providing support services to the City in discussions with this wholesale customer group. Tasks under this contract may include corresponding or meetings with the group to discuss how the adopted rates were calculated using the rate model and advising or representing the City in a rate case at the Public Utilities Commission, if necessary.
