This Contract shall be governed by the laws of the State of Texas. 1. The failure of either party to enforce any provision of this Contract shall be construed as a waiver of limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract. 2. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 3. THE HILL MUSIC GROUP acts herein only as an agent forARTIST and is not responsible for any act of commission or omission on the part of ARTIST or PURCHASER. In furtherance thereof and for the benefit of THE HILL MUSIC GROUP, it is agreed that neither PURCHASER nor ARTIST will name orjoin THE HILL MUSIC GROUP as a party in any civil action or suit arising out of; in connection with, or related to any act(s) of commission or omission of PURCHASER or ARTIST. 4. PURCHASER is required to pay one-half of the ARTIST's guarantee on the occasion of a cancellation by PURCHASER within (90) days prior to engagement. If the cancellation is initiated by ARTIST, all monies paid to ARTIST from PURCHASER shall be fully refunded, including the deposit. Force Majeure. If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party unable to carry out it's obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, vandalism, epidemics, pandemics, storm or other similar occurrence, order or acts of military or civil authority, or by national emergencies, insurrections, riots, wars, strikes, lock -outs, work stoppages, other labor disputes, or transportation failure. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, caused by such party, or its employees, officers, agents, or affiliates. All deposits must be made out to The Hill Music Group and mailed to: 2981 Stewart Campbell Pointe. Spring Hill, TN 37174 2. All payments to be made at the conclusion of the show must be in the form of cash, check, or cashier's check made payable Chad Cooke Band unless otherwise agreed upon in advance. No checks or cashier's checks made out to anyone other than the artist will be accepted. If payment is check, check must be cashed out in full on site. Performance - 1. The correct billing of the artist is CHAD COOKE BAND. Artist's name must appear online, at the club, festival, on the marquee, and/or all advertisements correctly! 2. Band will provide promo pictures via email. Venue must use band approved promo pictures ONLY (Physical/Digital) for all marketing material. 3. Band will provide venue promo posters via USPS. If applicable, venue is responsible for hanging promo posters at least 4 weeks prior to show date in high traffic areas around venue (entrances/exits/ bathrooms/bar area/ect). 4. If the performance is outdoors, an elevated, covered, safe stage must be provided unless otherwise agreed upon in advance. Complimentary Tickets - 1. Unless private event, or otherwise agreed upon, artist requires 10 (Ten) complimentary tickets for sponsors, fan club members, and any other guest to be determined by the artist.
