CM-2020-274 - 10/9/2020SUPPLEMENTAL AGREEMENT NO. 1 TO "CITY OF ROUND ROCK AGREEMENT FOR FIRE SUPPRESSION SYSTEM REPAIR, MAINTENANCE, PARTS AND INSTALLATION WITH VALOR FIRE PROTECTION, INC. CITY OF ROUND ROCK § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for Fire Suppression System Repair, Maintenance, Parts and Installation with Valor Fire Protection, Inc.," hereinafter called "Supplemental Agreement No. 1," is made by and between the City of Round Rock, Texas, a home -rule municipality, located at 221 East Main Street, Round Rock, Texas 78664, hereinafter called the "City" and Valor Fire Protection, Inc., hereinafter called "Vendor," with offices located at 3584 Rocking J Road, Suite 200, Round Rock, Texas 78665. WHEREAS, the City and Vendor previously executed the referenced "Agreement for Fire Suppression System Repair, Maintenance, Parts and Installation," hereinafter called the "Agreement," on November 14, 2019 by Resolution No. R-2019-0438; and WHEREAS, the City and Vendor desire to increase the Contract Amount provided in the Agreement by an additional $37,500.00 due to an increase in required services; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Vendor agree that said Agreement is amended and supplemented as follows: I. Section 6.01, Costs, shall be amended as follows: 6.01 COSTS A. Only if, as, and when needed by the City, the bid costs listed on Attachment A — Bid Sheet of Exhibit "A," which are specifically relevant to the reference bid items, shall be the basis of any charges collected by the Vendor. B. Vendor specifically acknowledges and agrees that the City is not obligated to purchase any quantity of goods and services, and City may not expend in excess of Thirty -Seven Thousand Five Hundred and Noll 00 Dollars ($37,500.00) per year for Vendor's goods and/or 004538111ss2 services combined with the dual provider' amount of One Hundred Eighty-Seven for the term of the Agreement. s goods and/or services for a total not to exceed Thousand Five Hundred and No/100 Dollars II. This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. The City previously executed the agreement with Valor Fire Protection, Inc. on November 14, 2019 resolution number R-2019-0438. City desires to increase the Contract Amount provided in the agreement by an additional $37,500.00 due to an increase in required services.
