Main Street Round Rock, Texas 78664 Licensed Property: All that certain tract, piece or parcel of land, lying and being situated in the County of Travis, State of Texas, described with particularity by metes and bounds in Exhibit "A," attached hereto and made a part hereof for all purposes. Use: For the construction, operation, maintenance and access to a single monitoring well, as specified in Exhibit "A," hereinafter referred to as the "Well." Consideration: Four Thousand and No/Dollars ($4,000.00) and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged. Grant of License: Licensor grants to Licensee a license to use the Licensed Property to construct and operate the Well, as specified in Exhibit "A," together with all and singular the rights and appurtenances thereto in any way belonging (collectively, the "License") during the term hereof. Licensor may not revoke this License until after delivering 180-day advance written notice of Licensor's decision to revoke this License, along with simultaneous delivery to Licensee of a prorated refund of the consideration for the remaining term of this License. Terms and Conditions: The following terms and conditions apply to the License granted by this agreement: 1. Duration of License. This License shall commence on the date of execution, and expire without notice or any action on January 1, 2030 (the "Term"). 2. Improvement and Maintenance of Licensed Property. Improvement and maintenance of the Licensed Property and the Well will be at the sole expense of Licensee. Licensee has the right to construct, install, maintain, and cap the Well within the Licensed Property, as well as to install, maintain, replace, and remove devices necessary to utilize the Well for the stated purpose. All matters concerning the Well and its configuration, construction, installation, maintenance, replacement, and removal are at Licensee's sole discretion, subject to performance of Licensee's obligations under this License. Licensee shall endeavor to keep this to a minimum. Any trimmed brush or branches shall be removed from the Licensed Property by Licensee when trimmed. Upon termination of this License, Licensee shall perform all actions required to abandon the Well in accordance with the standards and regulations set by the Texas Commission on Environmental Quality, or its successor, then in effect. All costs required to abandon the Well will be paid by Licensee, and the required actions to abandon the Well must be completed within ninety (90) days of termination of this License. 3. Sample Analyses. Licensee shall deliver to Licensor, as provided for in Paragraph 13 below, copies of the analyses rendered on any water samples collected from the Well, within (30) days of receipt of the testing results by Licensee. 4. No Liens. Licensee shall pay for all labor or materials furnished in the repair or improvement of the Licensed Premises by Licensee, and shall keep same and Licensee's interest therein free and clear of any mechanic's or materialmen's lien or encumbrance of any kind whatsoever by, through or under Licensee. The provisions of this paragraph shall survive the expiration or termination of this License. 5. Indemnity. Licensee shall, to the fullest extent allowed by law, indemnify Licensor, its successors and assigns, from any and all liability of any nature which may arise as a result of the installation or construction, and the operation and maintenance by Licensee of the Well. 6. Binding Effect. This License binds and inures to the benefit of the parties and their respective heirs, successors, and permitted assigns. This License and the rights granted hereunder, may only be assigned by Licensee to another public entity which operates, or plans to operate, a water tunnel or water supply system. Licensee shall notify Licensor at least thirty (30) days in advance of any proposed assignment of this License and such notice shall include an address and contact information for a representative of such assignee. 7. Choice of Law. This License will be construed under the laws of the state of Texas, without regard to choice -of -law rules of any jurisdiction. Venue is agreed to be in Travis County, Texas for all purposes. 8. Counterparts. This License may be executed in any number of counterparts with the same effect as if all signatory parties had signed the same document. All counterparts will be construed together and will constitute one and the same instrument. 9. Waiver of Default. It is not a waiver of or consent to default if the non -defaulting party fails to immediately declare default or delays in taking any action. Pursuit of any remedies set forth in this License does not preclude pursuit of other remedies in this agreement or provided by law. 10. Further Assurances. Each signatory party agrees to execute and deliver any additional documents and instruments. Each signatory party also agrees to perform any additional acts necessary or appropriate to perform the terms, provisions, and conditions of this License and all transactions contemplated by this License. 11. Integration. This License contains the complete agreement of the parties and cannot be varied except by written agreement of the parties. The parties agree that there are no oral agreements, representations, or warranties that are not expressly set forth in this License. If any provision in this License is for any reason unenforceable, to the extent the unenforceability does not destroy the basis of the bargain among the parties, the unenforceability will not affect any other provision hereof, and this License will be construed as if the unenforceable provision had never been a part of the License. Whenever context requires, the singular will include the plural, the neuter will include the masculine or feminine gender, and vice versa. Article and section headings in this License are for reference only and are not intended to restrict or define the text of any section. 13. Notices. Many properties along the route of construction have private wells. Monitoring groundwater in the area for the duration of construction will ensure that this project has little to no affect on the aquifer level or quality of the groundwater. This Monitoring Well License Agreement is with Scott William Broaddus, Jr. for the acquisition of a 0.001 acre monitoring well easement, and a 0.038 acre access easement along the property.
