INCORPORATED CITY OF ROUND ROCK ) STATE OF TEXAS 1 COUNTY OF WILLIAMSON ) COUNTY OF TRAVIS ) KNOW ALL BY THESE PRESENTS: This Supplemental Agreement No. 4 to "City of Round Rock Agreement for Purchase of Armored Car Services," hereinafter called the "Supplemental Agreement No. 4," is made by and between the City of Round Rock, Texas, a Texas home -rule municipality, whose offices are located at 221 East Main Street, Round Rock, Texas 78664-5299, hereinafter called "City," and Brink's U.S. A Division of Brink's, Incorporated, whose offices are located at 555 Dividend Drive, Coppell, Texas 75019, hereinafter called "Vendor" or "Brink's U.S., A Division of Brink's, Incorporated." WHEREAS, City and Dunbar Armored (now "Brink's U.S., A Division of Brink's, Incorporated") executed an "Agreement for Purchase of Armored Car Services," hereinafter called the "Agreement" on September 10, 2015, by Resolution No. R-2015-2789; and WHEREAS, the City and Dunbar Armored previously executed a Supplemental Agreement No. 1 ("Term Renewal Agreement No. 1") and Supplemental Agreement No. 2 ("Term Renewal Agreement No. 2") extending the Agreement for two (2) successive twelve (12) month renewal periods; and WHEREAS, the parties executed Supplemental Agreement No. 3 extending the term for an additional three (3) months commencing upon the expiration of Term Renewal Agreement No. 2; and WHEREAS, the parties desire to extend the term of the Agreement for an additional three (3) months commencing upon the expiration of Supplemental Agreement No. 3; NOW THEREFORE, premises considered, and in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 4, the City and Vendor agree as follows: I. The Agreement, the term of the Agreement is renewed for three (3) months and shall commence upon expiration of Supplemental Agreement No. 3. bl,,0001,01S 00453563/ss2 II. The City shall be authorized to pay the Vendor an amount not to exceed Three Thousand Six Hundred and No/100 Dollars ($3,600.00) for this three (3) month extension term. This Supplemental Agreement No. 4 shall extend the original Agreement as to time and costs only as set forth herein, with no other changes in terms or conditions of the original Agreement. The originally selected vendor would not agree to important legal terms in their agreement; therefore, additional time is needed to work with a different vendor. Armored car service is widely considered the safest way to transport the City's funds from one location to another. Brinks picks up deposits from various City locations and then delivers the funds to the City's depository bank, JPMorgan Chase Bank.
