Dear Ms. Francois:
It was a pleasure visiting with you recently and I appreciate the opportunity to submit a proposal
agreement to provide you and the City of Round Rock with compensation consulting services.
This letter of understanding is provided to formalize our recent discussions.
The Purpose of the Consulting Engagement / Project Deliverables:
The Human Resources Director of the City of Round Rock has an interest in engaging
Intelligent Compensation, LLC to provide consulting services and to assist in developing a
revised Step Progression System for the City's Police Department.
In accordance with this request, Intelligent Compensation, LLC will provide the City of
Round Rock with the following compensation consulting assistance and advisory support which
will include:
➢ Working closely with the Director of Human Resources, and support the City Manager and
other City leaders as appropriate to provide guidance, expertise and assistance towards
analyzing and developing a revised and condensed Employee Step Progression System for
the City's Police Department.
➢ Discerning current market survey study findings from other relevant city Police Departments
across Texas to ascertain the competitive position of the City of Round Rock as compared
to these other Police Departments.
➢ Based on our analysis of all relevant data, work closely with City's Human Resources
Director to model out a proposed condensed version (15 Steps to 13 Steps) of the current
Step Progression system for the purposes of presenting to the City Manager. We will also
assist in modeling a 12 Step Progression System and cost of living adjustments off of
compressed steps.

Based on proposed models, conduct a cost analysis and impact study based on moving to the
proposed new Step Progression System. Assess impact of condensing the structure and
capturing cost and other relevant data as requested should the City Manager decide to pay a
cost of living adjustment to proposed new Step plans.
➢ Once the current structure has been remodeled to requested specifications, analyze employee
compensation changes and the cost impact to implement the proposed new step pay plan and
system.
➢ Provide advice, counsel and other compensation consulting services as requested by the City
of Round Rock
Personnel - Bob Cartwright, SPHR / SHRM-SCP and President/CEO of Intelligent
Compensation, LLC will personally manage the services proposed.
Fees - Consulting fees for this assignment will be billed at a rate of $250.00 per hour.
Under this engagement, the estimated time to conduct compensation consulting services for the City
of Round Rock's Human Resources Department not to exceed 50 hours without prior written
approval from the City's Human Resources Director.
Payment & Invoices - For this assignment, Intelligent Compensation, LLC will invoice on a
monthly basis. With acceptance of this agreement, the City of Round Rock agrees to make
payment within 15 days of invoice date. In the event this account becomes delinquent,
Intelligent Compensation, LLC has the right to charge interest on unpaid fees and expenses at
the maximum rate permitted by state law. Costs associated with collecting the debt, including
court costs, filling fees and attorney's fees will be borne by the City of Round Rock.
Termination — Either Party upon fifteen (15) days written notice to the other Party may
terminate this Agreement. Upon termination of this Agreement, Intelligent Compensation,
LLC shall be entitled to payments for services performed and for associated expenses incurred
prior to termination.
General Agreement - Consulting and advisory services are not intended to be a substitute for
legal or financial advice. Thus, by signing this Agreement, the City of Round Rock agrees to
hold Intelligent Compensation harmless from any claims of liability for any omissions,
deletions or errors in information supplied. The City of Round Rock may wish to confer with
legal or financial counsel on any final work provided.
Entire Agreement - This Agreement contains the entire agreement of the parties and supersedes
any prior written or oral agreements between the parties.
Amendments - This agreement may be modified or amended if the amendment is made in
writing and is signed by both parties.
Applicable Law - The laws of the State of Texas will govern this Agreement.

Valerie, please review this Proposal / Agreement to provide compensation consulting services
for the City of Round Rock and if it meets your approval, sign it and return a copy of the
signature page back to me via e-mail.

Bob Cartwright, (SPHR), is founder, president, and chief executive officer of intelligent
Compensation, LLC, a compensation and human resource management consulting firm located
in the greater Austin, Texas area. Since 1995, Mr. Cartwright has managed numerous
assignments for a wide variety of clients including those in high technology, manufacturing,
services, information technology, health care, retail, telecommunications, legal, energy,
publishing, charitable non -profits, business association not -for -profits, public entities,
municipalities, financial services, oil and gas, and defense/aerospace. He has 30� years of
diversified experience in compensation and human resource management which includes the
development of total compensation strategies, wage and salary plans, executive compensation
strategies and studies, customized surveys, performance -based sales, balanced score -cards,
incentive and team -based compensation plans, and performance management systems. In
addition, he has provided human resource management, strategic planning and business
management advisory services for an array of companies both domestic and international.
Previously, he served in management at Tracor, Inc. in Austin, Texas for 14 years, where he had
corporate -wide responsibility for the company's global compensation programs and performance
management systems.
Mr. Cartwright's professional affiliations include; Board Director Texas Association of
Business; Texas SHRM Board Business Development, Previous Board Member and At -Large
District Director Texas SHRM State Council, World -At -Work (Formally the American
Compensation Association), Austin Human Resources Management Association (Past
Committee Co-chair for the Austin Area Pay and Benefits Survey), Williamson County Human
Resource Management Association (Charter Member & Past President), and the Central Texas
Compensation and Benefits Association. Mr. Cartwright is also a sought-after speaker and is
often quoted as a business/compensation expert in newspapers and print media around the
country. He has also been very active in national veteran and military spouse employment
initiatives. Previously, he served on the Total Rewards, Compensation, & Benefits National
Expertise Panel for the Society for Human Resource Management (SHRM).
Mr. Cartwright has been an active community leader and has served on various boards,
committees, and task forces, including the Texas Supreme Court's Jury System Reform Task
Force and Jury Compensation Subcommittee, Texas State Technical College's Performance
Management Review Task Force, Texas State Comptroller's Task Force on Welfare Reform -
Welfare To Work, and the Board of Directors of the Texas Association of Business and the
Austin Chamber of Commerce. Mr. Cartwright graduated from St. Edward's University with a
B.A. degree. His post -graduate work was concentrated in business administration.
