CM-2022-159 - 7/1/2022PROPOSAL FOR ENGINEERING SERVICES IN WILLIAMSON COUNTY, TEXAS STEGER BIZZELL 1978 SOUTH AUSTIN AVENUE, GEORGETOWN, TX 78626 A TEXAS REGISTERED ENGINEERING FfRM F-181 PHONE: 512-930-9412 MAY 31, 2022 CLIENT This agreement is entered into by and between Steger Bizzell ("Engineer") and City of Round Rock ("Client"). SCOPE OF SERVICES The Engineer shall provide general engineering services related to Client's public right-of-way acquisition efforts on the roadway improvement project commonly referred to as "Chisholm RTL Project". Engineer may be called upon to: • review existing or draft reports prepared by others; • prepare conceptual drawings of proposed improvements; • prepare sealed drawing of proposed improvements; • prepare an opinion of probable cost of construction; and • other engineering services as requested by Client. PROJECT FEES Our fees are derived from Engineer's billable time spent preparing this project and are based on our published hourly rates in effect on the date that the work was performed. Engineer's published hourly rates are subject to change with 30-days notice. Reimbursable expenses will be billed to Client at Engineer's cost. These charges may include, but are not limited to: postage or other delivery charges, document reproductions, third party contractors or consultants (if applicable). The total Project Fees shall not exceed $50,000 without additional authorization. PAYMENT TERMS Client will be billed monthly for all work that has been completed during the previous period and payment of invoices is due on receipt. Client bears ultimate responsibility for payment of all invoices. Final drawings or other related documents will not be released to Client until all balances are paid in full. Past due invoices may be subject to a finance charge of 1.5% (18.00% APR or the maximum allowable by law) after 90 days. Client further agrees to pay Engineer for work performed regardless of whether or not a project is approved by any public entities. Engineer also reserves the right to cease work on any project in the event that Client fails to fulfill any part of this contract. Paa/e1 o�f2 STEGERABIZZELL TERMINATION This contract may be terminated by either party providing the other with written notice 7 days prior to the cancellation date. Prior to cancellation date, Engineer shall be paid in full for all outstanding invoices and amounts due for work performed up to the date that proper notice was given to cease work on this project. Likewise, upon payment in full of all outstanding balances, Client shall receive copies of all plans, reports, etc. that have been prepared up to the cancellation date. Original documents will be retained by Engineer for its permanent record. DIspuTE RESOLUTION Mediation. Owner and Engineer agree to negotiate all disputes between them in good faith for a period of 30 days from the date of notice prior to invoking the following procedures. Engineer and Client agree that they shall first submit any and all unsettled claims, counterclaims, disputes, and other matters in question between them arising out of or relating to this Agreement or the breach thereof ("Disputes") to mediation. If such mediation is unsuccessful in resolving a Dispute, then (a) the parties may mutually agree to a dispute resolution of their choice, or (b) either party may seek to have the Dispute resolved by a court of competent jurisdiction in Williamson County, Texas. WORK AUTHORIZATION If this proposal is acceptable, please have an authorized signer execute this document. This proposal is non -assignable and is valid for 30 days from the date stated above.
