Contract - Fern Bluff MUD - 12/15/2022 REAL ESTATE CONTRACT
Wyoming Springs Extension (Segment 1) Right of Way
THIS REAL ESTATE CONTRACT("Contract") is made by and between FERN BLUFF
MUNICIPAL UTILITY DISTRICT, (referred to in this Contract as "Seller", whether one or
more) and the CITY OF ROUND ROCK,TEXAS (referred to in this Contract as "Purchaser"),
upon the terms and conditions set forth in this Contract.
ARTICLE I
PURCHASE AND SALE
By this Contract, Seller sells and agrees to convey, and Purchaser purchases and agrees to
pay for,the tract(s)of land described as follows:
All of that certain 0.920 acre (40,083 square foot) tract of land out of and situated
in the William Dugan Survey, Abstract No. 190 in Williamson County, Texas;
more fully described in Exhibit"A",attached hereto and incorporated herein; and
Public Utility Easement interest in and across all of that certain 0.208 acre (9,070
square foot) tract of land out of and situated in the William Dugan Survey,
Abstract No. 190 in Williamson County, Texas; more fully described in Exhibit
"B", attached hereto and incorporated herein;and
Trail Easement interest in and across all of that certain 0.212 acre (9,241 square
foot) tract of land out of and situated in the William Dugan Survey, Abstract No.
190 in Williamson County, Texas; more fully described in Exhibit "C", attached
hereto and incorporated herein; and
Temporary Construction Easement interest in and across all of that certain 0.044
acre (1,936 square foot) tract of land out of and situated in the William Dugan
Survey, Abstract No. 190 in Williamson County, Texas; more fully described in
Exhibit"C", attached hereto and incorporated herein;
together with all and singular the rights and appurtenances pertaining to the property, including
any right, title and interest of Seller in and to adjacent streets, alleys or rights-of-way (all of such
real property, rights, and appurtenances being referred to in this Contract as the "Property"), and
any improvements and fixtures situated on and attached to the Property described in Exhibit "A"
not otherwise retained by Seller, for the consideration and upon and subject to the terms,
provisions,and conditions set forth below.

ARTICLE II
PURCHASE PRICE
Purchase Price
2.01. The Purchase Price for the Property, compensation for any improvements on the
Property, and for any damage or cost of cure for the reconfiguration of the remaining property of
Seller shall be the sum of EIGHTY-SIX THOUSAND SIX HUNDRED NINETY THREE and
00/100 Dollars ($86,693.00).
Payment of Purchase Price
2.02. The Purchase Price shall be payable in cash or other good funds at the Closing.
ARTICLE HI
PURCHASER'S OBLIGATIONS
Conditions to Purchaser's Obligations
3.01. The obligations of Purchaser hereunder to consummate the transactions
contemplated hereby are subject to the satisfaction of each of the following conditions (any of
which may be waived in whole or in part by Purchaser at or prior to the Closing).
Miscellaneous Conditions
3.02. Seller shall have performed, observed, and complied with all of the covenants,
agreements, and conditions required by this Contract to be performed, observed, and complied
with by Seller prior to or as of the Closing.
ARTICLE IV
REPRESENTATIONS AND WARRANTIES
OF SELLER
4.01. Seller hereby represents and warrants to Purchaser as follows, which representations
and warranties shall be deemed made by Seller to Purchaser also as of the Closing Date, to the
best of Seller's knowledge:
(a) There are no parties in possession of any portion of the Property as lessees, tenants
at sufferance, or trespassers, other than previously disclosed to Purchaser;

(b) Seller has complied with all applicable laws, ordinances, regulations, statutes, rules
and restrictions relating to the Property, or any part thereof;
4.02. The Property herein is being conveyed to Purchaser in lieu of and under threat of
condemnation.
ARTICLE V
CLOSING
Closing Date
5.01. The Closing shall be held at the office of Longhorn Title Company on or before
January 31, 2023, or at such time, date, and place as Seller and Purchaser may agree, or within 10
days after the completion of any title curative matters if necessary for items as shown on the Title
Commitment or in the contract(which date is herein referred to as the"Closing Date").
Seller's Obligations at Closing
5.02. At the Closing Seller shall:
(1) Deliver to the City of Round Rock, Texas a duly executed and acknowledged Deed
conveying good and indefeasible title in fee simple to all of the Property described in Exhibit"A",
a duly executed an acknowledged Public Utility Easement interest in and to all of the Property
described in Exhibit"B", a duly executed and acknowledged Trail Easement interest in and to all
of the Property described in Exhibit "C", and a duly executed and acknowledged Temporary
Construction Easement in and to all of the property described in Exhibit"D", all free and clear of
any and all monetary liens and restrictions, except for the following:
(a) General real estate taxes for the year of closing and subsequent years not
yet due and payable;
(b) Any exceptions approved by Purchaser pursuant to Article III hereof; and
(c) Any exceptions approved by Purchaser in writing.
(2) The Deed shall be in the form as shown in Exhibit "E" attached hereto. The Public
Utility Easement shall be in the form as shown in Exhibit "F" attached hereto. The Trail Easement
shall be in the form as shown in Exhibit "G" attached hereto. The Temporary Construction
Easement shall be in the form as shown in Exhibit"H"attached hereto.
(3) Provide reasonable assistance as requested and at no cost to Seller to cause Title
Company to provide Purchaser a Texas Owner's Title Policy at Purchaser's sole expense, issued
by Title Company, in Purchaser's favor in the full amount of the Purchase Price, insuring
Grantee's fee simple and/or easement interests in and to the Property subject only to those title

exceptions listed herein, such other exceptions as may be approved in writing by Purchaser, and
the standard printed exceptions contained in the usual form of Texas Owner's Title Policy,
provided, however:
(a) The boundary and survey exceptions shall be deleted;
(b) The exception as to restrictive covenants shall be endorsed "None of
Record", if applicable; and
(c) The exception as to the lien for taxes shall be limited to the year of closing
and shall be endorsed"Not Yet Due and Payable".
(4) Deliver to Purchaser possession of the Property.
Purchaser's Obligations at Closing,
5.03. At the Closing, Purchaser shall:
(a) Pay the cash portion of the Purchase Price.
Prorations
5.04. General real estate taxes for the then current year relating to the Property shall be
prorated as of the Closing Date and shall be adjusted in cash at the Closing. If the Closing shall
occur before the tax rate is fixed for the then current year, the apportionment of taxes shall be
upon the basis of the tax rate for the next preceding year applied to the latest assessed valuation,
but shall otherwise be the continuing obligation of Seller to fully satisfy. Agricultural roll-back
taxes, if any, which directly result from the completion of this transaction and conveyance shall be
paid by Purchaser.
Closing Costs
5.05. All costs and expenses of closing in consummating the sale and purchase of the
Property shall be borne and paid as follows:
(1) Owner's Title Policy and survey to be paid by Purchaser.
(2) Deed,tax certificates,and title curative matters, if any, paid by Purchaser.
(3) All other closing costs shall be paid by Purchaser.
(4) Attorney's fees paid by each respectively as incurred.

ARTICLE VI
BREACH BY SELLER
6.01. In the event Seller shall fail to fully and timely perform any of its obligations
hereunder or shall fail to consummate the sale of the Property for any reason, except Purchaser's
default, Purchaser may: (1) enforce specific performance of this Contract; or (2) request that the
Escrow Deposit, if any,shall be forthwith returned by the title company to Purchaser.
ARTICLE VII
BREACH BY PURCHASER
7.01. In the event Purchaser should fail to consummate the purchase of the Property, the
conditions to Purchaser's obligations set forth in Article III having been satisfied and Purchaser
being in default and Seller not being in default hereunder, Seller shall have the right to receive the
Escrow Deposit, if any, from the title company, the sum being agreed on as liquidated damages
for the failure of Purchaser to perform the duties, liabilities, and obligations imposed upon it by
the terms and provisions of this Contract, and Seller agrees to accept and take this cash payment
as its total damages and relief and as Seller's sole remedy hereunder in such event. If no Escrow
Deposit has been made then Seller shall receive the amount of$5,000.00 as liquidated damages
for any failure by Purchaser.
ARTICLE VIII
MISCELLANEOUS
Notice
8.01. Any notice required or permitted to be delivered hereunder shall be deemed received
when sent by United States mail, postage prepaid, certified mail, return receipt requested,
addressed to Seller or Purchaser, as the case may be, at the address set forth opposite the signature
of the party.
Texas Law to Apply
8.02. This Contract shall be construed under and in accordance with the laws of the State
of Texas, and all obligations of the parties created hereunder are performable in Williamson
County,Texas.
Parties Bound
8.03. This Contract shall be binding upon and inure to the benefit of the parties and their
respective heirs, executors, administrators, legal representatives, successors and assigns where
permitted by this Contract.

Legal Construction
8.04. In case any one or more of the provisions contained in this Contract shall for any
reason be held to be invalid, illegal, or unenforceable in any respect, this invalidity, illegality, or
unenforceability shall not affect any other provision hereof,and this Contract shall be construed as
if the invalid, illegal,or unenforceable provision had never been contained herein.
Prior Agreements Superseded
8.05. This Contract constitutes the sole and only agreement of the parties and supersedes
any prior understandings or written or oral agreements between the parties respecting the within
subject matter.
Time of Essence
8.06. Time is of the essence in this Contract.
Gender
8.07. Words of any gender used in this Contract shall be held and construed to include any
other gender, and words in the singular number shall be held to include the plural, and vice versa,
unless the context requires otherwise.
Memorandum of Contract
8.08. Upon request of either party, the parties shall promptly execute a memorandum of
this Contract suitable for filing of record.
Compliance
8.09 In accordance with the requirements of Section 20 of the Texas Real Estate License
Act, Purchaser is hereby advised that it should be furnished with or obtain a policy of title
insurance or Purchaser should have the abstract covering the Property examined by an attorney of
Purchaser's own selection.
Effective Date
8.10 This Contract shall be effective as of the date it is approved by the Round Rock city
council or city manager, which date is indicated beneath the Mayor's or City Manager's signature
below.

Counterparts
8.1 1 This Contract may be executed in any number of counterparts, which may together
constitute the Contract. Signatures transmitted by facsimile or electronic mail may be considered
effective as originals for purposes of this Contract.
Contingent Possession and Use Agreement
8.12. Upon completion of (1) the full execution of this Contract by all parties, and (2)
acknowledgment by the Title Company of delivery by Purchaser of the full Purchase Price to the
Title Company, Purchaser, its agents and contractors shall be permitted at any time after January
31, 2023 to enter and possess the Property prior to Closing for the purpose of completing any and
all necessary testing, utility relocation and construction activities associated with the proposed
roadway improvement construction project of Purchaser on the Property or other obligations of
this Contract, and Seller agrees to make any gate access available to Purchaser, its contractors or
utility facility owners as necessary to carry out the purposes of this paragraph. The parties further
agree to continue to use diligence in assisting with any title curative measures or mortgage lien
release required by the Contract to complete the Closing of the purchase transaction.

COMMENCING at a 1/2-inch iron rod with "Austin"cap found in the south right-of-way line of County
Road (C.R.) 174 (also known as Hairy Man Road)(right-of-way width varies) at the northwest corner
of a called 5.100 acre tract of land conveyed to the Williamson County in a Dedication of Right-of-
Way, recorded in Document No. 9861935, O.P.R.W.C.T., being a northeasterly corner of the said
21.394 acre Fern Bluff Municipal Utility District tract;
THENCE leaving the south right-of-way line of C.R. 174/Hairy Man Rd., with common lines of the
said 5.100 acre Williamson County R.O.W. dedication tract and the said 21.394 acre Fern Bluff
Municipal Utility District tract, the following two (2) courses and distances:
1. With a curve to the right, having a radius of 25.00 feet, a delta angle of 63°46'05", an arc
length of 27.82 feet and a chord which bears South 55°21'55" East, a distance of 26.41 feet
to a 1/2-inch iron rod found at the point of reverse curvature;
2. With a curve to the left, having a radius of 2060.00 feet, a delta angle of 09°12'44", an arc
length of 331.22 feet, and a chord which bears North 27°59'29" West, a distance of 330.86
feet to a calculated point having Texas State Plane Central Zone/NAD 83 surface coordinate
values of N 10165465.87 and E 3119184.33, 89.12 feet left of proposed Engineer's
Centerline Station (E.C.S.) 133+61.89, for the POINT OF BEGINNING and most northerly
corner of the herein described tract of land;
THENCE continuing with a common line of said 5.100 acre Williamson County R.O.W. dedication
tract and the said 21.394 acre Fern Bluff Municipal Utility District tract, the following two (2) courses
and distances:
1. with a curve to the left, having a radius of 2060.00 feet, a delta angle of 01°10'18", an arc
length of 42.12 feet, and a chord which bears South 33*11'00" East, a distance of 42.12 feet
to 1/2-inch iron rod with "Austin"cap found;
2. South 33°48'19" East, a distance of 35.49 feet to a calculated point for the most easterly
corner of the herein described tract of land, being 81.27 feet left of E.C.S. 132+83.63;
THENCE leaving the common line of said 5.100 acre Williamson County R.O.W. dedication tract and
the said 21.394 acre Fern Bluff Municipal Utility District tract, over and across the said 21.394 acre
Fern Bluff Municipal Utility District tract, the following three (3) courses and distances:
1. South 56°1V41" West, a distance of 25.00 feet to a calculated point for the most southerly
corner of the herein described tract of land, being 106.09 feet left of E.C.S. 132+80.311-

corner of the herein described tract of land, being 114.03 feet left of E.C.S. 133+59.76 from
which a 1/2-inch iron rod found at an angle point in the west line of the said 21.394 acre Fern
Bluff Municipal Utility District tract, being the most easterly common corner of Lots 67 and 68
of the Final Plat of Stone Canyon Section Five-A, a subdivision of record in Cabinet Q, Slides
57-59, of the Plat Records of Williamson County, Texas, bears North 83°37'17" West, a
distance of 47.74 feet;
3. North 57°24'09" East, a distance of 25.00 feet to the POINT OF BEGINNING and containing
0.044 acre of land, more or less,within these metes and bounds.
NOTES:
The bearing basis of this description is the Texas State Plane Coordinate System (NAD83/Central
Zone) based upon multiple, repeated GPS observations utilizing the TXDOT VRS network.
Distances are U.S. survey feet, shown in surface values and may be converted to grid using the
surface adjustment factor of 1.00012.
This is to certify that this map or plat and the survey on which it is based are true and correct to the

That FERN BLUFF MUNICIPAL UTILITY DISTRICT, hereinafter referred to as
Grantor, whether one or more, for and in consideration of the sum of Ten Dollars ($10.00) and

the receipt and sufficiency of which is hereby acknowledged, and for which no lien is retained,

and Convey unto CITY OF ROUND ROCK, TEXAS, all that certain tract or parcel of land
lying and being situated in the County of Williamson, State of Texas, along with any
improvements thereon, being more particularly described as follows (the "Property"):
Being 0.920 acre (40,083 square feet), more or less, out of the William Dugan Survey,
Abstract No. 190, in Williamson County, Texas, being a portion of the called 21.394
acre tract of land conveyed to Fern Bluff Municipal Utility District in Document No.
2002000474 of the Official Public Records of Williamson County, Texas, said parcel of
land being more particularly described by metes and bounds in Exhibit "A" attached
hereto and made a part hereof.
SAVE AND EXCEPT, HOWEVER, it is expressly understood and agreed that Grantor is
retaining title to the following improvements located on the Property, to wit: NONE
RESERVATIONS FROM AND EXCEPTIONS TO CONVEYANCE AND WARRANTY:
Visible and apparent easements not appearing of record.
Any discrepancies, conflicts, or shortages in area or boundary lines or any
encroachments or any overlapping of improvements which a current survey would show.
Easements, restrictions, reservations, covenants, conditions, oil and gas leases, mineral
severances, and encumbrances for taxes and assessments (other than liens and conveyances)
presently of record in the Official Public Records of Williamson County, Texas, that affect the
property, but only to the extent that said items are still valid and in force and effect at this time.
Grantor reserves all of the oil, gas and other minerals in and under the land herein conveyed but
waives all rights of ingress and egress to the surface thereof for the purpose of exploring, developing,
mining or drilling or pumping the same; provided, however, that operations for exploration or recovery
of any such minerals shall be permissible so long as all surface operations in connection therewith are
located at a point outside the acquired parcel and upon the condition that none of such operations shall
be conducted so near the surface of said land as to interfere with the intended use thereof or in any way
interfere with,jeopardize, or endanger the facilities of City of Round Rock, Texas or create a hazard to
the public users thereof; it being intended, however, that nothing in this reservation shall affect the title
and the rights of Grantee to take and use without additional compensation any, stone, earth, gravel,
caliche, iron ore, gravel or any other road building material upon, in and under said land for the
construction and maintenance of Wyoming Springs Blvd.
TO HAVE AND TO HOLD the property herein described and herein conveyed together with
all and singular the rights and appurtenances thereto in any wise belonging unto City of Round
Rock, Texas and its assigns forever; and Grantor does hereby bind itself, its heirs, executors,
administrators, successors and assigns to Warrant and Forever Defend all and singular the said
premises herein conveyed unto City of Round Rock, Texas and its assigns against every person
whomsoever lawfully claiming or to claim the same or any part thereof.
This deed is being delivered in lieu of condemnation.

assigns, whose current address is 7320 Wyoming Springs Drive, Round Rock, Texas 78681,
("Grantor"), for and in consideration of the sum of Ten and No/100 Dollars ($10.00) and other
good and valuable consideration paid by the CITY OF ROUND ROCK, TEXAS, a municipal
corporation situated in the County of Williamson and State of Texas ("Grantee"),the receipt and
sufficiency of which is hereby acknowledged, does hereby GRANT, SELL and CONVEY unto
Grantee certain rights and interests in the nature of a perpetual public utility easement and right-
of-way in, upon,over, under, above and across the following described property, to-wit:
All of that certain 0.208 acre (9,070 Sq. Ft.)tract of land in the William Dugan
Survey, Abstract No. 190, Williamson County, Texas; being more fully
described by metes and bounds in Exhibit "A", attached hereto and
incorporated herein.
The perpetual easement, right-of-way, rights and privileges herein granted shall be used for the
purposes of location, placement, relocation, construction, operation, enlargement, maintenance,
alteration, repair, rebuilding, removal and patrol of public utilities, to-wit: electric transmission
and distribution lines, telecommunication and cable television lines, water lines, natural gas
lines, wastewater lines, sanitary sewer lines, connecting lines, access facilities and related
equipment, stonmwater lines, drainage systems and structures, all necessary conduits, valves,
vaults, manholes, ventilators and appurtenances, storm sewers and collection facilities, drainage
pipes, ditches, culverts and all other subsurface drainage structures, and any necessary
accessories or operations.
This conveyance is made and accepted subject to any and all conditions and restrictions,
if any, relating to the hereinabove described property to the extent, and only to the extent, that
the same may still be in force and effect and shown of record in the office of the County Clerk of
Williamson County,Texas.
Except as otherwise noted, the easement, rights and privileges herein granted shall be
perpetual, provided however that said easement, rights, and privileges shall cease and revert to
Grantor in the event the utilities are abandoned, or shall cease to be used, for a period of five (5)
consecutive years.

The perpetual easement, right-of-way, rights and privileges granted herein are non-
exclusive, however, Grantor covenants not to convey any other easement or conflicting rights
within the premises covered by this grant, without the express written consent of Grantee, which
consent shall not be unreasonably withheld. Grantee shall have the right to review any proposed
easement or conflicting use to determine the effect, if any, on the utilities contemplated herein.
Prior to granting its consent for other easements, Grantee may require reasonable safeguards to
protect the integrity of the utilities thereon.
Grantor also retains, reserves, and shall continue to enjoy the surface of such easement
for any and all purposes which do not interfere with and prevent the use by Grantee of the
easement, including the right to build and use the surface of the easement for private streets,
roads, driveways, alleys, walks, gardens, lawns, parking areas and other like uses; provided
Grantor shall not erect or construct on the easement any building or other structure such as a
patio, swimming pool, sport court, storage shed, accessory building, barbeque pit or similar
structure, or drill or operate any well, or construct any reservoir or other obstruction on the
easement, or diminish or substantially add to the ground cover over the facilities. Grantee shall
not be responsible or liable for the removal, repair or damage to any property, structure, building,
or other use inconsistent with the rights conveyed to Grantee by the easement; provided,
however, before constructing any improvements, at least ten (10) days' written notice shall be
provided to Grantee of the general plans of the improvement to be constructed on the easement,
and Grantor must first obtain the consent and approval from Grantee of the construction and
location of any improvements within the easement.
Grantee hereby covenants and agrees:
(a) Grantee shall not fence the easement;
(b) Grantee shall promptly backfill any trench made by it on the easement and repair
any damage it shall do to Grantor's private roads or lanes on the lands;
(c) To the extent allowed by law, Grantee shall indemnify Grantor against any loss
and damage which shall be caused by the exercise of the rights of ingress and
egress or by any wrongful or negligent act or omission of Grantee's agents or
employees in the course of their employment.
It is understood and agreed that any and all equipment and facilities placed upon said
property by Grantee shall remain the property of Grantee.
Grantor hereby dedicates the easement as a public utility easement for the purposes stated
herein.

TO HAVE AND TO HOLD the rights and interests described unto Grantee and its
successors and assigns, forever, together with all and singular all usual and customary rights
thereto in anywise belonging, and together with the right and privilege at any and all times to
enter said premises, or any part thereof, for the purpose of constructing or maintaining said
utilities and for making connections therewith,and Grantor does hereby bind itself, its successors
and assigns and legal representatives, to WARRANT AND FOREVER DEFEND, all and

TRAIL EASEMENT

§ KNOW ALL BY THESE PRESENTS:
COUNTY OF WILLIAMSON §
That FERN BLUFF MUNICIPAL UTILITY DISTRICT, and their successors and
assigns, ("Grantor", whether one or more), for and in consideration of the sum of Ten and
No/100 Dollars ($10.00) and other good and valuable consideration paid by the CITY OF
ROUND ROCK, TEXAS, a home-rule municipality situated in the County of Williamson and
State of Texas ("Grantee"), the receipt and sufficiency of which is hereby acknowledged, does
hereby GRANT, SELL and CONVEY unto Grantee certain rights and interests in the nature of a
public trail easement, for the benefit of the general public, in the form of recreational trails over
and across the below-described property, for use by the public for the purpose of walking,
running, hiking, bicycling, or traversing over, upon and across, and otherwise using such trails;
together with the express right to construct such recreational trails and associated facilities and
maintain the easement area by clearing and removing vegetation, silt and debris therefrom, in,
upon, over, under, above and across the below-described property (the "Property" or
"Easement"):
All of that certain 0.212 acre (9,214 Sq. Ft.) tract of land in the William Dugan
Survey, Abstract No. 190, Williamson County, Texas; being more fully described
by metes and bounds in Exhibit"A",attached hereto and incorporated herein.
The perpetual easement, rights-of-way, rights and privileges herein granted shall be used
for the purposes of location, placement, relocation, construction, operation, enlargement,
maintenance, alteration, repair, rebuilding, removal and patrol of public recreational trail
facilities, public trail and vegetative and/or decorative landscape materials, and related
appurtenances,equipment and signage.
This conveyance is made and accepted subject to any and all conditions and restrictions,
if any, relating to the hereinabove described Property to the extent, and only to the extent, that
the same may still be in force and effect and shown of record in the office of the County Clerk of
Williamson County,Texas.
Except as otherwise noted, the easements, rights and privileges herein granted shall be

The easements, rights and privileges granted herein are exclusive, and Grantor covenants

by this grant, unless otherwise specified herein, without the express written consent of Grantee,
which consent shall not be unreasonably withheld. Grantee shall have the right to review any
proposed easement or conflicting use of the easement to determine the effect, if any, on the
facilities contemplated herein. Prior to granting its consent for other easements, Grantee may
require reasonable safeguards to protect the integrity of the facilities thereon. As required by this
paragraph, express written consent of Grantee shall be obtained by Grantor in the following
manner: advance written notice must be given by certified mail to the (1) City of Round Rock
City Manager at 221 East Main Street, Round Rock, Texas 78664, and (2) City Engineer at 2008
Enterprise Drive, Round Rock, Texas 78664. Following receipt of such notice, the City of
Round Rock shall have ten (10) days in which to respond in writing granting consent,
conditioning consent upon reasonable safeguards, or denying consent.
Grantor reserves the right to grant additional easements for utility use across the
Easement or the Property, but not longitudinally over the Easement, provided (I) crossings are
made at not less than approximate 45°angle to the trail facilities;(2) sufficient clearance between
facilities is maintained; and (3) such construction does not interfere with the access to, or with
the operation, maintenance and safety of the Grantee's trail facilities, as reasonably determined
by Grantee. If approval by City of Round Rock is required, then such approval shall not be
unreasonably withheld.
Grantor further grants to Grantee:
(a) the right to grade the easement for the full width thereof;
(b) the right from time to time to trim and to cut down and clear away any and all
trees and brush now or hereafter on the Easement and to trim and to cut down and
clear away any trees on either side of the Easement which now or hereafter in the
opinion of Grantee may be a hazard to any of the facilities, by reason of the
danger of falling thereon or root infiltration therein, or which may otherwise
interfere with the exercise of Grantee's rights hereunder;
(c) the right to mark the location of the Easement by suitable markers set in the
ground; provided that such markers shall be placed in fences or other locations
which will not interfere with any reasonable use Grantor shall make of the
easement;
To the extent allowed by law, Grantee shall indemnify Grantor against any loss and
damage which shall be caused by the exercise of the rights of ingress and egress or by any
wrongful or negligent act or omission of Grantee's agents or employees in the course of their
employment.

the condition in which the same was in before the work was undertaken,considering the uses and
purposes of the rights granted herein.
Grantor hereby dedicates the Easement as a trail easement for the purposes stated herein.
This Easement is being delivered in lieu of condemnation.
TO HAVE AND TO HOLD the rights and interests described unto Grantee and its
successors and assigns, forever, and Grantor does hereby itself, and its successors and assigns,
and legal representatives, to warrant and forever defend, all and singular, the above-described

TEMPORARY CONSTRUCTION EASEMENT

KNOW ALL PERSONS BY THESE PRESENTS:
That FERN BLUFF MUNICIPAL UTILITY DISTRICT (hereafter referred to as
"Grantor"), whether one or more, in consideration of Ten Dollars ($10.00) and other good and
valuable consideration paid by Williamson County, Texas, the receipt of which is hereby
acknowledged,does hereby grant to CITY OF ROUND ROCK,TEXAS its agents,contractors,
successors and assigns (referred to as "Grantee"), a temporary construction easement for the
purpose of constructing and/or reconstructing a sidewalk/shared use path/recreational trail
connection between the proposed Wyoming Springs Extension Segment I roadway and
sidewalk/shared use path improvements ("Project") and the existing recreational trail on the
remaining property of Grantor, and any associated grading and drainage therewith, in, along,
upon and across the property described in Exhibit "A" ("the Property") as necessary to carry out
the purposes of this easement. The removal and/or construction by Grantee of any
improvements, sidewalk, path, trail or related facility or appurtenances on the Property shall be
in the location of, subject to, and shall comply with any notes, details, specifications or other
requirements or restrictions as shown on the plan sheets attached as Exhibit`B"and incorporated
herein.
The parties agree further as follows:
Following completion of work within the temporary construction easement area
described in Exhibit"A", Grantee shall at its expense and within ninety (90) days of completion
of the work restore any Property injured or damaged by Grantee's use of the easement area and
activities thereon, including specifically landscaping, irrigation, parking, pavement, signage,
lighting or vegetation, as closely as possible to substantially the same condition or better than
existed previous to Grantee's entry upon the Property, taking into consideration the use and
purposes to which the Property is to be put,or any design specifications as set out in Exhibit"B".
This temporary construction easement shall be in full force and effect at all times during
the accomplishment and completion of the construction activities described above. This
temporary construction easement shall terminate and the easement rights and improvements
constructed within the easement area, if any, shall revert to and become the responsibility of the
Grantor, Grantor's successors, and assigns, and all interest conveyed shall terminate on the
earlier of(a) the expiration of twelve (12) months after first entry upon the Property by Grantee
or its Project contractors for the purposes as set out in this easement, or (b) on the date of
completion of construction of the Project,or(c)on December 31, 2027.
Grantee shall be allowed to extend the duration of the Temporary Construction Easement
identified herein for up to three (3) additional and consecutive thirty (30) day periods upon (1)
notification to Grantor in writing of the requested extension period, and (2) tendering the sum
of$1,000.00 for each additional extension period used.
To the extent allowed by law, Grantee shall indemnify Grantor against any loss and
damage which shall be caused by the exercise of the rights of ingress and egress or by any
wrongful or negligent act or omission of Grantee's agents or employees in the course of their
employment.
At no time during the grant of this easement shall Grantor be denied reasonable ingress
and egress to its remaining property for the purposes to which the parent tract is currently being
put, unless there is an agreement to do so between Grantor and Grantee in advance.
At no time during the grant of this easement shall Grantee, its agents or contractors be
allowed to store machinery or materials within the easement area unattended or during periods
where no active construction work is being performed in the right of way adjacent to the
easement area.
This conveyance is subject to all easements and rights of way of record, visible or
apparent on the ground, all restrictions, reservations, covenants, conditions, oil, gas, or other
mineral leases,mineral severances and other instruments that affect the Property.
