COUNTY OF WILLIAMSON §
WHEREAS, Pulte Homes of Texas, L.P., a Texas limited partnership, and Wilshire Homes,
Inc., Texas corporation (collectively, the "Owner ") are the owners of that real property situated in
Williamson County, Texas, which is more particularly described as:
WHEREAS, the City of Round Rock, Texas, a home -rule city, and the Owner have agreed
that the Property should be impressed with certain covenants and restrictions running with the land
and desire to set forth such agreement in writing;
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Owner agrees as follows, which agreement will be deemed as
a covenant running with the land comprising the Property and be binding on the Owner, its
successors and assigns.
2. a. A maximum of 25% of the single - family lots subdivided out of the Property
may be 50 feet wide.
b. The limitation contained in subparagraph a notwithstanding, for every lot out
of the Property that contains 10,000 square feet or more, the Owner will be entitled to an additional
one and one -half 50 -foot wide lots. In other words, if the Owner develops two 10,000 square foot
lots, then the Owner will be entitled to three 50 -foot wide lots in addition to the 25% permitted
under subparagraph a.
3. If any person or entity violates or attempts to violate the foregoing agreement and
covenant, the City of Round Rock or its successors and assigns may prosecute proceedings at law
or in equity against the person or entity violating or attempting to violate this agreement and
covenant and may enjoin that person or entity from violating or attempting to violate this covenant.

Texas, being a part of that certain 60.8766 acre tract described in Volume 2064,
Page 380 of the Official Records of Williamson County, Texas, and part of that
certain 135.7535 acre tract described in Volume 2907, Page 187 of the Official
Records of Williamson County, Texas, and part of that 193.12 acre tract described
in Volume 2064, Page 370 of the Official Records of Williamson County, Texas,
and being more particularly described by metes and bounds on the attached
Exhibit "A" (the "Property "); and
1. A maximum of 900 single - family lots may be subdivided out of the Property.
4. if any part or provision of this agreement and the covenant herein contained is
declared invalid, by judgment or court order, that invalidity will not affect any of the other
provisions of this agreement, and the remaining portion of this agreement will remain in full force
and effect.
5. Any failure of the City of Round Rock, its successors and assigns to enforce this
agreement and the covenant contained herein, whether the violations are known or not, will not
constitute a waiver or estoppel of the City's right to do so.
6. This agreement may be modified, amended or terminated only by joint action of both
(a) a majority of the members of the City Council of the City of Round Rock, or such other
governing body as may succeed the City Council of the City of Round Rock, and (b) the owners of
the Property at the time of the modification, amendment or termination.
7. This agreement may be executed simultaneously in two or more counterparts, each
of which will be deemed an original, but all of which will constitute one and the same instalment.

Pursuant to our telephone conversations of yesterday, I am enclosing an original restrictive
covenant ("Covenant") limiting the maximum number of lots and the size of the lots to be permitted
on the "Rusk Tract ", the zoning for which tract is scheduled to be considered by the Round Rock
City Council at its meeting tonight. You requested that this original Covenant be delivered to you
prior to City Council action on the zoning request; therefore, I am delivering it to you in trust, with
the understanding that you will not release it or record it unless the City Council approves the
pending SF -2 zoning request for the Rusk Tract with no conditions other than those contained in the
Covenant If the City Council does not approve the SF -2 zoning, or if it imposes any conditions on
the zoning other than those contained in the enclosed Covenant, you must return the original
Covenant to me unless you receive a further written approval of the change or condition from me.

WHEREAS, after considering the public testimony received at
such hearing, the Planning and Zoning Commission has recommended
that the Official Zoning Map be amended so that the property
described in Exhibit "A" be zoned as District SF -2 (Single Family -

WHEREAS, on the 13th day of January, 2000, after proper
notification, the City Council held a public hearing on the
