CM-2023-091 - 5/5/2023SUPPLEMENTAL AGREEMENT NO.1 TO "CITY OF ROUND ROCK AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES FOR CONSTRUCTION MATERIAL TESTING SERVICES WITH TSIT ENGINEERING AND CONSULTING, LLC" CITY OF ROUND ROCK § § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. I to "City of Round Rock Agreement for Professional Consulting Services for Construction Material Testing Services with TSIT Engineering and Consulting, LLC," called "Supplemental Agreement No. I," is made by and between the CITY OF ROUND ROCK, TEXAS, a home -rule municipality, with offices located at 221 East Main Street, Round Rock, Texas 78664-5299 (referred to herein as the "City'), and TSIT ENGINEERING AND CONSULTING, LLC whose offices are located at 2211 Century Center Boulevard, Suite 101, Irving, Texas 75062 (referred to herein as the "Consultant'). WHEREAS, the City and Consultant previously executed the referenced "City of Round Rock Agreement for Professional Consulting Services for Construction Material Testing Services," hereinafter referred to as the "Agreement" on March 25, 2021 by Resolution No. 2021-075;and WHEREAS, the City and Consultant desire to increase the costs by $100,000.00 as set forth herein and extend the estimated completion time for the work to be performed by Consultant; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said Agreement is amended and supplemented as follows: I. Section 1.0 of the Agreement is hereby amended to read as follows: This Agreement shall be effective on the date this Agreement has been signed by each party hereto, and shall remain in full force and effect unless and until it expires by operation of the term indicated herein, or is terminated or extended as provided herein. 4886-1796-3358/ss2 %2oZ3-c771 The term of this Agreement shall be until full and satisfactory completion of the work specified herein is achieved, estimated to be completed by December 31, 2024. 11. Section 4.0 (A) of the Agreement is hereby amended to read as follows: 4.0 CONTRACT AMOUNT In consideration for the professional consulting services to be performed by Consultant, City agrees to pay Consultant in accordance with and for the deliverables set forth in Exhibit "A" as follows: A. Not -to -Exceed Total Payment for Services: Consultant's total compensation for consulting services related to the Project hereunder shall not exceed Three Hundred Thousand and No/100 Dollars ($300.000.00). This Supplemental Agreement No. I shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. This project is a partnership between the Cities of Austin, Cedar Park, Leander, and Round Rock. On behalf of the partner Cities, Round Rock conducted a Request for Qualifications process to select a firm for these construction materials testing services in May 2020. As part of managing the project, the owners contractually pay for all the construction materials testing services to make sure the contractor is meeting the specifications for the materials being used on the project. Should a quality test or observation fail, the contractor is contractually liable to pay for subsequent testing until a passing test is achieved. This item is to approved a Supplemental Contract No. 1 with TSIT Engineering and Consulting, LLC to perform additional construction materials and observation services based on the costs for testing shown in the proposal and Exhibit "A" to the contract. The original contract was for $200,000 and the costs have exceeded that amount. The not -to -exceed cost for this supplemental contract is $100,000.
