WHEREAS, the Brushy Creek Regional Utility Authority, Inc. ("BCRUA") has previously
entered into a Contract for Engineering Services ("Contract") with Walker Partners for the BCRUA
Underwater Pipeline Replacement Project, and
WHEREAS, Walker Partners has submitted Supplemental Contract No. 2 to the Contract to
modify the provisions for the scope of services and to increase the compensation, and
WHEREAS, the BCRUA desires to enter into said Supplemental Contract No, 2, Now
Therefore
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BRUSHY CREEK
REGIONAL UTILITY AUTHORITY:
That the Board President is hereby authorized and directed to execute on behalf of the BCRUA
Supplemental Contract No. 2 with Walker Partners, a copy of same being attached hereto as Exhibit
"A" and incorporated herein for all purposes.
The Board of Directors hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

SUPPLEMENTAL CONTRACT NO.2
TO CONTRACT FOR ENGINEERING SERVICES

This Supplemental Contract No. 2 to Contract for Engineering Services is made by and between
the BRUSHY CREEK REGIONAL UTILITY AUTHORITY, INC., hereinafter called "BCRUA"
and Walker Partners, hereinafter called the "Engineer."
WHEREAS, BCRUA and Engineer executed a Contract for Engineering Services, hereinafter
called the "Contract," on the 26th day of January, 2022 for the Underwater Pipeline Replacement
Project ("Project') in the amount of $277,645.00; and
WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 1 on August 24, 2022
to amend the scope of services and to increase the compensation by $81,966.00, adjusting the lump
sum amount from $214,855.00 to $279,593.00 and the maximum amount from $62,790.00 to
$80,018.00 for a total Project compensation to $359,611.00; and
WHEREAS, it has become necessary to amend the Contract to modify the provisions for the scope
of services and to increase the compensation by $264,810.00, adjusting the lump sum amount from
$279,593.00 to $336,760.00 and the maximum time and materials amount from $80,018.00 to
$287,661.00 for a total project amount of $624,421.00;
NOW THEREFORE, premises considered, BCRUA and the Engineer agree that said Contract is
amended as follows:
I.
Article 2, Engineering Services and Exhibit B, Engineering Services shall be amended as set forth
in the attached Addendum To Exhibit B. Exhibit C. Work Schedule shall be amended as set forth
in the attached Addendum To Exhibit C.
II.
Article 4, Compensation and Exhibit D. Fee Schedule shall be amended by increasing the lump
sum amount payable under the Contract from $279,593.00 to a total of $336,760.00 and the
maximum time and materials amount payable from $80,018.00 to a total of $287,661.00 for a total
Project amount of $624,421.00, as shown by the attached Addendum to Exhibit D.

ADDENDUM TO EXHIBIT B
ENGINEERING SERVICES
GENERAL
BCRUA (the OWNER) pumps raw water from Lake Travis through the Phase 1A raw water
pipeline. Design of approximately 1,400 linear feet of the underwater pipeline replacement is
nearing completion and bidding. Due to the long -lead nature of procuring the 36-inch restrained
ball and socket joint pipe, the pipe procurement has been separated from the construction
contract and will be pre -procured via a competitive purchase agreement by the OWNER. The
pipe will be assigned to the subsequently selected Contractor via an Assignment Agreement as
an addendum to the Construction Contract. This Supplemental Amendment No. 2 includes the
effort to separate the pipe pre -procurement from the Construction Contract and coordinate the
documents and applicable assignment of the responsibility, insurance, and warranties for the
pipe and the installation.
The downstream section of raw water pipeline has four inoperable butterfly valves that require
repair and 21 air valves that require upgrades for improved operational safety. This
Supplemental Amendment No. 2 includes the investigation and design of repairs to existing raw
water butterfly valves and recommended operational improvements of air valve isolation valves
and vault access improvements along the raw water pipeline.
Additionally, this Supplemental Amendment No. 2 includes the effort associated with
construction administration services for the Underwater Pipeline and Raw Water Valve
Improvements Project.
ASSUMPTIONS
ENGINEER'S assumptions apply to all tasks set forth in this Exhibit.
1) The additional work under the Underwater Pipeline Improvements project shall include:
a) Project manual modifications and coordination of pre -procurement pipe
specification with pipe installation specifications, assignment agreement, other
Division 0 and 1 modifications required to transfer OWNER provided materials to
the subsequently selected Contractor.
b) Investigation, development of repair procedure, and improvement details for:
i) 24-in Raw Water Butterfly Valve @ STA 31+67 (Phase 1, Contract 2 Pipeline)
ii) 24-in Raw Water Butterfly Valve @ STA 31+92 (Phase 1, Contract 2 Pipeline)
iii) 36-in Raw Water Butterfly Valve @ STA 40+59.62 (Phase 1, Contract 1 Pipeline)
iv) 78-in Raw Water Butterfly Valve @ STA 67+50 (Phase 1, Contract 1 Pipeline)
c) Investigation and final design of air valve isolation valves and vault improvements
for 15 existing controlled venting vacuum valves and 6 combination air/vacuum
valves along the existing Raw Water Pipeline.

6) Coordination with the Pedernales Electric Cooperative (PEC) is not expected, and design
of PEC power supply/feed improvements are not included in this scope.
7) ENGINEER shall prepare the construction contracts as competitive sealed proposals
utilizing the City of Cedar Park Division 0 documents (proposal form, agreement general
conditions, and supplemental conditions) and CSl MasterFormat specifications (6-digit,
50 division).
8) The design will be based on the federal, state, and local codes and standards in effect at
the start of the project. Any changes in these codes may necessitate a change in scope.
9) Preparing to serve or serving as a consultant or witness for OWNER in any litigation,
arbitration, or other dispute resolution process related to the Project is not included.
10) Draft and final deliverables shall be provided in electronic (PDF) format and 10 printed
copies shall be provided to Owner for review and filing. Drawings shall generally be
produced as bound sets of half-size (11 x 17) prints. Five bound sets of full-size prints of
final bidding documents shall be produced.
11) ENGINEER shall not be required to sign any documents, no matter by whom requested,
that would result in the ENGINEER having to certify, guarantee, or warrant the
existence of conditions whose existence the ENGINEER cannot ascertain. Owner agrees
not to make resolution of any dispute with the ENGINEER or payment of any amount
due to the ENGINEER in any way contingent upon the ENGINEER signing any such
documents.
12) It is recognized that neither ENGINEER nor the Owner has control over the cost of labor,
materials or equipment; over the Contractor's methods of determining bid prices; or
over competitive bidding, market or negotiating conditions. Accordingly, ENGINEER
cannot and does not warrant or represent that bids or negotiated prices will not vary
from the Owner's Project budget or from any opinion of construction cost or evaluation
prepared or agreed to by ENGINEER.
BASIC SCOPE OF SERVICES
Task 1.0 - Project Management, Coordination and Meetings
1.1 Project Administration.
1.1.1 Project Management Plan (PMP). No additional services anticipated.

1.1.2 Manage and coordinate staff resources, subconsultants, and project planning.
1.1.3 Prepare monthly invoices and project progress reports and updates for the
OWNER website portal. As a minimum, monthly progress reports shall include a
summary description of tasks completed as of the report date, description of
activities planned for the next 60 days, financial status of the project, status of
schedule for project, and identification of technical or other issues which may
have an impact to the overall project budget and/or schedule.
1.1.4 Provide and maintain the full project schedule in MS Project format that is
updated and submitted monthly with each invoice.
1.1.5 Facilitate document control and document sharing for electronic filing of
documents. Develop and coordinate drawing and graphic standards.
1.2 Project Meetings. Participants include staff from OWNER and ENGINEER, as well as key
ENGINEER subconsultant staff. ENGINEER shall prepare meeting minutes and submit for
review and comment within 10 days of each meeting.
1.2.1 Attend monthly progress meeting with OWNER for a total of 2 meetings.
Task 1.0 Deliverables

Task 3.0 - 90 Percent Design.
3.1 Conduct field investigation and data acquisition for the existing raw water butterfly
valves, controlled venting vacuum valves, and combination air/vacuum valves that
require repair and/or improvements. Develop improvement plans and procedures for
inclusion in the construction documents.
Task 4.0 - Final Bidding Documents. Prepare additional final drawings and specifications sealed
and signed by a Professional Engineer registered in the State of Texas and showing the scope,
extent, and character of the work to be performed by or furnished by the Contractor.
4.1 Prepare and furnish additional final drawings and specifications relative to valve repairs
and air valve vault modifications with incorporated compliance comments and Owner
signatures.
4.2 Prepare an OPCC based on the final documents. Contingency shall be set at
approximately 15 percent which is within the recommended contingency range for a
Class 1 estimate based on the guidelines set forth by the American Association of Cost
Engineers for a design with 65 to 100 percent project definition level.
4.3 Develop Pre -Procurement Pipe Specification and modification and coordination of the
previously developed Underwater Pipeline Improvements project manual required to
transfer OWNER provided materials (pre -procured pipe) to the subsequently selected
Contractor.

Task 9.0 - Construction Administration.
9.1 General Administration of Construction Contract. Consult with Owner and act as
Owner's representative as provided in the General Conditions. The extent and
limitations of the duties, responsibilities, and authority of Engineer as assigned in the
General Conditions shall not be modified, except as Engineer may otherwise agree in
writing. All of Owner's instructions to Contractor will be issued through Engineer, which
shall have authority to act on behalf of Owner in dealings with Contractor to the extent
provided in this Agreement and the General Conditions, except as otherwise provided in
writing.
9.2 Pre -Construction Conferences. Facilitate a Pre -Construction Conference prior to
commencement of Work at the Site.
9.3 Schedules. Receive, review, and determine the acceptability of all schedules that
Contractor is required to submit to Engineer, including the Progress Schedules,
Schedules of Submittals, and Schedules of Values.
9.4 Observation of Construction. Observe, as an experienced and qualified professional, the
progress and quality of Contractor's executed Work. Construction observation is not
intended to be exhaustive or to extend to every aspect of Contractor's Work in progress
or to involve detailed inspections of Contractor's Work in progress beyond the
responsibilities specifically assigned to Engineer in this Agreement and the Contract
Documents, but rather are to be limited to spot checking, selective sampling, and similar
methods of general observation of the Work based on Engineer's exercise of
professional judgment. Based on information obtained during such visits and
observations, Engineer will determine in general if the Work is proceeding in accordance
with the Contract Documents, and Engineer shall keep Owner informed of the progress
of the Work. The purpose of Engineer's visits and observations are to enable Engineer
to better carry out the duties and responsibilities assigned to and undertaken by
Engineer during the Construction Phase, and, in addition, by the exercise of Engineer's
efforts as an experienced and qualified design professional, to provide for Owner a
greater degree of confidence that the completed Work will conform in general to the
Contract Documents and that Contractor has implemented and maintained the integrity
of the design concept of the completed Project as indicated in the Contract Documents.
9.5 Project Meetings. Attend and maintain active involvement in project related meetings
excluding Contractor safety meetings. Types of meetings include construction progress,
on -site troubleshooting, resolution, contractor coordination, special review, public

involvement, close-out meetings. It is anticipated that there will be monthly progress
meetings. Prepare meeting minutes and retain the minutes as part of the Project
documentation. Assumes 20 total meetings consisting of:
9.5.1 Five regularly scheduled monthly construction meetings leading up to marine
construction.
9.5.2 Four regularly scheduled weekly construction meetings during early marine
construction, prior to shut -down.
9.5.3 Eight regularly scheduled twice weekly construction meetings during pipeline
shut -down.
9.5.4 One construction meeting following pipeline shut -down.
9.5.5 Two construction pre -activity meetings.
9.6 Construction Deviations, Deficiencies, and Non -Conforming Work.
9.6.1 Identify and record any observed construction deviations and deficiencies
including any Work that is not defective under the terms and standards set
forth in the Contract Document but is nonetheless not compatible with the
design concept of the completed Project as a functioning whole. Notify Owner
and Engineer, monitor the issue, and provide documentation until it is
addressed and/or resolved. Provide recommendations as to whether such
Work should be corrected, removed and replaced, or accepted as provided in
the Contract Documents. Record noted deficiency and actions taken in daily
field reports. Any stop -work orders or other penalties related to the noted
deficiency may be initiated by Owner or Engineer.
9.6.2 Engineer will have the authority to reject Contractor's Work while it is in
progress if, on the basis of Engineer's observations, Engineer believes that such
Work will not produce a completed Project that conforms generally to the
Contract Documents or that it will threaten the integrity of the design concept
of the completed Project as a functioning whole as indicated in the Contract
Documents. However, neither Engineer's authority to reject Work nor
Engineer's decision to exercise or not exercise such authority shall give rise to a
duty or responsibility of the Engineer to Contractors, Subcontractors, material
and equipment suppliers, their agents or employees, or any other person(s) or
entities performing any of the Work, including but not limited to any duty or
responsibility for Contractors' or Subcontractors' safety precautions and
programs incident to the Work.
9.7 Clarifications and Interpretations; Field Orders. Issue necessary clarifications and
interpretations of the Contract Documents as appropriate to the orderly completion of
Contractor's work. Such clarifications and interpretations will be consistent with the
intent of and reasonably inferable from the Contract Documents. Engineer will respond
to appropriate Requests for Information (RFIs) from the Contractor. Engineer may issue
Field Orders authorizing minor variations in the Work from the requirements of the
Contract Documents that do not result in modifications to Contract Time or Price.

Engineer shall issue up to 12 clarifications and interpretations in the form of RFI
responses and Field Orders.
9.8 Change Orders and Work Change Directives. Recommend Change Orders and Work
Change Directives to Owner, as appropriate, and prepare Change Orders and Work
Change Directives as required (total of 4).
9.9 Shop Drawings, Submittals and Samples. Review and accept or take other appropriate
action in respect to Shop Drawings, Submittals and Samples and other data which
Contractor is required to submit, but only for conformance with the information given in
the Contract Documents and compatibility with the design concept of the completed
Project as a functioning whole as indicated by the Contract Documents. Such reviews
and acceptance or other action will not relieve the Contractor of sole responsibility for
means, methods, techniques, sequences, or procedures of construction or to safety
precautions and programs incident thereto. Engineer shall meet any Contractor's
submittal schedule that Engineer has accepted. Engineer shall review up to 46 Shop
Drawings and Samples (28 original and 18 re -submittals).
9.10 Substitutes and "or equal". Evaluate and determine the acceptability of substitute or
"or- equal" materials and equipment proposed by Contractor (total of 2).
9.11 Inspections and Tests. Require such special inspections or tests of Contractor's work as
deemed reasonably necessary. Owner shall contract with the materials testing firm
directly.
9.11.1 Assist in scheduling of construction materials testing with the approved
independent testing laboratory on behalf of Owner or the Contractor as
required in the contract documents. Observe testing and review testing results.
Notify all parties immediately of test results that do not meet the minimum
requirements of the contract specifications. A copy of the test results shall be
retained as part of the Project documentation.
9.11.2 Receive and review all certificates of inspections, tests, and approvals required
by Laws and Regulations or the Contract Documents. Engineer's review of such
certificates will be for the purpose of determining that the results certified
indicate compliance with the Contract Documents and will not constitute an
independent evaluation that the content or procedures of such inspections,
tests, or approvals comply with the requirements of the Contract Documents.
Engineer shall be entitled to rely on the results of such tests (total of 150).
9.11.3 Assist with certification of pay requests by the Owner contracted materials
testing firm.
9.12 Project Documentation and Records. As described herein, copies of all relevant Project
documentation shall be compiled and retained in an orderly fashion. Types of
documentation anticipated include, but are not limited to, construction contract, daily
field reports, photographs, submittals, RFls, change orders, notifications and other
project correspondence. Make Project records available to Owner upon request for
Owner's review, audit and/or examination at Owner's cost and expense.

9.13 Disagreements between Owner and Contractor. Render formal written decisions on all
duly submitted issues relating to the acceptability of Contractor's work or the
interpretation of the requirements of the Contract Documents pertaining to the
execution, performance, or progress of Contractor's Work; review each duly submitted
Claim by Owner or Contractor, and in writing recommend to Owner either to deny such
Claim in whole or in part, approve such Claim, or decline to resolve such Claim if
Engineer in its discretion concludes that to do so would be inappropriate. In rendering
such decisions, Engineer shall be fair and not show partiality to Owner or Contractor and
shall not be liable in connection with any decision rendered in good faith and while
applying sound engineering practices in such capacity.
9.14 Applications for Payment. Based on Engineer's observations as an experienced and
qualified design professional and on review of Applications for Payment and
accompanying supporting documentation:
9.14.1 Determine the amounts that Engineer recommends Contractor be paid.
Coordinate with Contractor for correction of any erroneous pay items before
the pay application is approved and submitted to Owner. Such
recommendations of payment will be in writing and will constitute Engineer's
representation to Owner, based on such observations and review, that, to the
best of Engineer's knowledge, information and belief, Contractor's Work has
progressed to the point indicated, the quality of such Work is generally in
accordance with the Contract Documents (subject to an evaluation of the Work
as a functioning whole prior to or upon Substantial Completion, to the results
of any subsequent tests called for in the Contract Documents, and to any other
qualifications stated in the recommendation), and the conditions precedent to
Contractor's being entitled to such payment appear to have been fulfilled in so
far as it is Engineer's responsibility to observe Contractor's Work. In the case of
unit price work, Engineer's recommendations of payment will include final
determinations of quantities and classifications of Contractor's Work (subject
to any subsequent adjustments allowed by the Contract Documents).
9.14.2 By recommending any payment, Engineer shall not thereby be deemed to have
represented that observations made by Engineer to check the quality or
quantity of Contractor's Work as it is performed and furnished have been
exhaustive, extended to every aspect of Contractor's Work in progress, or
involved detailed inspections of the Work beyond the responsibilities
specifically assigned to Engineer in this Agreement and the Contract
Documents. Neither Engineer's review of Contractor's Work for the purposes
of recommending payments nor Engineer's recommendation of any payment,
including final payment, will impose on Engineer responsibility to supervise,
direct, or control Contractor's Work in progress or for the means, methods,
techniques, sequences, or procedures of construction or safety precautions or
programs incident thereto, or Contractor's compliance with Laws and
Regulations applicable to Contractor's furnishing and performing the Work. It
will also not impose responsibility on Engineer to make any examination to

ascertain how or for what purposes Contractor has used the moneys paid on
account of the Contract Price, or to determine that title to any portion of the
Work in progress, materials, or equipment has passed to Owner free and clear
of any liens, claims, security interests, or encumbrances, or that there may not
be other matters at issue between Owner and Contractor that might affect the
amount that should be paid.
9.14.3 Engineer shall review and recommend payments for up to 10 Contractor
applications for payment which assumes a 20% resubmittal rate (8 original and
2 resubmittals).
9.15 Certificates, Operation and Maintenance Manuals. Verify that materials and equipment
certificates, operation and maintenance manuals and other data required by the
Contract Documents to be assembled and furnished by Contractor are applicable to the
items actually installed and in accordance with the Contract Documents, and have these
documents delivered to Engineer for review and forwarding to Owner prior to payment
for that part of the Work. Engineer shall receive, review, approve and transmit up to 5
operation and maintenance (O&M) manuals.
9.16 Welding and Coating.
9.16.1 QC Welding and Coatings Submittal Review. Provide oversight by an
Engineering Technician, AWS QC1 Certified Welding Inspector, NDE Level III
Certified individual to review submittals. Review of welding and procedures is
to be in accordance with ASME BPVC Section IX and AWS D1.1/D1.1M as
applicable. Review Welding Qualification Record of welders (WQR), Welding
Procedure Qualifications Records (WPQR), Welding Procedure Specification
(WPS), and coatings submittals.
9.16.2 Conduct on -site visits to provide quality assurance surveillance and observe the
progress and quality of the executed work in accordance with the applicable
welding code of AWS D1.1 and ASME Section IX to protect the Owner from
defect and deficiencies in the Work. The Contractor is responsible for the
actual supervision of construction operations and for safety measures.
9.16.3 Provide oversight by an Engineering Technician, AWS Certified Welding
Inspector and NACE Certified Coating Inspector for the field welding of steel
water transmission line improvements. The objective of this project is to
provide quality assurance surveillance of pipe joint fit -up and welding during
the welding of the steel pipe. Visual observation visits will be strategic and as
the construction schedule requires. A final technical report with
documentation of the submittal reviews, observation results and photographs
of the construction progress will be provided at the end of the project.
9.16.4 Welding, Fabrication, and Erection Inspections. Provide the following services
during welding and coating. The Contractor shall provide safe access to all
areas for observations during construction. OSHA approved access will be
necessary for the complete access of the pipeline.
9.16.4.1 Verify proper welding electrodes are electrode storage are used.

9.16.4.2 Perform visual testing to verify compliance with contract
specifications.
9.16.4.3 Pre -surface preparation inspection.
9.16.4.4 Measurement of ambient conditions.
9.16.4.5 Evaluation of compressor and surface preparation equipment.
9.16.4.6 Determination of surface preparation cleanliness and profile.
9.16.4.7 Inspection of application equipment.
9.16.4.8 Witnessing coating mixing.
9.16.4.9 Inspecting coating application.
9.16.4.10 Determination of dry film thickness.
9.16.4.11 Evaluating cleanliness between coats.
9.16.4.12 Evaluate cure.
9.17 Substantial Completion. Promptly after notice from Contractor that Contractor
considers the entire Work ready for its intended use, in company with Owner, Engineer
and Contractor, conduct an inspection to determine if the Work is substantially
complete. If after considering any objections of Owner, Engineer considers the Work
substantially complete, Engineer shall deliver a certificate of Substantial Completion to
Owner and Contractor. Engineer shall attach to the certificate a punch list of items to
be completed or corrected by the Contractor before final payment.
9.18 Contractor's Completion Documents. Receive, review, and transmit to Owner
maintenance and operating instructions, schedules, guarantees, bonds, certificates or
other evidence of insurance required by the Contract Documents, certificates of
inspection, tests and approvals, Shop Drawings, Samples and other data approved, and
the annotated record documents which are to be assembled by Contractor in
accordance with the Contract Documents to obtain final payment.
9.19 Final Notice of Acceptability of the Work. Conduct a final inspection to determine if the
completed Work of Contractor is acceptable so that Engineer may recommend, in
writing, final payment to Contractor. Accompanying the recommendation for final
payment, Engineer shall also provide a notice that the Work is acceptable to the best of
Engineer's knowledge, information, and belief and based on the extent of the services
provided by Engineer under this Agreement.
9.20 Record Drawings. Review and compile as -recorded drawings as received from
Contractor and produce as -recorded drawings for the Owner. Upon receipt of as -built or
record documents from Contractor, which have been determined by Engineer to be
comprehensive and generally accurate, Engineer shall produce as -recorded drawings for
the Owner's use within thirty (30) days. Engineer cannot and does not warrant the
accuracy of as -built or record information provided by Contractor.
9.21 Limitation of Responsibilities. Engineer shall not be responsible for the acts or omissions
of any Contractor, or of any subcontractors, suppliers, or other individuals or entities
performing or furnishing any of the Work. Engineer shall not be responsible for the

failure of any Contractor to perform or furnish the Work in accordance with the
Contract Documents.
9.22 Project Close -Out. Verify weekly that the Contractors are preparing and maintaining
record documents in accordance with the Contract. Participate in site visits regarding
Substantial Completion. Support Owner and Engineer in compiling a work list of known
punch -list items. Observe whether items on the punch list have been completed or
corrected and coordinate and attend a punch list walk-through. Assist Owner in
compiling and confirming that all required project close-out documentation has been
received and make recommendations concerning acceptance.
