THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for
Purchase of Tree Trimming, Landscaping, and Debris Removal Services with Yellowstone
Landscape—Central, Inc.,"called"Supplemental Agreement No. 1,"is made by and between the
CITY OF ROUND ROCK,TEXAS, a home-rule municipality, with offices located at 221 East
Main Street, Round Rock, Texas 78664-5299 (referred to herein as the "City"), and
YELLOWSTONE LANDSCAPE - CENTRAL, INC., whose offices are located at 10892
Shadow Wood Drive,Houston,Texas 77043 (referred to herein as the"Services Provider").
WHEREAS, the City and Services Provider previously executed the referenced "City of
Round Rock Agreement for Purchase of Tree Trimming, Landscaping, and Debris Removal
Services," hereinafter called the "Agreement" on August 11, 2022, by Resolution No. R-2022-
260 in the amount of$1,158,212.00; and
WHEREAS, Choice Partners is a cooperative purchasing program administered by
Harris County Department of Education for the purpose of procuring goods and services; and
WHEREAS, City is a member of Choice Partners and Services Provider is an approved
provider through Contract No. 20/030MR-04; and
WHEREAS, it is necessary to amend the existing Scope of Services and increase the
Contract Amount by $488,063.82 for a new total not-to-exceed amount of$1,646,275.80 in the
Agreement as set forth herein;
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Services Provider agree that
said Agreement is amended and supplemented as follows:

Section 4.01 of the Agreement is hereby amended to read as follows:
4.01 COSTS
The City shall be authorized to pay Services Provider an amount not to exceed One
Million Six Hundred Forty-Six Thousand Two Hundred Seventy-Five and 80/100 Dollars
($1,646,275.80) in accordance with Exhibit"A"and Addendum to Exhibit"A" of the Agreement
for the term of the Agreement.
II.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.
IN WITNESS WHEREOF, the City and Services Provider have executed this
Supplemental Agreement No. 1 to be effective as of the last date of due execution by both
parties.
