CM-2023-208 - 9/8/2023SUPPLEMENTAL AGREEMENT NO. 1 TO "CITY OF ROUND ROCK AGREEMENT FOR MOBILITY DEMAND RESPONSE BUS SERVICES WITH WHC ATX, LLC DBIA "zTRIP" CITY OF ROUND ROCK § § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. I to "City of Round Rock Agreement for mobility demand response bus services," called "Supplemental Agreement No. I," is made by and between the CITY OF ROUND ROCK, TEXAS, a home -rule municipality, with offices located at 221 East Main Street, Round Rock, Texas 78664-5299 (referred to herein as the "City"), and WHC ATX, LLC dlb/a "zTRIP," whose offices are located at 1300 Lydia Avenue, Kansas City, Missouri 64106 (referred to herein as the "Services Provider"). WHEREAS, the City and Services Provider previously executed the referenced "City of Round Rock Agreement for Mobility Demand Response Bus Services," hereinafter called the "Agreement" on March 23, 2023, by Resolution No. R-2023-085, wherein the City agreed to pay Services Provider an amount not to exceed $6,258,565.60; and WHEREAS, the City agrees to pay Services Provider an additional fee for a one-time software set-up charge in the amount of $18,500.00; and WHEREAS, it is necessary to increase the Contract Amount by $18,500.00 for a new total not -to -exceed amount of $6,277,065.60 in the Agreement as set forth herein; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Services Provider agree that said Agreement is amended and supplemented as follows: I. Section 5.01 of the Agreement is hereby amended to read as follows: 5.01 CONTRACT AMOUNT In consideration for the provision of services set forth in Exhibit "A," the City agrees to pay Services Provider an amount not -to exceed Six Million Two Hundred Seventy+ -Seven Thousand Six -Five and 601100 Dollars 6 277 065.60 for the term of the Agreement. n497�5--55684-6712/552 11. This Supplemental Agreement No, I shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. The software setup provides for a customized platform specific to the City, "Round Rock Rides." The software dynamically adds passengers to a route in progress to optimize for shared rides, provides vehicle tracking and is customizable to meet the city's service area. The original contract agreement R2023-085 did not include the software set-up charge of $18,500, which was included and approved in the original cost proposal. The City will use a combination of federal (5307) and local funding to meet its financial commitment under this Agreement.
