THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for
Professional Consulting Services related to the Design of the Lawn on Brushy Creek Downtown
Park with Design Workshop, Inc.," called "Supplemental Agreement No. 1," is made by and
between the CITY OF ROUND ROCK, TEXAS, a home -rule municipality, with offices
located at 221 East Main Street, Round Rock, Texas 78664-5299 (referred to herein as the
"City"), and DESIGN WORKSHIP, INC., whose offices are located at 1390 Lawrence Street,
#100, Denver, Colorado 80204 (referred to herein as the "Consultant').
WHEREAS, the City and Consultant previously executed the referenced "City of Round
Rock Agreement for Professional Consulting Services related to the Design of the Lawn on
Brushy Creek Downtown Park," hereinafter called the "Agreement' on March 9, 2023; and
WHEREAS, the parties desire to modify the scope of services and add additional costs
in the amount of $39,000.00 as set forth herein; and
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said
Agreement is amended and supplemented as follows:
I.
Section 2.01 of the Agreement is hereby amended to read as follows:
2.0 SCOPE OF SERVICES
Consultant has issued its proposal for services for the tasks delineated therein, such
proposal for services being attached to this Agreement as Exhibit "A" titled "Scope of Services"
and the Addendum to Exhibit "A," attached hereto and incorporated herein by reference for all

purposes, modifying the "Scope of Services," which shall be referred to as the Scope of Services
of this Agreement and incorporated herein by reference for all purposes.
Consultant shall satisfactorily provide all services described herein and as set forth in
Exhibit "A" and the Addendum to Exhibit "A," pursuant to a schedule agreed upon by City.
Consultant shall perform services in accordance with this Agreement, in accordance with the
appended Scope of Services and in accordance with due care and prevailing consulting industry
standards for comparable services.
II.
Section 3.01 of the Agreement is hereby amended to read as follows:
3.0 LIMITATION TO SCOPE OF SERVICES
Consultant's undertaking shall be limited to performing services for City and/or advising
City concerning those matters on which Consultant has been specifically engaged. Consultant
and City agree that the Scope of Services to be performed is enumerated in Exhibit "A" and the
Addendum to Exhibit "A," attached hereto and incorporated herein by reference, and may only
be modified by a written Supplemental Agreement executed by both parties as described in
Section 9.0.
Section 4.01 of the Agreement is hereby amended to read as follows:
4.0 CONTRACT AMOUNT
In consideration for the professional consulting services to be performed by Consultant,
City agrees to pay Consultant an amount not to exceed Three Hundred Sixteen Eight Hundred
Thirty -Four and No/100 Dollars ($316,834.00) as set forth in Exhibit "A" and the attached
Addendum to Exhibit "A."
Reimbursable expenses shall not exceed Twelve Thousand and No/100 Dollars
($12,000.00) and are included in the total not -to -exceed amount of $316,834.00.
IV.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original. Agreement.

This letter is a request for approval to complete Additional Services associated with The Town Green
Park, located in Round Rock, TX, which will be provided as an additional service for The Lawn on
• Brushy Downtown Park project. The proposal is based on our site visit on September 15, 2023.
SCOPE OF SERVICES: PROJECT DESCRIPTION
The Town Green Park is located at 102 N. Mays Street, in the same block as Koughan Memorial
Water Tower Park in Round Rock, Texas. The City shared a site plan and digital renderings of the
proposed design for the area and requested assistance from the Design Workshop team to provide
conceptual design options for the existing Johnson Building, as well as illustrative renderings of the
identified improvements in the site plan dated 9l812023 that include game lawns, great lawns and food
truck areas.
The Johnson Building is currently vacant and the City desires to recreate the essence of the Mayfield
Service Station from the 1940s facing Mays Street. In addition, the design team will provide several
options for the existing pre-engineered metal building located on the west side of the service station.
The following proposal describes a comprehensive list of services required to prepare conceptual
design services and graphics. Unless otherwise indicated, this proposal is based on the terms and
conditions of the prime agreement between the City of Round Rock and Design Workshop dated
February 6, 2023.
TASK 1: TOWN GREEN PARK ARCHITECTURAL DESIGN
Architect scope of services include the architectural portion of tasks as identified below pertaining to
the potential work associated with removal, renovation, or replacement of the existing building only.
The specific tasks to be completed are as follows:
1. Building Assessment:
a. Architect shall conduct a walkthrough of the Owner's existing facilities with the
appropriate personnel and perform a cursory review of existing conditions.

Architect shall observe -- through visual (non-destructive) methods -- the following
• items insofar as they are readily apparent and'accessible:
i. Exterior Components:
• Roof, walls, doors and windows
ii. Interior Components:
• Ceilings, walls, floors, finishes, stairways, doors
iii. Structural Systems:
• Limited to a basic understanding of the composition of the existing
system and identification of obvious deficiencies.
iv. Mechanical, Electrical, and Plumbing Systems:
• Limited to a basic understanding of the composition of the existing
system and an awareness of obvious deficiencies.
• Architect shall document observations and recommendations in a 1-
page narrative.
2. Information Gathering
a. Owner indicates architectural drawings of the existing building are not available.
Architect shall gather limited photographic documentation and field measurements to
the extent necessary for conceptual design renderings.
3. Conceptual Renderings
a. Architect shall prepare four conceptual options for the existing prefabricated metal
building addition on the west side of the service station:
i. Remove steel building and replace with additional uncovered landscape.
ii. Remove exterior and interior walls, reuse existing steel super -structure as
an open-air pavilion for shaded seating.
iii. Remove exterior and interior walls, reuse existing steel super -structure and
re -skin the exterior with large operable walls/doors to house interior high-
tech food court/vending.
iv. Remove steel building and provide smaller free-standing buildings for
restrooms and/or concessions.
b. Architect shall prepare one conceptual option for the original service station facing
Mays Street. Design intent shall be to recreate the essence of the 1940s Mayfield
Service Station as shown in the photograph provided by Cit of Round Rock below

c. Conceptual Design deliverables shall be limited to the following renderings:
i. Four (4) views of the design options for the steel back building (one per
option)
ii. One (1) view of service station from Mays Street with back building
removed
iii. One (1) view of service station from Mays Street with back building reused
d. Renderings shall be daytime renderings of the building exterior with materiality,
entourage, and natural lighting generated from Architect's rendering software.
i. Rendering quality shall be limited to standard "out of the box" settings and
shall not require creation of custom materials, artistic touchup or other
post- processing. Quality shall be similar to the image below.
ii. Site and environmental context shall be omitted from renderings.
H. Revisions shall be limited to no more than 1 round or revisions based on Owner
input.

'. Design Workshop, Inc.
a. Architect shall coordinate with Landscape Architect's Cost Estimating Consultant,
including up to 3 hours of virtual meetings to convey design intent and existing
conditions.
b. Architect shall review up to four cost estimates (one for each design option)
prepared by Landscape Architect's Cost Estimating Consultant, including up to 3-
hours of virtual meetings to share feedback on cost estimates. Architect shall be
entitled to rely on, and shall not be responsible for, the accuracy and completeness
of the cost estimates received.
2. Meetings/Presentations
a. Architect shall review building assessment, proposed conceptual renderings, and
cost estimates with Owner at one (1) in -person or virtual meeting.
The followina products will be prepared/delivered:
1. Building Assessment
2. Conceptual Renderings
a. Will provide for six (6) 3D renderings total:
i. 4 perspectives addressing each architectural option.
ii. 1 perspective of historic building with building.
iii. 1 perspective of historic building without building.
3. Meetings and one (1) final presentation
TASK 2: TOWN GREEN PARK COST ESTIMATION
The general objective for this phase of the work is to prepare design studies for architecture and
develop graphics based on the approved site plan provided by the client.
Our proposed scope of service will include the following experts:
• Cost Estimating for Architectural Options
The specific tasks to be completed are as follows:
1. Based on the Architectural Concepts, prepare a cost estimate for each option.
2. One (1) person for two (2) — three (3) hour s initial calls to review rendering with MYA via
virtual meeting.
3. One (1) person for a two (2) hour meeting to review concept design cost estimates via virtual
meeting.

The following products will be prepared/delivered (all products will be provided digitally):
1. Preliminary opinion of probable costs for building options and funding options based on the
four (4) conceptual designs.
MEETINGS
The following meetings are anticipated:
1. Up to two (2) in person or virtual team progress meeting, assume 1 hour each call.
2. Up to three (3) hour meetings to review rendering with MYA via web based or conference
call.
3. Up to two (2) hour meeting to review concept design cost estimates via web based or
conference call.
4. 100% Conceptual Design and Graphics presentation to the client (up to 2 hours).
Additional meetings shall be approved in writing by the Client and billed as Additional Services.
EXCLUSIONS
The following are excluded from this proposal and may be provided for additional services if
requested by Owner:
Work not specifically identified in the Scope of Work, including architectural or other professional
services, in connection to additions and/or revisions to the project scope and program shall be
considered a change in service and shall be compensated on a mutually agreeable negotiated basis.
Revisions to previously approved designs or revisions to accommodate changes that are at odds with
Owner's previous directions or approvals shall be considered a change in service and shall be
compensated on a mutually agreeable negotiated basis.
The following are excluded from this proposal and may be provided for additional services if
requested by the Owner:
1. Programming services, except as noted above
2. Multiple preliminary designs, except as noted above
3. Measured drawings
4. Existing facilities surveys
5. Site evaluation and planning, except as noted above

of Schematic Design if any portion of the existing systems are to be reused.
SCHEDULE
Design Workshop is prepared to begin services immediately upon receipt of a signed copy of this
proposal from an authorized owner's representative.

1. Basic services
Compensation to Design Workshop for the services described herein and in accordance with
the conditions of this agreement shall be for a lump sum fee of $39,000.

REIMBURSABLE EXPENSES

By signing this letter, you are authorizing Design Workshop, Inc. to commence services immediately
for a fee of $39,000.
The contract conditions of existing Agreement dated March 15, 2023, shall be binding on these
additional services unless modified herein. The following is a summary of the fees associated with
this effort.
