THIS MEMORANDUM OF POSSESSION AND USE AGREEMENT (this
"Memorandum") is made by CITY OF ROUND ROCK, TEXAS ("Grantee"), and NELSON
HOMESTEAD FAMILY PARTNERSHIP, LTD., a Texas limited partnership ("Grantor").

pursuant to Paragraph 2 of the PUA was tendered to Grantor by Grantee or delivered by Grantee
to a title company acting as escrow agent for the transaction with unconditional instructions to
such escrow agent to immediately release such payment to Grantor upon escrow agent's
