RESOLUTION NO. R-24-42-28-713 WHEREAS, the Brushy Creek Regional Utility Authority, Inc. ("BCRUA") has previously entered into a Contract for Engineering Services ("Contract") with Walker Partners for the BCRUA Delivery Point Assessment Project, and WHEREAS, Walker Partners has submitted Supplemental Contract No. 3 to the Contract to modify the provisions for the scope of services and to increase the compensation, and WHEREAS, the BCRUA desires to enter into said Supplemental Contract No. 3, Now Therefore BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BRUSHY CREEK REGIONAL UTILITY AUTHORITY: That the Board President is hereby authorized and directed to execute on behalf of the BCRUA Supplemental Contract No. 3 with Walker Partners, a copy of same being attached hereto as Exhibit "A"and incorporated herein for all purposes. The Phase 1 and Phase 2 construction project consist of the following: 1) BCRUA Delivery Points Improvements Phase 1 Construction: a) Interim improvements at the City of Leander Ronald Reagan Delivery Point/ b) Communications Improvements for the City of Leander and BCRUA at the BCRUA elevated storage tank located on the BCRUA WTP; c) Improvements at the City of Round Rock Delivery Point. 2) BCRUA Delivery Points Improvements Phase 2 Construction: a) Improvements at City of Leander Raw Water Delivery Point; b) improvements at City of Leander Raw Water Solenoid Valve; c) improvements at City of Leander Travisso Delivery Point; d) improvements at City of Leander Bagdad Delivery Point; e) Final improvements at City of Leander Ronald Reagan Delivery Point; f) Improvements at Cedar Park New Hope Delivery Point. Engineer shall furnish a part-time (up to S hours per week)Resident Project Representatives (RPR) to assist in observing progress and quality of the Delivery Points Improvements Phase 2 Construction Work for up to seven (7)months, including field checks of materials and installed equipment and providing oversight for Construction Phase Services to provide further protection for Owner against defects and deficiencies in the Work. RPR is an authorized representative of the Engineer and will act as directed by and under the supervision of the Engineer. As used herein, the term Engineer includes the RPR and any assistants or field staff. Engineer(including RPR)shall not supervise, direct, or have control over the Work or have authority over or responsibility far the means, methods, techniques, sequences, or procedures of construction selected or used by the Contractor,for security or safety at the work sites,for safety precautions and programs incident to the Work or any Contractor's work in progress,for the coordination of the Contractor's work or schedules, or for any failure of the Contractor to comply with Laws and Regulations applicable to the performing and furnishing of its work. The Engineer(including RPR) neither guarantees the performance of any Contractor nor assumes responsibility for any Contractor's failure to furnish and perform the Work, or any portion of the Work, in accordance with the Contract Documents. Owner shall provide an office at the WTP for daily use by RPR. RPR shall provide part-time day-shift visual observation of materials, equipment, and construction work to ascertain that the work is performed in substantial conformance with the contract documents and the design intent. Should Contractor choose to work at times other than during regular working hours stipulated in the General Conditions, Contractor shall bear the cost of all additional overtime work performed by the Engineer as detailed in the specifications. The Construction Administration Services for Phase 1 and Phase 2 Construction of the Delivery Point Improvements Project are included in this supplemental amendment to the Agreement and described below: ASSUMPTIONS ENGINEER'S assumptions apply to all tasks set forth in this Exhibit. 1) The Construction Administration of the Delivery Point Improvements Phase 1 Project shall include: a) Improvements at the City of Leander Ronald Reagan Delivery Point: i) Retrofit existing Bermad Globe Valve with Electronic Controller and accessories; ii) Control Panel Replacement; and, iii) Power/Battery Back-up Power Improvements. b) Communications Improvements for the City of Leander and BCRUA at the BCRUA elevated storage tank located on the BCRUA WTP. c) Improvements at the City of Round Rock Delivery Point: i) Control Panel Replacement;and, ii) Power/Battery Back-up Power improvement. 2) The Construction Administration of the Delivery Point improvements Phase 2 Project shall include: a) City of Cedar Park New Hope Dr/Bagdad Rd Intersection Delivery Point i) Electrical Rack Canopy Installation and General Site Improvements; ii) BCRUA Control Panel Replacement;and, iii) Power/Battery Back-up Power Improvements. b) City of Leander Bagdad Rd(Terminus) Delivery Point i) Installation of Upstream Pressure Transmitter; and, ii) Control Panel and Communications Improvements. c) City of Leander Travisso Delivery Point of the BCRUA WTP i) Mechanical piping improvements including backflow prevention and Electronic Motor Operated Ball Valve; ii) BCRUA Control Panel Replacement,and, iii) Power/Battery Back-up Power improvements. d) City of Leander Ronald Reagan Delivery Point i) Mechanical piping improvement including backflow prevention and Electronic Motor Operated Ball Valve; and, ii) Electrical Rack Canopy Installation. 1/25/2024 QWalker Partners engineers + survey.-:rr e) City of Leander Raw Water Delivery Point i) BCRUA Control Panel Replacement; and, ii) Power/Battery Back-up Power Improvements. D City of Leander Raw Water Solenoid Valve i) Control Panel Installation; ii) Operational synchronization Leander Raw Water Delivery Valve, and, iii) Pressure transmitter installation. 3) Geotechnical Engineering services are not included in this scope. 4) Special welding, coatings, and structural inspections are not included in this scope. 5) Any construction administration service provided by the ENGINEER prior to authorization of Construction Administration Services shall be tracked on an hourly basis and billed to the OWNER upon execution of the Supplemental Amendment. 6) ENGINEER shall not be required to sign any documents, no matter by whom requested, that would result in the ENGINEER having to certify, guarantee, or warrant the existence of conditions whose existence the ENGINEER cannot ascertain. Owner agrees not to make resolution of any dispute with the ENGINEER or payment of any amount due to the ENGINEER in any way contingent upon the ENGINEER signing any such documents. 7) It is recognized that neither ENGINEER nor the Owner has control over the cost of labor, materials or equipment; over the Contractor's methods of determining bid prices,or over competitive bidding, market or negotiating conditions. Accordingly, ENGINEER cannot and does not warrant or represent that bids or negotiated prices will not vary from the Owner's Project budget or from any opinion of construction cost or evaluation prepared or agreed to by ENGINEER. 1/25/2024 01Fenalker Partners gineers * surveyors BASIC SCOPE OF SERVICES Task 1.0-Project Management, Coordination and Meetings 1.1 Project Administration. 1.1.1 Manage and coordinate staff resources, subconsultants, and project planning. 1.1.2 Prepare monthly invoices and project progress reports and updates for the OWNER website portal. As a minimum, monthly progress reports shall include a summary description of tasks completed as of the report date, description of activities planned for the next 60 days, financial status of the project, status of schedule for project, and identification of technical or other issues which may have an impact to the overall project budget and/or schedule. 1.1.3 Document Management 1.1.3.1 Phase 1— Implement an electronic files management system using Microsoft Office 365 SharePoint platform for document control and document sharing. 1.1.3.2 Phase 2—Implement an electronic files management system using FNI Manager and Microsoft Office 365 SharePoint platforms for document control and document sharing. Host and maintain the sites and provide access and training to others as required. Task 1.0 Deliverables ■ Monthly invoices and project progress reports Task 2.0-Preliminary Engineering- No Additional Services Anticipated. Task 3.0-Final Design- No Additional Services Anticipated. Task 4.0-Final Bidding Documents. No Additional Services Anticipated. Task 5.0 -Special Services. No Additional Services Anticipated. Task 6.0-Agency and Stakeholder Coordination. No Additional Services Anticipated. Task 7.0-Land Acquisition. No Additional Services Anticipated. Task 8.0- Bid Phase Services. No Additional Services Anticipated. Task 9.0-Construction Administration. 9.1 General Administration of Construction Contract. Consult with Owner and act as Owner's representative as provided in the General Conditions. The extent and limitations of the duties, responsibilities, and authority of Engineer as assigned in the General Conditions shall not be modified, except as Engineer may otherwise agree in writing. All of Owner's instructions to Contractor will be issued through Engineer, which shall have authority to act on behalf of Owner in dealings with Contractor to the extent provided in this Agreement and the General Conditions, except as otherwise provided in writing. 9.2 Pre-Construction Conferences. Facilitate Pre-Construction Conferences for Phase 1 and Phase 2 prior to commencement of Work at the Site. 9.2.1 Phase 1 Pre-Construction Conference conducted in December 2023. 1/25/2024 ©Walker Partners engineers* surveyors 9.2.2 Phase 2 Pre-Construction Conference to be conducted in April 2024. 9.3 Schedules. Receive, review, and determine the acceptability of all schedules that Contractor is required to submit to Engineer, including the Progress Schedules, Schedules of Submittals, and Schedules of Values. 9.4 Observation of Construction. Observe, as an experienced and qualified professional,the progress and quality of Contractor's executed Work. Construction observation is not intended to be exhaustive or to extend to every aspect of Contractor's Work in progress or to involve detailed inspections of Contractor's Work in progress beyond the responsibilities specifically assigned to Engineer in this Agreement and the Contract Documents, but rather are to be limited to spot checking, selective sampling, and similar methods of general observation of the Work based on Engineer's exercise of professional judgment. Based on information obtained during such visits and observations, Engineer will determine in general if the Work is proceeding in accordance with the Contract Documents, and Engineer shall keep Owner informed of the progress of the Work. The purpose of Engineer's visits and observations are to enable Engineer to better carry out the duties and responsibilities assigned to and undertaken by Engineer during the Construction Phase, and, in addition, by the exercise of Engineer's efforts as an experienced and qualified design professional, to provide for Owner a greater degree of confidence that the completed Work will conform in general to the Contract Documents and that Contractor has implemented and maintained the integrity of the design concept of the completed Project as indicated in the Contract Documents. 9.5 Project Meetings. Attend and maintain active involvement in project related meetings excluding Contractor safety meetings. Types of meetings include construction progress, on- site troubleshooting, resolution, contractor coordination, special review, public involvement, close-out meetings. It is anticipated that there will be monthly progress meetings. Prepare meeting minutes and retain the minutes as part of the Project documentation. Assumes 20 total meetings consisting of: 9.5.1.1 Phase 1: Six(6) regularly scheduled monthly construction meetings. Three(3) meetings will be conducted virtually and three (3) meetings will be conducted in person. 9.5.1.2 Phase 2: Fourteen (14) regularly scheduled monthly construction meetings. Six (6) meetings will be conducted virtually, while eight (8) meetings will be conducted in person. 9.6 Construction Deviations, Deficiencies, and Non-Conforming Work. 9.6.1 Identify and record any observed construction deviations and deficiencies including any Work that is not defective under the terms and standards set forth in the Contract Document but is nonetheless not compatible with the design concept of the completed Project as a functioning whole. Notify Owner and Engineer, monitor the issue, and provide documentation until it is addressed and/or resolved. Provide recommendations as to whether such Work should be corrected, removed and replaced, or accepted as provided in the Contract Documents. Record noted deficiency and actions taken in daily field reports. Any 1/25/2024 @)WAer Partners engineers + surveyr�rs stop-work orders or other penalties related to the noted deficiency may be initiated by Owner or Engineer. 9.6.2 Engineer will have the authority to reject Contractor's Work while it is in progress if, on the basis of Engineer's observations, Engineer believes that such Work will not produce a completed Project that conforms generally to the Contract Documents or that it will threaten the integrity of the design concept of the completed Project as a functioning whole as indicated in the Contract Documents. However, neither Engineer's authority to reject Work nor Engineer's decision to exercise or not exercise such authority shall give rise to a duty or responsibility of the Engineer to Contractors, Subcontractors, material and equipment suppliers, their agents or employees, or any other person(s)or entities performing any of the Work, including but not limited to any duty or responsibility for Contractors' or Subcontractors' safety precautions and programs incident to the Work. 9.7 Clarifications and Interpretations; Field Orders. Issue necessary clarifications and interpretations of the Contract Documents as appropriate to the orderly completion of Contractor's work. Such clarifications and interpretations will be consistent with the intent of and reasonably inferable from the Contract Documents. Engineer will respond to appropriate Requests for Information (RFIs) from the Contractor. Engineer may issue Field Orders authorizing minor variations in the Work from the requirements of the Contract Documents that do not result in modifications to Contract Time or Price. Engineer shall issue up to 4 clarifications and interpretations in the form of RFI responses and Field Orders. 9.8 Change Orders and Work Change Directives. Recommend Change Orders and Work Change Directives to Owner, as appropriate, and prepare Change Orders and Work Change Directives as required (total of 3). 9.9 Shop Drawings, Submittals and Samples. Review and accept or take other appropriate action in respect to Shop Drawings, Submittals and Samples and other data which Contractor is required to submit, but only for conformance with the information given in the Contract Documents and compatibility with the design concept of the completed Project as a functioning whole as indicated by the Contract Documents. Such reviews and acceptance or other action will not relieve the Contractor of sole responsibility for means, methods,techniques, sequences, or procedures of construction or to safety precautions and programs incident thereto. Engineer shall meet any Contractor's submittal schedule that Engineer has accepted. Engineer shall review up to 146 Shop Drawings and Samples (97 original and 49 re-submittals). 9.10 Substitutes and "or equal". Evaluate and determine the acceptability of substitute or "or- equal" materials and equipment proposed by Contractor (total of 4). 9.11 Inspections and Tests. Require such special inspections or tests of Contractor's work as deemed reasonably necessary. Owner shall contract with the materials testing firm directly. 9.11.1 Assist in scheduling of construction materials testing with the approved independent testing laboratory on behalf of Owner or the Contractor as required in the contract documents. Observe testing and review testing results. Notify all parties immediately of test results that do not meet the minimum requirements of 1/25/2024 ©Walker Partners engineers * survey,-r. the contract specifications. A copy of the test results shall be retained as part of the Project documentation. 9.11.2 Receive and review all certificates of inspections,tests, and approvals required by Laws and Regulations or the Contract Documents. Engineer's review of such certificates will be for the purpose of determining that the results certified indicate compliance with the Contract Documents and will not constitute an independent evaluation that the content or procedures of such inspections,tests, or approvals comply with the requirements of the Contract Documents. Engineer shall be entitled to rely on the results of such tests (total of 70). 9.11.3 Assist with certification of pay requests by the Owner contracted materials testing firm. 9.12 Project Documentation and Records. As described herein,copies of all relevant Project documentation shall be compiled and retained in an orderly fashion. Types of documentation anticipated include, but are not limited to, construction contract, daily field reports, photographs, submittals, RFIs, change orders, notifications, and other project correspondence. Make Project records available to Owner upon request for Owner's review, audit and/or examination at Owner's cost and expense. 9.13 Disagreements between Owner and Contractor. Render formal written decisions on all duly submitted issues relating to the acceptability of Contractor's work or the interpretation of the requirements of the Contract Documents pertaining to the execution, performance, or progress of Contractor's Work; review each duly submitted Claire by Owner or Contractor, and in writing recommend to Owner either to deny such Claim in whole or in part, approve such Claim, or decline to resolve such Claim if Engineer in its discretion concludes that to do so would be inappropriate. In rendering such decisions, Engineer shall be fair and not show partiality to Owner or Contractor and shall not be liable in connection with any decision rendered in good faith and while applying sound engineering practices in such capacity. 9.14 Applications for Payment. Based on Engineer's observations as an experienced and qualified design professional and on review of Applications for Payment and accompanying supporting documentation: 9.14.1 Determine the amounts that Engineer recommends Contractor be paid. Coordinate with Contractor for correction of any erroneous pay items before the pay application is approved and submitted to Owner. Such recommendations of payment will be in writing and will constitute Engineer's representation to Owner, based on such observations and review, that,to the best of Engineer's knowledge, information and belief, Contractor's Work has progressed to the point indicated, the quality of such Work is generally in accordance with the Contract Documents (subject to an evaluation of the Work as a functioning whole prior to or upon Substantial Completion, to the results of any subsequent tests called for in the Contract Documents, and to any other qualifications stated in the recommendation), and the conditions precedent to Contractor's being entitled to such payment appear to have been fulfilled in so far as it is Engineer's responsibility to observe Contractor's Work. In the case of unit price work, Engineer's recommendations of payment will include final determinations of 1/25/2024 (DWalker Partners engineers * surveyr)f;, quantities and classifications of Contractor's Work(subject to any subsequent adjustments allowed by the Contract Documents). 9.14.2 By recommending any payment, Engineer shall not thereby be deemed to have represented that observations made by Engineer to check the quality or quantity of Contractor's Work as it is performed and furnished have been exhaustive, extended to every aspect of Contractor's Work in progress, or involved detailed inspections of the Work beyond the responsibilities specifically assigned to Engineer in this Agreement and the Contract Documents. Neither Engineer's review of Contractor's Work for the purposes of recommending payments nor Engineer's recommendation of any payment, including final payment, will impose on Engineer responsibility to supervise, direct, or control Contractor's Work in progress or for the means, methods,techniques, sequences, or procedures of construction or safety precautions or programs incident thereto, or Contractor's compliance with Laws and Regulations applicable to Contractor's furnishing and performing the Work. It will also not impose responsibility on Engineer to make any examination to ascertain how or for what purposes Contractor has used the moneys paid on account of the Contract Price,or to determine that title to any portion of the Work in progress, materials, or equipment has passed to Owner free and clear of any liens, claims, security interests, or encumbrances, or that there may not be other matters at issue between Owner and Contractor that might affect the amount that should be paid. 9.14.3 Engineer shall review and recommend payments for up to 22 Contractor applications for payment which assumes a 20% resubmittal rate (18 original and 4 resubmittals). 9.15 Certificates, Operation and Maintenance Manuals. Verify that materials and equipment certificates, operation and maintenance manuals and other data required by the Contract Documents to be assembled and furnished by Contractor are applicable to the items actually installed and in accordance with the Contract Documents, and have these documents delivered to Engineer for review and forwarding to Owner prior to payment for that part of the Work. Engineer shall receive, review, approve and transmit up to 5 operation and maintenance (O&M) manuals. 9.16 Commissioning. 9.16.1 Commissioning Kickoff Meeting. Conduct Commissioning Kickoff Meeting with Engineer, RPR, Owner, and Contractor. Develop an agenda for the meeting and distribute meeting minutes. 9.16.2 Pre-Commissioning 9.16.2.1 Submittal Reviews. Review Contractor-provided, approved submittals and Operations and Maintenance (0&M) manuals, and Functional and Performance Test forms. 9.16.2.2 Review Commissioning Plan. The Commissioning Plan will be developed by the Contractor and will be the guiding document, intended to be utilized by the project team, to understand the recommended approach 1/25/2024 ©Walker Partners engineers* surveyors to transitioning the project from construction to operations with a fully trained operations and maintenance staff. 9.16.2.3 Review Checklists, Functional and Performance Test forms. Contractor shall develop Checklists and Functional and Performance Test forms for each system identified in the Commissioning Plan. The Functional and Performance Test forms shall encompass all required testing for each identified system and include step-by-step procedures and placeholders for data collection and signoff, such that the Contractor may utilize the documents to complete testing activities and document the results. The completed test forms will be used to demonstrate compliance with the Contract requirements as they pertain to equipment testing and startup, document each system's readiness to be placed in service, and provide baseline operations data for major equipment. 9.16.3 Commissioning Oversight and Coordination 9.16.3.1 Commissioning Oversight. Oversee, and witness field activities related to commissioning and startup to ensure equipment, instrumentation, and components are tested per the Contract requirements, including witnessing the SCADA Functional Acceptance Test (FAT) and overseeing startup at each site. 9.17 Substantial Completion. Promptly after notice from Contractor that Contractor considers the entire Work ready for its intended use, in company with Owner, Engineer and Contractor, conduct an inspection to determine if the Work is substantially complete. If after considering any objections of Owner, Engineer considers the Work substantially complete, Engineer shall deliver a certificate of Substantial Completion to Owner and Contractor. Engineer shall attach to the certificate a punch list of items to be completed or corrected by the Contractor before final payment. 9.18 Contractor's Completion Documents. Receive, review, and transmit to Owner maintenance and operating instructions, schedules, guarantees, bonds, certificates, or other evidence of insurance required by the Contract Documents, certificates of inspection, tests and approvals, Shop Drawings, Samples and other data approved, and the annotated record documents which are to be assembled by Contractor in accordance with the Contract Documents to obtain final payment. 9.19 Final Notice of Acceptability of the Work. Conduct a final inspection to determine if the completed Work of Contractor is acceptable so that Engineer may recommend, in writing, final payment to Contractor. Accompanying the recommendation for final payment, Engineer shall also provide a notice that the Work is acceptable to the best of Engineer's knowledge, information, and belief and based on the extent of the services provided by Engineer under this Agreement. 9.20 Record Drawings. Review and compile as-recorded drawings as received from Contractor and produce as-recorded drawings for the Owner. Upon receipt of as-built or record documents from Contractor, which have been determined by Engineer to be comprehensive and generally accurate, Engineer shall produce as-recorded drawings for the 1/25/2024 QWAer Partrlers engineers * surveyr)r w Owner's use within thirty(30) days. Engineer cannot and does not warrant the accuracy of as-built or record information provided by Contractor. 9.21 Limitation of Responsibilities. Engineer shall not be responsible for the acts or omissions of any Contractor, or of any subcontractors, suppliers, or other individuals or entities performing or furnishing any of the Work. Engineer shall not be responsible for the failure of any Contractor to perform or furnish the Work in accordance with the Contract Documents. 9.22 Project Close-Out. Verify weekly that the Contractors are preparing and maintaining record documents in accordance with the Contract. Participate in site visits regarding Substantial Completion. Support Owner and Engineer in compiling a work list of known punch-list items. Observe whether items on the punch list have been completed or corrected and coordinate and attend a punch list walk-through. Assist Owner in compiling and confirming that all required project close-out documentation has been received and make recommendations concerning acceptance. It is expected that the Construction Phase for Phase 1 will be seven (7) months and Phase 2 will be an additional eleven (11) months for a total of eighteen (18) months. Total compensation for the Project shall be adjusted to $762,139. Owner shall pay Engineer for Basic Services set forth in Supplemental Amendment No. 3 on the basis of Standard Hourly Rates as described in Paragraph 1.0. Engineer's labor and fee summaries are attached as Appendix 1. 1.0 Owner shall pay Engineer for Basic Services set forth in Addendum to Exhibit B as follows: A. An amount equal to the cumulative hours charged to the Project by each class of Engineer's personnel times Standard Hourly Rates for each applicable billing class for all services performed on the Project, plus Reimbursable Expenses and Engineer's Consultants' charges, if any. B. The Standard Hourly Rates charged by Engineer constitute full and complete compensation for Engineer's services, including labor costs, overhead, and profit; the Standard Hourly Rates do not include Reimbursable Expenses or Engineer's Consultants' charges. C. Engineer's Standard Hourly Rates are attached to this Exhibit D as Appendix 2. The rate schedule is subject to annual review and adjustments. D. The total compensation for services under Paragraph 1.0 is estimated to be$296,194. E. Engineer shall not exceed the total estimated compensation amount unless approved in writing by Owner. If it becomes apparent to Engineer that the compensation amount for Engineer's services will be exceeded, Engineer shall give Owner written notice thereof for review of the matter. F. The amounts billed for Engineer's services under Paragraph 1.0 will be based on the cumulative hours charged to the Project during the billing period by each class of Engineer's employees times Standard Hourly Rates for each applicable billing class, plus Reimbursable Expenses and Engineer's Consultants'charges.
