GM-21-02-03-096 'e7ZBRUSHY CREEK REGIONAL UTILITY AUTHORITY A Partnership or Cedar Park, Leander, and Round Rack SUPPLEMENTAL CONTRACT NO. 14 TO CONTRACT FOR ENGINEERING SERVICES FIRM: WALKER PARTNERS ("Engineer") ADDRESS: 804 Las Cimas Parkway, Suite 150,Austin, TX 78746 PROJECT: Phase 1C Water Treatment Plant Expansion and Phase 2 Land Rights and Stakeholder Coordination This Supplemental Contract No. 14 to Contract for Engineering Services is made by and between the BRUSHY CREEK REGIONAL UTILITY AUTHORITY, INC., hereinafter called "BCRUA"and Walker Partners, hereinafter called the"Engineer". WHEREAS, BCRUA and Engineer executed a Contract for Engineering Services, hereinafter called the "Contract", on the 19th day of April, 2017 for the BCRUA Phase 1C Water Treatment Plant Expansion in the lump sum amount of $1,763,900.00 and Phase 2 Land Rights and Stakeholder Coordination Project in the maximum amount of $2,012,600.00 for a total Project compensation of$3,776,500.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 1 on July 19, 2017 to amend the scope of services and to increase the compensation by $14,100.00 for Phase 1 C Water Treatment Plant Expansion to a lump sum amount total of$1,778,000.00 and by $212,000.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of $2,224,600.00 for a total Project compensation of$4,002,600.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 2 on November 20, 2017 to amend the scope of services and to increase the compensation by $19,600.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of$1,797,600.00 for a total Project compensation of$4,022,200.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 3 on April 18, 2018 to amend the scope of services and to increase the compensation by $105,200.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of$2,329,800.00 for a total Project compensation of$4,127,400.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 4 on October 24, 2018 to add the construction phase services for the Phase 1C Construction Phase Services Project and to increase the compensation by $897,200.00 for a total Project compensation of$5,024,600.00; and �7 ,2—I— b Supplemental Contract Rev.0312011 0140.4634-40;00464198 215829 WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 5 on April 30, 2019 to modify the provisions for the scope of services and to increase the compensation by $40,300.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of$2,735,100.00 for a total Project compensation of$5,064,900.00; and WHEREAS, BCRUA and Engineer executed amended Supplemental Contract No. 6 on September 25, 2019 to modify the provisions for the scope of services and to increase the compensation by $497,885.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of $2,827,685.00 for a total Project compensation of $5,562,785.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 7 on November 15, 2019 to modify the provisions for the scope of services and to increase the compensation by $49,400.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of$2,877.085.00 for a total Project compensation of$5,612,185.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 8 on November 20, 2019 to modify the provisions for the scope of services and to increase the compensation by $447,880.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of$3,324,965.00 for a total Project compensation of$6,060,065.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 9 on January 22, 2020 to modify the provisions for the scope of services and to increase the compensation by $498,590.00 for Phase 2 Land Rights and Stakeholder Coordination Project to a maximum amount total of$3,823,555.00 for a total Project compensation of$6,558,655.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 10 on April 3, 2020 to modify the provisions for the scope of services and to increase the compensation by $38,608.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of$2,773,708.00 for a total Project compensation of$6,597,263.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 11 on April 3, 2020 to modify the provisions for the scope of services and to increase the compensation by $40,815.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of$2,814,523.00 for a total Project compensation of$6,638,078.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 12 on April 3, 2020 to modify the provisions for the scope of services and to increase the compensation by $26,400.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of$2,840,923.00 for a total Project compensation of$6,664,478.00; and WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 13 on November 4, 2020 to modify the provisions for the scope of services and to increase the compensation by $38,600.00 for Phase 1C Water Treatment Plant Expansion to a lump sum amount total of $2,879,523.00 for a total Project compensation of$6,703,078.00; and 2 WHEREAS, it has become necessary to amend the Contract to modify the provisions for the scope of services and to increase the compensation by $49,700.00 for Phase 1 C Water Treatment Plant Expansion to a lump sum amount total of$2,929,223.00 for a total Project compensation of $6,752,778.00; NOW THEREFORE, premises considered, BCRUA and the Engineer agree that said Contract is amended as follows: I. Article 2, Engineering Services and Exhibit B, Engineering Services shall be amended as set forth in the attached Addendum To Exhibit B. Exhibit C, Work Schedule shall be amended as set forth in the attached Addendum To Exhibit C. II. Article 4, Compensation and Exhibit D, Fee Schedule shall be amended by increasing by $49,700.00 the lump sum amount payable under the Contract for Phase 1 C Water Treatment Plant Expansion Project to a total of $2,929,223.00 for a total Project compensation of $6,752,778.00, as shown by the attached Addendum to Exhibit D. Sheets,BCRUA Attorney 5 ADDENDUM TO EXHIBIT B ENGINEERING SERVICES GENERAL The Project consists of providing engineering services to support the emergency repair of the Phase 1A, Contract 2 raw water pipeline. The pipeline is a 36-inch diameter ductile iron main constructed in 2012 to connect the temporary floating intake with the 78-inch diameter raw water pipeline on Trails End Road. The 36-inch diameter pipeline failed on December 21, 2020, resulting in loss of service to the OWNER system. Dive inspections revealed that the pipeline failed approximately 200 feet downstream of the underwater pipeline manifold. OWNER has executed a construction contract with Excel Construction Services, LLC(CONTRACTOR) to repair the pipeline. The pipeline repair consists of the following main work components: ■ Mobilize the marine construction operation including setting temporary work anchors, ■ Inspect the pipeline to locate failure points and determine the extent of damaged pipeline, ■ Evaluate various repair options with BCRUA and Walker Partners to determine a repair strategy; ■ Remove damaged pipe sections; ■ Survey the pipeline alignment and elevation of tie-in points of competent pipe remaining, ■ Excavate and install 3-inch by 5-inch (bull rock)pipe support bedding in the pipe trench; ■ Install new concrete pipe supports; ■ Prepare the ends of the existing pipeline and install new ductile iron pipe and fittings; ■ Install bull rock over the new pipe, ■ Service, test and inspect the pipeline; and, ■ Demobilize the marine construction operation. BASIC SCOPE OF SERVICES Insert Task 1.9 as follows: Task 1.9—Repair of 36-inch Underwater Pipeline 1.9.1 Project Administration. Manage and coordinate staff resources and project planning and prepare monthly invoices. 1.9.2 Project Meetings. Coordinate and attend meetings as required including weekly progress meetings. Provide status presentations to OWNER'S Board as required. 1.9.3 Construction Phase Support Services. 1.9.3.1 Review relevant record drawings and submittals from the Phase 1A, Contract 2 project. Documents shall be provided by OWNER. 1/28/2021 Walker Partners engineers * surveyors 1.9.3.2 Coordinate with LCRA and assist OWNER and CONTRACTOR in filing applications or permit forms if needed. 1.9.3.3 Support OWNER and its legal counsel in negotiating and preparing CONTRACTOR agreement forms and general conditions. 1.9.3.4 Review inspection photographs and video to determine the extent of the damage. 1.9.3.5 Consult with pipe and fittings manufacturers to determine candidate repair solutions. 1.9.3.6 Prepare drawings, information, and assistance as needed to indicate the scope and extent of the Work to be performed and furnished by the CONTRACTOR. Since time is of the essence and the repair of the pipeline is exempt from competitive bidding requirements, bid documents including drawings and specifications are not being prepared. 1.9.3.7 Consult with OWNER and act as OWNER'S representative as provided in the General Conditions. 1.9.3.8 Make visits to the Site as the ENGINEERS deems necessary to observe the progress of CONTRACTOR'S work as an experienced and qualified design professional. 1.9.3.9 Provide construction sequencing requirements to the CONTRACTOR as needed. 1.9.3.10 Receive, review and determine the acceptability of schedules that the CONTRATOR submits. 1.9.3.11 Review CONTRACTOR applications for payment and supporting documentation that will be submitted every two weeks. 1.9.3.12 Coordinate with OWNER and CONTRACTOR to operationally test the pipeline after repairs are complete and place the line in service. 1.9.3.13 ENGINEER shall not be required to sign any documents, no matter by whom requested, that would result in the ENGINEER having to certify, guarantee, or warrant the existence of conditions whose existence the ENGINEER cannot ascertain. OWNER agrees not to make resolution of any dispute with the ENGINEER or payment of any amount due to the ENGINER in any way contingent upon the ENGINEER signing any such documents. 1.9.3.14 It is recognized that neither ENGINEER nor the OWNER has control over the cost of labor, materials or equipment; over the Contractor's methods of determining bid prices; or over competitive bidding, market or negotiating conditions. Accordingly, ENGINEER cannot and does not warrant or represent that bids or negotiated prices will not vary from 1/28/2021 (9)Walker Partners engineers * surveyors the OWNER'S Project budget or from any opinion of construction cost or evaluation prepared or agreed to by ENGINEER. 1.9.3.15 ENGINEER shall not be responsible for the acts of omissions of the CONTRACTORS, or of any subcontractors, suppliers, or other individuals or entities performing or furnishing any of the Work. ENGINEER shall not be responsible for the failure of any CONTRACTOR to perform or furnish the Work. 1.9.3.16 ENGINEER shall not be responsible for the acts of omissions of the CONTRACTORS, or of any subcontractors, suppliers, or other individuals or entities performing or furnishing any of the Work. ENGINEER shall not be responsible for the failure of any CONTRACTOR to perform or furnish the Work. 1/28/2021 @Dier Partners engineers * surveyors ADDENDUM TO EXHIBIT C WORK SCHEDULE Provide engineering support services until the contract achieves Substantial and Final Completion of the entire work which is estimated to be 100 calendar days from issuance by OWNER of Notice to Proceed. 1/28/2021 Walker Partners engineers * surveyors ADDENDUM TO EXHIBIT D FEE SCHEDULE Total compensation for services under Supplemental Amendment No. 14 is estimated to be $49,700 as shown in Appendix 1. OWNER shall pay ENGINEER for Task 1.9 set for in Supplemental Amendment No. 14 on the basis of Standard Hourly Rates as described in Paragraph 1.0 of Exhibit D of Supplemental Amendment No. 4 in accordance with the Standard Hourly Rates attached to this Exhibit D as Appendix 2. Total compensation for Task 1.0 — Phase 1C WTP Expansion shall be adjusted from $2,879,523.00 to $2,929,223.00.
