This Supplunental Contract No- 3 to Coaatmet Foa•Engineering Services is made by and between
the BRUSHY CREEK REGIONAL UTILITY AUTHORITY, INC., heaa:ina[ter called
"BCRUA"and CDM SMITH INC.,laereinaller called [he"Engineer".
WHEREAS, BCRUA and Engineer executed a Contract for Engineerhag Sea•vices, hereinafter
called the "Contract", on the ISth day of Noveanber, 20D9 for tfie BCRUA Water Treatment
Plant — Phase lA Project, Construction Phase Engineering Seavices in the amount of
$2,913,038.00;and
WHEREAS,BCRUA and Engineer executed Supplemental Contract No. 1 on June 19, 2013 to
aanend the scope of services and to increase the compensation by $294,53 LOO to a total of
$3,207,569.00;and
WHEREAS,DCAUA and Engineer executed Supplemental Contmq[No. 2 on January 15,2014
to amend Dae scope of services and to increase the cwnpensation by $368,796.00 to a total of
$3,576,365.00;aaad
WHEREAS, it leas become necessary to amend tlae Contract to modify Llae provisions For flee
scope of services and to increase the compensation by$264,332.00 to a total of$3,840,697.00;
NOW THEREFORE, premises considered, BCRUA and the Engineer agree that said Contract
is amended as follows:

forth in the attached Addendum To Exhibit B. Exhibit C. Work Schedule shall be amended as

Task 1: General Construction Phaee and Warranty S¢rvicea
1. Services under the General Construction Phase involve consulting with and advising the
AUTHORI'T'Y during construction and are limited to those services associated with perForntirtg
as the AUTHORITY'S representative,including:
a. Prepare monthly billing rate time and materials invoice reports including:expenditures ro
date,cost-to-budget ixifom�afion,with direct cost backup information submitted for out-oF
town site visite only.
b. Prepare for and participate in a preconslruction conference on behalf of the AUTHORITY.
c Receive,review,and provide written comment on the adequacy of the ContracroPs
Schedule of Values,Submittal Schedule and Construction Schedule.
d. Receive,review,and provide written comment on Contractor-prepared submittals
including shop drawings,samples and OBrM Manuals. For this effort,ENGINEER
anticipates about 1600.1800 aubmittals�however,ENGINHER has oxffy budgeted 1,400
submittals due ro budgetary constraints. ENGINEER assumes that AU i'HORTTY will
augment ENGINEER'S budget from Contractor per Article 6.2.6 of Supplemental General
Conditions,Section 00800,for repetitive submittal reviews.
e. Review laboratory,shop,and mill test reports on materials and equipment.
£ Receive,review and provide written response ro all Contracror-generated Requests for
Information(I2F"f)and Requests for DeviaBon(RFD). For this effort,ENGINEER
anticipates about 500 RFIs and RPDs will be submitted by the Contractor.
g. Visit the project site as construction proceeds ro observe and atkend biweekly construction
progress meetings.
h. Provide construction service-related consultation as necessary ro the AUTHORITY Project
Team dssring the course of construction. Such consultation may include but is not limited
ro, the following.
1) Issuing necessary interpretations and clarification_a of the Contract Documenffi and
helping[o resolve interpretation disputes.
2) Assisting in the development of deficiency lists as requested by the AUTHORITY,and
making recommendations as to the acceptability of the work.
3) Preparing sketches required to resolve problems due ro actual field conditions
encountered.
4) Reviewing the reasonableness of Contractor-prepared Change Order Proposals.
i. In conjunction with all of the above,prepare Change Order Proposal Requests for the
AUTHORI'TY's consideration as necessary ro deliver the intent of the Contract Documents.
j. Determine amounts of progress payments due ro Contractor based on degree of
completion of the work determined by AUTHORITY'S inspectors,and recommending
issuance of such payments by the AU"IT-IORITY.

Article 4. Cotnneatsation and Exhibit D_ Fee Schedule shall be amended by inemasing by
$264,332.00 the lump sum amount payable uatder the Contract £or a ental of$3,840,697.00, as

k. When requested by the AUTHORITY,participate in inspections for substantial and final
completion including recomm¢ndationa concerning final paymenffi to cronstructors and
release of retained percentages. Subsequent to all inspections,ENGIIVEER will prepaze
work deficiency punch-lists for the Contractor's address.
I_ Conduct witnessed factory inspections with two AUTHORITY Project Team
representatives including air travel,lodging,meals and miscellaneous related expenses of
the Projects steel pipe svppliefs manufacturing and fabrication facilities. Prepare and
submit to the AUTHORI'F'Y Project Team five copies of a brief memorandum highlighting
the results of each inspection visit.
m. Continue coordination with regulatory agencies as requested by AUTHORITY.
n_ Mordror scheduling and contro3 systems,process, tools,and resource plamrixrg for project
controls. Mortiror the flow of information ro support project objectives.
o. Review status updates for schedule and costs. Identify potential scheduling cor�flictr

q. Review contractor monthly progress schedule updates and compares it ro the approved
sch¢dule and makes monthly reports. Analyze and monitor cost and schedule trends and
provide an independent assessment of progress and forecast at completion of sclredssle
and cost.
r. Provide cost estimates supporting the review and assessment of change requesffi and value
engineering proposals. Pr¢paze and monitors the operating budget.
s. Additional Onsite Controls(SA7)
1) Provide additional or�site controls as described in Task 1,Items n-r for extended
construction period as requested by the AUTHORITY.
2) Original scope included a maximum of 4,880 man-hours. A total of 5,867.5 man-hours
have been provided through December 22,2012 totaling 1028.3 additional man-hours
beyond original budget.
3) ENGINEER estimates an additional 320 man-hours will be required ro finish the
Project,which brings the total man-hours required ro complete the onsite controls to
1,348.3 additional man-hours beyond the originally contracted amount.
t Filter Flume/Gullet Slabs Inspection(SAl)
1) As requested in AUTHORITY'S letter dated April 18,2012,ENGINEER provided
inspection services related ro Eilter gullet/flume slabs For Filters 1 1,while the
Contractor installed a coating system.
2) A Contractor dispute exisffi related ro the construction of the filter gullet/flume s]abs
For Filters 1-8. Until that claim is settled,ENGINEER is only regv¢stmg compensation
For the AUTHORITY-duected inspection services provided by ENGINEER'S

w. Repetitive Submittal Reviews(SAi)
1) In accordance with Article 6.2.6 of Supplemental General Conditions,Section 00800,
and Section 01300,Paragraph 1.14,Contractor shall reimburse AUTHORITY for
ENGINEER'S costs related to repetitive sssbmittal reviews. ENGINEER'S costs to date
- include$21,760. In accordance with the Conti�act Documenffi as noted above,
ENGINEER recommends deducting this amount from the Contractor's payment
application.
x. AUTEIORITY-Requested Design Changes(SA7)
1) Provide additional engineering design services related to implementing
AUTHORITY-requested design changes in the form of preparing change order
documents(e.g.,drawing and specification revisions) to the Contractor. "Phis work

Process submitted an invoice for this work totaling$5,494 that was paid by
ENGINEER.
y. Additional Onsite Controls(SA2)
1) Provide additional onsite controls as described in Task 1,Items n-r for extended 11.6
month construction period as requested by the AUTHORITY.
2) Original scop¢included a maximum of 4,580 man-hours. Supplemental Amendment
No.1(SA1)included an additiox.a11,348.3 man-hours- A total of 9,190 man-hours
have been provided through Ocrober 19,2013 rotaling 962 additional man-hours
beyond SA1.
3) ENGINEER estimates an additional 144 man-hours will be required to finish the
Project,which brings the total man-hours required ro complete the onsite controls ro
1,106 additional man-hours beyond the original and SA1 contracted amount
z. Repetitive Submittal Reviews(SA2)
1) In accordance with Article 62.6 of Supplemental General Conditions,Section 00800,
and Section 01300,Paragraph 1.14,Contractor shall reimburse AUTHORITY Eor

inspections performed by the ENGINEER. ENGINSEA's coats related to repetitive
Substantial Completion inspections include$59,223. In accordance with the Contract
Documents as noted above,ENGINEER recommends deducting this amount from the
Contractors payment application

3) Mobilize testing laboratory to perform on-site analysis of the disc edges For the
butterfly valves located in both the finished water and raw water sections of pipe.
Testing includes conducting positive material identification(PMI)on the disc edges
For up to five butterfly valves.Collect sample deposits on valves For lab analysis_A
portion of the deposit will be analyzed in a scanning electron microscope(SEM)using
energy dispersive X-ray spectroscopy(EDS)to identify the elem¢nts pr¢sent.A

1) Mobilize senior structural engineering staff to review construction documentation of
known defective work areas,which includes but is not limited to the review of the

construction meeting summaries,contract specifications and drawings and
construction photographs. BCRUA requested Neat the following defective work areas
be included in our review:Washwafer Recycle Basins,Sludge Pump Station,Filters,
and Sedgy.+.....talion Basins.
2) Del¢rmine Short/Long Term ramifications of all isssses identified.
3) Determine the Pros/Cons Analysis of various repair options that are available and
coordinate findings with BCRUA's 3ra party stnrctural engineer.
4) In accordance with Article 13.42 of General Conditions,Section 00700,Contractor
shall reimburse AUTHORITY For ENGINEER'S costs caused by,arising out of or
resulting from such uncovering,exposure,observation,inspection and testing of
defective work.In accordance with the Contract Documents as noted above,
ENGINEER recommends deducting all related costs from the Contractods payment
application.
ii. Dezurik Valve Investigation(SA3)
1) Participate in meetings with AU'T'HORITY,Contractor and valve manufacturer to
discuss valve deficiencies.
2) Prepare memorandum reviewing available data and correspondence and suggest a

2. Providing Warranty Services as follows:
a. Receive,r¢view and provide written r¢sponse ro Contracror-generated and submitted

the Warranty Matrices)tv verify compliance with the Contract Documents. Upon receipt
of the submittal,maintain the warranty tracked Matrices document and provide quarterly
updates ro the AUTHORITY on the status of each service. Define a beneficial use date(or
warranty start date)for all equipment and materials.
b. R¢ceive AUTHORITY input on equipm nt and material malfunctions or deficiencies,and
notify the Contracror of all d¢fidencies or failuz¢s and request timely corrective actions.
c. Assist the AUTHORITY in preparing correspondence ro the Contractor ro document
clazify and resolve discrepancies.
d. Assist the AUTHORITY in plaxuung,scheduling,Facilitating and documenting meetings
with the Contracror ro discuss warranty related issues as requested by the AUTHORITY
Project Team. EIVGIIVE£R assumes a maximum of 8 meetings will be necessary.
e. Molitor Contracroa�s correction of all deficiencies and prepare and update a Warranty
Service Order Log on a montlQy basis and track warranty service order requests and
corrective action response time.
f. Conduct a review of the Warranty Service Order Log prior to th¢one-year anniversary of
the date of Substantial Completion and submit the updated Log ro the AUTHORITY and
Contracror for final resolution.
g. Assist the AUTHORITY Project Team and Contractor ro resolve wazranty service order
discrepancies.
Task 2: Engine ring T¢chnical Consultation and Coordination
1. Provide consultation ro the AUTHORITY as to the techrucal details of ENGINEER's design,
and participate in various tec:hrtfcal meetings and provide tecltrtical input as requested by the
AUTHORITY.
Task 3: Operation and Mafnt¢nanc¢(OSzM)�Startup and Record Drawing S¢rvicea

a. ENGINEER will prepar¢a plant specific 08rM Manual for the BCWTP that will meet the
requirements of the Texas Commission on Environmental.Quality(TCEQ).The manual

digital images of installed equipment design criteria,ixtstrumentation and control and
operations mode descriptions,record drawings,equipment information tables,safety
practices including material safety data sheets,and equipment specific operation and
maintenance information as provided by the general construction contractor.Equipment
d¢scriptions will include an explanation of how individual pieces of provided equipment
serve the systems and processes they are a part of and how the systems and processes
should be operated to achieve the engineered intent

responsibility of the Process Control System Supplier(PCSS) to provide a complete
operational control system" and all costa For shall be borne by the Contractor. ENGINEER
recommends deducting$5,797 from the Contractos's payment application to cover

transfer by other systems.
2) ENGINEER will use the PLC programntixtg standards and conventions as the basis For
logic development and organization on Hue project.Hazdwaze and software will be
provided to ENGINHER For its use in development,testing and commissioning of Hie
PLC logic.
3) During construction,an Eazly Development System(EDS),as defined in Hte contract
documenffi,will be shipped to ENGINEER's office by the Process Contro3 System

the control system.This test will verify the functionality,performance,and stability of
the FINII and PLC programmixag software.
2) ENGINEER wi31 conduct an un-witnessed System Integration Test at the PCSS'
staging facility.ENGINEHR will install the application software onto the control
system.The purpose of this teat will be ro verify the functionality,performance,and
stability of the control system hardware and software as a complete integrated system.
The objective of this test is ro confirm the control system is ready For demoxastration to
the AUTHORITY.This Sest will include a complete point-by-point test£NGINEER's
scope assumes that the PCS.S will assist in the kesk and will correct any deficiencies
with the equipment and control panels in a timely maxmer.
3) ENGINEER will conduct a Witnessed Factory Teat aY the PCSS system staging facility.
ENGINEER will demorastrate to the AUTHORITY represantativ¢that the control
system operates as designed.The testwffi demonstrate the system I/O functionality,
process graphic displays,PLC control logic,historical data collection,srorage,
retrieval,and reporffi.ENGINEER'S scope assumes that the PCSS will assist in the test
and wfll correct any deficiencies with the equipment and control panels in a timely
maxmer.
4) ENGINEER will provide field startup services,including confirmation of field I/O,
graphics,trends,alarms,reports,and process control strategy startup.ENGINEER'S
scope assumes that the PCSS will assist in the field testing and staztup and will correct
any deficiencies in the installation and equipment operation in a timely manner.Once
a facility is started up and is operating,ENGINEER will demonstrate ro the
AUTHORITY representative that the control system application softwaze performs as
designed.The system application engineering services shall be considered
substantially complete for this construction project when the system has met the
design intent and any minor problems or issues have been noted on the project punch
