WHEREAS, the Brushy Creek Regional Utility Authority, Inc. ("BCRUA") desires to
purchase parts and repair services for a motor on the raw water intake barge; and
WHEREAS, Section 252.022(4) of the Texas Local Government states that expenditures for
items available from only one source are exempt from competitive bidding requirements; and
WHEREAS, Siemens Large Drives, LLC is the sole source provider of the goods and services
being purchased, as shown in Exhibit"A," and incorporated herein for all purposes; and
WHEREAS, the BCRUA desires to enter into an Agreement with Siemens Large Drives, LLC
to purchase parts and repair services for a motor on the raw water intake barge, Now Therefore
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF' THE BRUSHY CREEK
REGIONAL UTILITY AUTHORITY:
That the Board President is hereby authorized and directed to execute on behalf of the BCRUA
a Proposal for Services Agreement with Siemens Large Drives, LLC, a copy of same being attached
hereto as Exhibit"B" and incorporated herein for all purposes.
The Board hereby finds and declares that written notice of the date, hour, place and subject of
the meeting at which this Resolution was adopted was posted and that such meeting was open to the
public as required by law at all times during which this Resolution and the subject matter hereof were
discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551,
Texas Government Code, as amended.

Per your request Siemens Large Drives, LLC. is pleased to provide a proposal for the following solution.
Note:It is important that we get a purchase order in place so that we can drive demand for the
long lead materials for power cells. The customer can cycle power cells into the Repair Center(1,
3 or 5 cells at a time). As long as we have a PO, we can drive the demand for the material. We
cannot guarantee that we will have material available or can receive material in a timely manner
when the power cells arrive at our Repair Center. Our global supply chain issues are growing.
Siemens purchasing is escalating these concerns to the highest levels within Siemens as well as
our vendors.

1.1 Shipping: Unless otherwise stated above this proposal is only for the services outlined here and
does not include shipment of the product to or from the Siemens facility.
2.0 DETAILED SCOPE OF WORK
• Siemens repair technician will perform a complete evaluation of the power cells.
• The following components will be replaced during this refurbishment service:
o Capacitors to extend the lifecycle of the power cell
o Cell control board with newer version
o Wire harness
o Thermistor
o Power clips
o IGBTs and clamp boards
o Resistors
o Rectifiers
o Electrical Isolation
• The power cells will be cleaned, and bolt checked.
• The power cells will be tested and inspected as per Siemens IS09001 specifications.
o Preliminary Test
o Functional Test
o Unloaded Test
o Loaded Test
• This service will provide a two-year complete power cell warranty

3.0 ADDITIONAL WORK
Any additional scope of work discovered during inspection or the repair itself, including replacement parts
and labor, affecting the repairs necessary for proper operation of your equipment that are not specifically
included in this Siemens proposal are considered additional and may result in project schedule delays
and additional project costs. In this event, the matter will be brought to your attention, and we will
continue with the required repair upon your written authorization and receipt of your revised PO.
4.0 PURCHASE ORDER AND PAYMENT DETAILS
4.1 PO Submittal

4.2 PO Requirements
To facilitate prompt order processing, Purchase Orders must include all of the following:
• Purchase Order number or reference number
• Customer's legal entity name and bill-to address
• Reference to the proposal number on page 1 herein
• $value, noting agreement of payment
• Payment Terms(as stated in this proposal)
• Authorized contact name and phone number
4.3 Terms of Payment
It will be net 30 days from the date of the Siemens invoice to the customer for the total amount for the line
items listed above. In some cases, invoicing of the respective line items will be subject to progressive
payments based on milestone dates of completion for the scope of work being offered.
4.4 Offer Validity
This offer is valid until January 31, 2023, unless otherwise extended, modified, or withdrawn, in writing, by
Siemens Large Drives LLC. The return of a purchase order or any other reasonable manner of
acceptance communicated to Siemens Large Drives LLC. during such validity period will be sufficient to
form an agreement on the terms and conditions of this offer. Assumption that the services will be
completed within one year of proposal date. Any purchase order or release received after this date may
be subject to a maximum of 7%increase.
4.5 Taxes
All applicable duties, sales, use, excise, value-added, or similar taxes are excluded, will be added to the
price, and invoiced separately unless an acceptable exemption certificate is furnished when the contract
is awarded.
4.6 Shipping& Freight
Siemens will coordinate all shipments to and from the customer's site. Customer assumes responsibility
for goods upon shipment from Siemens Facility. Freight charges will be prepaid by Siemens and added to
the final invoice. If shipped collect, freight charge payment will be the responsibility of the Customer.

4.7 Equipment Storage
If Customer sends equipment or components to a Siemens facility for repair or refurbishing, Customer is
required to provide Siemens with authorization to proceed with repairs/refurbishing within sixty (60)days
for Siemens receipt of such equipment or components. If Customer fails to provide such authorization,
Siemens will be entitled, at its sole discretion, to either(i) return the equipment or component to Customer
at Customer's sole cost; or(ii) charge Customer a storage fee in the amount of$ 40.00 for each day that
Siemens stores such equipment or component. If Siemens elects to store any equipment or component,
Customer acknowledges that title and all risk of loss remains with Customer during storage.
5.0 PROPRIETARY STATEMENT
This document contains information proprietary to Siemens Large Drives LLC. Your acceptance of it is
an acknowledgment of a confidential relationship between you and Siemens Industry Inc. with respect to
this proposal document. We require it to be returned or destroyed when no longer required. We also
require that neither this document nor any information obtained there from is to be reproduced,
transmitted, disclosed, or used otherwise in whole or in part without the written authorization of Siemens
Industry Inc.
6.0 TERMS&CONDITIONS
This proposal is subject to the Standard Terms and Conditions of Sale for Siemens Joint Product and
Services Offering and if software is provided, Siemens Software License/Warranty Addendum, both of
which can be found at https://new.siemens.com/us/en/company/abouvstandard-terms-and-
conditions.html and are hereby incorporated by reference into this document and any resulting contract.
However, if mutually accepted terms exist between Siemens and customer for the type of services
provided herein, such terms may be used to govern this agreement upon written consent by both
organizations.
Change of Control Clause
1. Siemens may transfer, assign, or novate the Contract or any part of it to an affiliated company, being
any legal entity,which directly or indirectly is controlled by Siemens, controls Siemens or is controlled
by a company which directly or indirectly controls Siemens.
2. In the event of a sale or other transfer of the business of Siemens or a part of the business of Siemens
to a third parry, Siemens shall further be entitled to assign or transfer the whole Contract or any part
of the Contract to such a third party.
3. Siemens may sub-contract parts(but not all) of the Works.
Impacts of Coronavirus: As a result of the Coronavirus (COVID-19), temporary delays in delivery from
or nonperformance by Siemens and/or its suppliers may occur. Therefore, the parties acknowledge and
agree that any delays or nonperformance caused by or related to COVID-19 will be deemed a force
majeure event subject to the terms of the Agreement.
