BCRUA-2024-006 - 4/24/2024 RESOLUTION NO. BCRUA-2024-006 WHEREAS, Article X, Section 10.01 E , of the Bylaws of the Brushy Creek Regional Utility Authority, gives the Board of Directors, ("Board") the authority to grant the General Manager general authority to execute contracts, change orders, quantity adjustments, and to authorize the General Manager to make expenditures of funds, so long as such authority is in compliance with the Articles of Incorporation, the Bylaws, and state law; and WHEREAS, the foregoing Article and Section also allows the Board to grant the General Manager the authority to execute standard documents such as deeds, releases of liens, rental agreements, easements, right-of-way agreements and similar documents under certain conditions; and WHEREAS, Texas Local Government Code, §252.048 authorizes the Board to grant general authority to the General Manager to approve change orders that involve a decrease, or an increase of$50,000 or less; and WHEREAS, the Board wishes to grant such authority to the General Manager, Now Therefore BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BRUSHY CREEK REGIONAL UTILITY AUTHORITY THAT: 1. The General Manager is hereby granted the authority to execute contracts, change orders, and quantity adjustments; and 2. The General Manager is hereby granted the authority to make expenditures of finds, so long as such authority is in compliance with the Articles of Incorporation, the Bylaws, and state law: and 0330 4634•A,4882.9044-8820 3. The General Manager is hereby granted the authority to execute standard documents, such as deeds, releases of liens, rental agreements, easements, right-of-way agreements and similar documents under the following conditions: and a) The execution of the document is necessary to carry out a project, program or policy that has been approved by the Board and/or the Cities; b) All blanks are filled in correctly and such document is consistent with the objectives approved by the Board and/or the Cities; and C) The form of such document shall be approved by the Board's attorney or one or more of the attorneys for the Cities. and 4. The General Manager is hereby granted the authority to approve change orders that involve either a decrease, or an increase of$50,000.00 or less. The Board of Directors hereby finds and declares that written notice of the date, hour,place and subject of the meeting at which this Resolution was adopted was posted and that such meeting was open to the public as required by law at all times during which this Resolution and the subject matter hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act, Chapter 551,Texas Government Code, as amended.
