R-2024-135 - 6/13/2024 RESOLUTION NO. R-2024-135 WHEREAS, the City of Round Rock ("City") has previously entered into a "City of Round Rock Agreement for Fire and Security Systems and Monitoring Services with Firetrol Protection Systems Inc." ("Agreement") on June 23, 2022,by Resolution No. 2022-206; and WHEREAS, City is a member of the Buy Board Cooperative Purchasing Program ("Buy Board"), a cooperative purchasing program administered by the Texas Association of School Boards for the purpose of procuring goods and services for its members; and WHEREAS,Firetrol Protection Systems Inc. is an approved vendor of Buy Board; and WHEREAS, City has purchased said goods subject to the Agreement and intends to continue to purchase said goods through Buy Board Contract No. 654-21; and WHEREAS, City and Firetrol Protection Systems Inc. desire to increase the Contract Amount by an additional $175,000.00; and WHEREAS, the City Council desires to enter into Supplemental Agreement No. 1 with Firetrol Protection Systems Inc., Now Therefore BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,TEXAS, That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental Agreement No. 1 to "City of Round Rock Agreement for Fire and Security Systems and Monitoring Services with Firetrol Protection Systems Inc.," a copy of same being attached hereto as Exhibit "A" and incorporated herein for all purposes. CITY OF ROUND ROCK § STATE OF TEXAS § KNOW ALL BY THESE PRESENTS: COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for Fire and Security Systems and Monitoring Services" called "Supplemental Agreement No. 1," is made by and between the CITY OF ROUND ROCK, TEXAS, a home-rule municipality, with offices located at 221 East Main Street, Round Rock, Texas 78664-5299 (referred to herein as the "City"), and FIRETROL PROTECTION SYSTEMS INC., whose offices are located at 4616 West Howard Lane, Building 7, Suite 700, Austin, Texas 78728 (referred to herein as "Vendor"). WHEREAS, the City and Vendor previously executed the referenced "City of Round Rock Agreement for Fire and Security Systems and Monitoring Services," hereinafter called the "Agreement"on June 23, 2022 by Resolution No. R-2022-206; and WHEREAS, the City is a member of the BuyBoard Cooperative and Vendor is an approved BuyBoard vendor; and WHEREAS, the City has and desires to continue to purchase goods and services from Vendor through BuyBoard Cooperative Contract No. 654-21; and WHEREAS, the Agreement states that the total amount of costs to be paid to Vendor shall not exceed$75,000.00 for the term of the Agreement; and WHEREAS, the parties desire to increase the Contract Amount by an additional $175,000.00 as set forth herein; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Vendor agree that said Agreement is amended and supplemented as follows: 4855-1856-3005/ss2 I. Section 5.0 1, Costs,is amended to read as follows: In consideration for the goods and services to be performed by Vendor, City agrees to pay the Vendor an amount not-to-exceed a total of Two Hundred Fifty Thousand and No/100 Dollars ($250,000.00) for the term of this Agreement. II. This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement.
