CM-2024-272 - 11/1/2024SUPPLEMENTAL AGREEMENT NO. 1 TO "CITY OF ROUND ROCK AGREEMENT FOR PROFESSIONAL CONSULTING SERVICES RELATED TO ENGINEERING AND CONSTRUCTION MATERIALS TESTING SERVICES WITH UES PROFESSIONAL SOLUTIONS 45 LLC" CITY OF ROUND ROCK § STATE OF TEXAS § COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § KNOW ALL BY THESE PRESENTS: THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for Professional Consulting Services related to Engineering and Construction Materials Testing Services" for as -needed construction materials testing services for City of Round Rock projects is made by and between the CITY OF ROUND ROCK, Texas, a home -rule municipality located at 221 East Main Street, Round Rock, Texas, 78664, hereinafter called the "City" and UES PROFESSIONAL SOLUTIONS 45, LLC, located at 7 Roundville Lane, Round Rock, Texas 78664, hereinafter called the "Consultant." WHEREAS, the City and Consultant previously executed the referenced "City of Round Rock Agreement for Professional Consulting Services Related to Engineering and Construction Materials Testing Services," for as -needed construction material testing services for City projects, hereinafter called the "Agreement" in the amount of $50,000.00; and WHEREAS, it is necessary to increase the Contract Amount provided in the Agreement by an additional $40,000.00 for a total not -to -exceed amount of $90,000.00; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. I, the City and Consultant agree that said Agreement is amended and supplemented as follows: I. Section 4.0 of the A reement is hereby amended to read as follows: 4.0 CONTRACT AMOUNT In consideration for the consulting services Consultant shall be paid on the basis of actual hours worked by employees performing work associated with this Agreement, in accordance e4 f,-22 69 d s —7 with the Fee Schedule attached hereto as Exhibit "D" and incorporated herein by reference for all purposes. Consultant's total compensation for consulting services hereunder shall not exceed Ninety Thousand and No1100 Dollars ($90,000.00). This amount represents the absolute limit of the City's liability to Consultant hereunder unless same shall be changed by Supplemental Agreement, and City shall pay, strictly within the not -to -exceed sum recited herein, Consultant's fees for work done on behalf of City. 11. This Supplemental Agreement No. I shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement.
