CM-2025-081 - 4/4/2025 AGREEMENT dated as of 2/12/25by and between Kool Productions Unlimited LLC (hereinafter"Company")and CITY OF ROUND ROCK (hereinafter referredtoas "Purchaser"). ENGAGEMENT. 1. ENGAGEMENT. Purchaser hereby engages Company, and Company hereby accepts and agrees to fumishtheservices of Sean Ardoin(hereinafter"Artist")toperform in ROUND ROCK,TX(hereinafter"Venue")on JUNE 14, 2025 (hereinafter"Performance Date")subject to the followingtermsandconditions: COMPENSATION. 2.Purchaser shall pay to Company full compensation for the services of Artist described herein with respect to the PerformanceDateP. urchaser shall pay to Company asa flat fee and total buyout, taxfree(i.e., net of all taxes, if any)(hereinafter being referredtoasthe "Guaranteed Compensation"). It isunderstood suchGuaranteed Compensation shall be payable in all events, whether or not Purchaser cancels the PerformancdJate. All taxes (including income and withholding taxes) required to be paid and/or withheld by local tax authorities shall be the financial responsibility of Purchaser. The Guaranteed Compensationof $20,000.00 in total shall be paidtoCompany$10,000.00 shall be paid UPON SIGNING and $10,000.00 shall be paid UPON ARRIVAL DAY OF SHOW. MERCHANDISING. 3.MERCHANDISING. Purchaser acknowledges Company and Artist'sright tosell merchandise at the venue before, during and after the Performance. Purchaser shall provide a designated area fromwhich Company and Artist may sell said merchandise. SPONSORSHIPS. 4. SPONSORSHIPS. Purchaser shall have the right to obtain sponsorships for the PerformanceDate subject to Company approval of such sponsors, such approval not to be unreasonably withheld. COMPANY'S RESPONSIBILITIES. 5. COMPANYIRSPONSIBILITIE&ompany shall furnish the services of Artist, his back- up band, if any, and, except as provided in thisagreement, thetechnical personnel tcsstall and operate the stage, sound and lighting equipment to be furnished by Purchaser. Company will pay all local expenses. For purposesof theforegoing"local expenses" shall include per diems for band members and other Company personnel for food for Company's personnel, as well as non-alcoholic beverages,and other incidentals (except for amenities at the venue). PROMOTER'S RESPONSIBILITIES. 6. Purchasers RESPONSIBILITIES. Purchaser shall be responsible for air and intema ground transportation(includingcars, busesandlimousines)andtruckingcosts. Purchaser shall pay for and secure any and all event permits, work permits, etc. Purchaser shall furnish, at its sole cost and expense, all facilities, equ (including the stagesound and lighting equipment)personnel, and services which are customarily furnished byPurchaserof liveproductions involvingaperformer of Artist'sstature. Specifically, PA, BACKLINE (full drumset with cymbals, and seat, two guitar amps, one bass amp. and 2 -SHURE WIRELESS UNITS WITH TA4F PIN COMPATIBLE BODY PACKS FOR ACCORDION AND WIRELESS HEADSET THAT SEAN WILL BRING,and 2 XLR INPUTS FOR COMPUTER OUTPUTS. 3 instrument wireless units Purchaser shall also be financiallyresponsiblefor all Expenses set forth in this paragraph Purchaser shall obtain any permissions or approvals required by the respective governmental entities or authorities or unions or any other person or entity having jurisdiction over the concerts and shall obtain all necessary hall permits and other documents required to render theservices;ontemplatechereunder. FINAL APPROVAL. 7. FINALAPPROVALCompany shall have the exclusive control, creative anOtherwise, over the means and methods employed in fulfilling Company's obligations hereunder. Artist shall have final approval over all creative and other material mattersrelating to the concert, and thatthe Performance will be up to 60 -90 minutes in duration. Company shall have the reasonable right of approval as to use of Artist's name and likeness with respect to all advertising, promotion and merchandising proposed to be issued or sold in connection with the performance. REPRESENTATIONS AND WARRANTIES OF Purchaser. 8. REPRESENTATIONS AND WARRANTIES OF Purchaser. Purchaser represents and warrants that it is at the present time, or will be, the owner or operator of, or has, or will have, a valid lease, executed in its own name, upon the places of performance on the date and at the times set forth in this Agreement, proof of which will be given to Company upon request. DEFAULT BY Purchaser. 9. DEFAULT BY Purchaser. If Purchaser refuses or neglects to comply with its material obligations hereunder or to provide any of the items required of Purchaser hereunder or fails or refuses to proceed with the engagement which is the subject of this Agreement and/or to make any of the payments referred to herein, then in any of such events, (i) Company in Company's sole discretion, may thereupon terminate this Agreement without liability of any kind to Purchaser, (ii) Company shall have no further obligation to perform this Agreement, (iii) Company shall retain all amounts theretofore paid to Company by Purchaser and (iv) Company shall also be entitled to exercise all remedies then available to Artist at law or in equity. Without limiting the foregoing, Purchaser shall indemnify Company and Artist and hold them harmless from and against any loss, damage, or liability resulting from any breach or failure on the part of the Purchaser to perform any of its warranties, covenants, or obligations hereunder. DEFAULT BY COMPANY. 10. DEFAULT BY COMPANY. Company shall indemnify and hold Purchaser harmless from any loss, damage or liability resulting from any breach or failure on the part of Company or Artist to perform any of his warranties, covenants, or obligations hereunder. FORCE MAJEURE. 12. FORCE MAJEURE. In the event of sickness or of accident to Artist or if a performance is rendered impossible, or unfeasible by any act or regulation of any public authority or bureau, civil tumult, strike, epidemic, interruption in or delay of transportation services, war conditions, emergencies, act of God, or any other cause or causes beyond the control of Purchaser, Company and Artist, whether of a similar or dissimilar nature (any of such events being hereinafter referred to as a "Force Majeure"), it is agreed that there shall be no claim for damages by either party to this Agreement; each party shall bear its own costs; and any Guaranteed Compensation paid to Company and attributable to any such canceled concert, computed in accordance with the following sentence, shall be returned to Purchaser; and Purchaser's and Company's obligations as to the performance affected shall be deemed waived. CANCELLATION. 13. CANCELLATION. Purchaser agrees that Artist may cancel the engagement hereunder, at Artist's sole discretion, by giving Purchaser notice thereof at least 60 days prior to the commencement date of the engagement hereunder. REPRODUCTION OF PERFORMANCES. 14. REPRODUCTION OF PERFORMANCES. No portion of the performance rendered hereunder may be broadcast, photographed, recorded, filmed, taped, or embodied in any form for any purpose of reproducing such performance for commercial purposes without Company's prior written consent. N/A PURCHASER ASSUMES LIABILITY. 15. PURCHASER ASSUMES LIABILITY. Except as otherwise herein specifically provided, Purchaser hereby assumes full liability and responsibility for the payment of any and all cost, expenses, charges, claims, losses, liabilities, and damages related to or based upon the presentation or production of the show or shows in which Artist is to appear hereunder. Unless said claims, losses, charges, liabilities and damage were caused by the wilful misconduct or gross negligence of Artist MODIFICATION OF CONTRACT. 16. MODIFICATION OF CONTRACT. It is understood and agreed that the contract may not be changed, modified, or altered, except by an instrument in writing by the parties, signed in accordance with the laws of the State of Louisiana. Nothing in this agreement shall require the performance of any act contrary to the law or to the rules or regulations of any union, guild, or similar body having jurisdiction over services of Artist or over the performances hereunder. This is the sole and complete agreement between the parties with respect to the engagement. Nothing in this contract shall be construed to constitute the parties as a partnership or joint venture. INDEMNIFICATION. 17. INDEMNIFICATION. Purchaser agrees to indemnify and hold harmless Producer/Artist and its employees, contractors and/or agents from and against any claims, costs (including attorney's fees and court costs), expenses, damages, liabilities, losses, or judgments arising out of, or in connection with, any claim, demand, or action made by any third party, if such are sustained as a direct or indirect consequence of the Engagement. Unless said claims, losses, charges, liabilities and damage were caused by the wilful misconduct or gross negligence of Artist CHOICE OF LAW FORUM. 18. DEPOSIT/PAYMENT The agreed deposit must be paid by certified check,international money order,wire transfer or accepted digital pay platform UPON SIGNING OF CONTRACT(or as stated in the contract)to: Kool Productions Unlimited 915 10th st Lake Charles,LA 70601 All monies due and payable UPON ARRIVAL for performance shall be paid in U.S. cash (currency)dollars, ACH or certified check. All monies should be paid directly to Artist or Artist's designated representative prior to the final performance. If there is an assessment of tax by any taxing authority on Artist for any moneys earned during the performance, said tax is to be paid by Purchaser. It is fully agreed and understood that no deductions whatsoever are to be taken from contract price or from any percentage hereunder earned. In the event the Artist is to be paid on a percentage basis,Artist's representative shall have the right to be present in the box office prior to and during the performance and intermission periods. Artist's representative shall be permitted to examine and make extracts for the box office records relating to said performance(s). Purchaser shall provide for examination copies of all bills, statements and receipts that enter into computation of Purchaser's expenses for the performance(s) hereunder. All expenses are subject to approval by Artist or Artist's representative. Purchaser agrees to reimburse Artist for any and all excess baggage costs of musical equipment related to any form of air or ground travel prior to the final performance 2. BILLING/OTHER ARTISTS The correct billing for Artist,applicable in all promotional materials shall be: Sean Ardoin Billing must be submitted to Artist's management upon return of executed contract. PERMITS If the Contract is for an engagement outside of the United States of America, Purchaser shall provide and pay for all necessary visas,work permits,union permits, customs permissions and clearances, any other permits or documents or whatever nature necessary for Sean Ardoin touring party to enter Purchaser's sovereign state and locality, and to perform the engagement herein contracted. All necessary visas,permits or documents provided by Purchaser must be in the hands of Sean Ardoin at least fourteen days prior to departure date. 4. TRANSPORTATION/HOTEL In addition to the agreed transportation/hotel accommodations provisions in the contract, the Purchaser agrees to provide transportation for all musicians,equipment and personal luggage from airport/train station to hotel,to and from place of engagement and back to airport/train station,as well as a person to meet the Artist upon arrival in town. Vehicles must be One full size SUV/van or greater and cargo or mini van for luggage and gear. All hotel accommodations will be in a 4/5-STAR hotel(Hyatt or better) near the place of performance(this means within ONE MILE of the venue unless otherwise agreed upon.) Hotel must have telephone,private bath w/bathtub,cable television, wireless internet in each room,gym, also,24-hour front desk,fax machine and restaurant in hotel. Purchaser agrees to provide one(1)suite non smoking and six (6) non smoking double rooms nightly for the entire engagement plus an additional night for travel purposes if needed (FORWARD WITH SEAN) The hotel information should be emailed to Sean Ardoin Attn: HOTEL INFO 5. SETUP/REHEARSAL On the first day of performance, the place of the performance will be made available to the Artist for technical setup and rehearsal at least 5 hours prior to the time of first performance(unless event is a Festival, we understand time limitations and a line check will suffice.) Purchaser will provide a house electrician, house sound technician,house 3 spotlight operator and minimum of one stagehands/loaders/loader at that time. One loader/loader will also be made available to artist during load-out following the performance. The audience will not be permitted in the room of performance until setup/ rehearsal is completed. Purchaser will provide all equipment per the attached plot. 6. DRESSING ROOMS/SECURITY A dressing room adequate for use by seven(7)people during the Artist's entire performance. Said rooms shall be clean,dry,well-lit, heated or air conditioned and shall have a mirror and have at least chairs or comfortable seating for seven(7)people. Said dressing rooms shall have easy access to clean lavatories,be locked or suitably secure. Purchaser will guarantee proper security to all musicians, instruments and their personal property before,during and after the performance(s). Special attention is to be paid to the dressing rooms,stage areas and all entrances and exits. Proper security will commence upon the Artists'arrival.At least one locking room is appreciated. 7. ANCILLARY SALES Purchaser agrees to provide the Artist with adequate space(and if necessary a sales person)for the Artist or his representative to sell recordings,photos,apparel,souvenir books,etc.,at the place of performance.It is further understood that the Artist retains the sole and exclusive right to sell such material and no other such sales will be permitted at the place of performance without the expressed written permission of the Artist. 8. USE OF ARTIST NAME/INTERVIEWS The name of the Artist may not be used or associated, either directly or indirectly with any product or service without the Artist's written permission. Pre-tour interviews will be granted to individuals representing"approved"print or electronic media outlets whenever possible. For all interviews requests please contact Sean Ardoin directly to coordinate 337-540-8399. We are happy to do as much as possible to promote the show and fill your venue to capacity. Requests must include the following information: . Name of person who will perform the interview . Name of publication or radio/TV station . Phone number/address of interviewer/publication . Type of interview proposed(phoner/live/etc.) . Length of proposed interview Purchaser shall provide Artist's representative with original/digital copies of all press releases, fliers,posters,articles and reviews pertaining to the performance no later than two(2)weeks following the performance date. If Purchaser wants artist to help promote the event, send digital copies in jpeg form for social media promotion at least 10 days prior to event. Day performance interviews and/or autograph signing will take place time and schedule permitting only. Purchaser agrees that it will not commit Artist to any personal appearances, interviews or any other type of promotional appearance without Artist or 4 Artist's representative giving prior consent. Such arrangements shall be made through Artist's representative. 9. COMPLIMENTARY TICKETS Upon request,Purchaser will provide the Artist with twelve(12) complimentary tickets nightly. N/A 10. RECORDING/PHOTOGRAPHY There will be absolutely no Audio recordings,video recordings or radio broadcasts during said performance unless PRIOR written permission is granted by Artist or Artist's representative. All recorders or other unauthorized taping equipment shall not be used unless approved in writing by management. There will be no flash photography of Artist during said performance. Non flash photography will be permitted only with prior written consent from Artist or Artist's representative. If said permission is granted, photographer must provide Artist with the digital files to be used for publicity purposes,gratis. 11. MISCELLANEOUS Artist has 100% control of performance. Artist shall not be required to perform before any audience which is segregated on the basis of race, creed or color,national origin, age,disability or sexual preference. Artist's obligations hereunder are subject to detention or prevention by sickness, inability to perform, accident, transportation delays, acts of God, labor difficulties, epidemics or any act or order of public authority or any other cause,similar or dissimilar,beyond Artist's control. In the event of breach by Purchaser of any of the terms, covenants or conditions of this contract,Artist shall not be required to perform hereunder and Purchaser shall pay Artist the full amount of the fixed payments required hereunder. A breach of any clause contained in this Rider by Purchaser shall be deemed a material breach. If Artist elects to perform or to continue to perform notwithstanding a breach of this Agreement by Purchaser,the performance by Artist shall not constitute a waiver of any claim the Artist may have for damages or otherwise. In case of any conflict of terms, the terms contained in this Rider shall prevail over any other. All terms of this Rider are specifically accepted by Purchaser unless they are 5 Any breach of or controversy or claim arising from this agreement, if any, may be settled at the discretion of the Artist by arbitration in accordance with the rules of THE AMERICAN ARBITRATION ASSOCIATION. Any such arbitration will take place in New Orleans, Louisiana. The judgment and/or award rendered by the arbitrators may be entered in any court having jurisdiction. 13. SOUND/MUSICAL EQUIPMENT SUPPLIED BY PURCHASER A minimum 30 feet wide and 20 feet deep stage area for exclusive use by Artist. Stage area must also be satisfactorily covered if engagement is outdoors to protect Artist and Artist's equipment from the elements. ONE EACH for bass and guitar Microphones in all band positions no less quality than Shure SM58's ALL on BOOM stands. Questions please advance with manager or Sean MONITORS: We prefer wireless in-ear monitoring,if not available,then 6 monitor wedges on six mixes where possible and drummer will have an IEM belt pack with XLR input for his monitor.If this is not available please advance with management. SOUNDCHECK: Load in and Sound check a minimum of 5 hours prior to the performance please. (unless it is a festival,we understand time constraints and will be ok with line check)Artist sound check is closed to the public. No guests are allowed at sound check. HOT MEAL Vegetarian, seafood,chicken, or beef (NO PORK or FAST FOOD) hot meals on each night of the engagement. If a buyout is agreed upon we will need $40USD per person.This will not exempt you from providing the light/cold catering and drink requirements above.
