WHEREAS, the Brushy Creek Regional Utility Authority, Inc. ("BCRUA") has previously
entered into a Contract for Engineering Services ("Contract") with Walker Partners for the BCRUA
Phase l D Water Treatment Plant Expansion Project, and
WHEREAS, Walker Partners has submitted Supplemental Contract No. 3 to the Contract to
modify the provisions for the scope of services and to increase the compensation, and
WHEREAS, the BCRUA desires to enter into said Supplemental Contract No. 3, Now
Therefore
BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE BRUSHY CREEK
REGIONAL UTILITY AUTHORITY:
That the Board President is hereby authorized and directed to execute on behalf of the BCRUA
Supplemental Contract No. 3 with Walker Partners, a copy of same being attached hereto as Exhibit
"A" and incorporated herein for all purposes.
The Board of Directors hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

SUPPLEMENTAL CONTRACT NO.3
TO CONTRACT FOR ENGINEERING SERVICES
FIRM: WALKER PARTNERS ("Engineer")

PROJECT: BCRUA Phase 1D Water Treatment Plant Ex ansion
This Supplemental Contract No. 3 to Contract for Engineering Services is made by and between
the BRUSHY CREEK REGIONAL UTILITY AUTHORITY, INC., hereinafter called "BCRUA"
and Walker Partners, hereinafter called the "Engineer."
WHEREAS, BCRUA and Engineer executed a Contract for Engineering Services, hereinafter
called the "Contract," on the 15th day of December, 2021 for the BCRUA Phase I D Water
Treatment Plant Expansion Project in the amount of $1,375,848.00; and
WHEREAS, BCRUA and Engineer executed Supplemental Contract No. 1 on January 6, 2023 to
add the provisions for Time and Materials and to increase the compensation by $49,722.00 to a
total Time and Materials amount of $49,722.00 for a total project amount of $1,425,570.00; and
WHEREAS BCRUA and Engineer executed Supplemental Contract No. 2 on January 25, 2023
to provide bid and construction phase services and to increase the compensation by $1,437,1 19.00
to a maximum amount total of $1,486,841.00 for a total project amount of $2,862,689.00; and
WHEREAS, it has become necessary to amend the Contract to provide for additional construction
phase services and to increase the compensation by $274,963.00 to a maximum amount total of
$1,761,804.00 for a total project amount of $3,137,652.00;
NOW THEREFORE, premises considered, BCRUA and the Engineer agree that said Contract is
amended as follows:
Article 2. Engineering Services and Exhibit B, Engineering Services shall be amended as set forth
in the attached Addendum To Exhibit B. Exhibit C, Work Schedule shall be amended as set forth
in the attached Addendum To Exhibit C.
Article 4, Compensation and Exhibit D, Fee Schedule shall be amended by increasing by
$274,963.00 the "maximum" amount payable under the Contract for a total of $1,761,804.00, as
shown by the attached Addendum -to _Exhibit _D.

ADDENDUM TO EXHIBIT B
ENGINEERING SERVICES
GENERAL
The purpose of Supplemental Contract No. 3 is to provide additional construction phase services for
the Phase 1D Water Treatment Plant Expansion Project to accommodate Contractor schedule
delays. The current contractual Substantial and Final Completion dates are November 20, 2024,
and January 20, 2025, respectively. Accordingly, the Contractor is currently 145 calendar days
behind schedule relative to the contractual Substantial Completion date. Based on the Contractor's
most recent schedule update, it is anticipated that the Contractor will achieve Final Completion
around the end of August 2025. Based on the provisions of Section 00500 General Conditions,
Paragraph 7.20, Administrative Charges, it is anticipated that the Owner will back charge the
Contractor for these additional construction administration and observation charges as allowed by
the Construction Contract.
BASIC SCOPE OF SERVICES
Task 1.0 - Project Management. Continue providing Project Management services as detailed
under Task 1.0 of Supplemental Contract No. 2.
Task 2.0 - Construction Administration and Observation. Continue providing Construction
Administration and Observations services as detailed under Task 3.0 of Supplemental Contract No.
2 including full-time, day -shift RPR services.

It is anticipated that the Construction Prase will continue for another four months for a total of
approximately eight months past the contractual final completion date established in the
Construction Contract.

FEE SCHEDULE
Total compensation for Basic Services set forth in Addendum to Exhibit B under Supplemental
Contract No. 3 is estimated to be $274,963. Total compensation for the Project shall be adjusted to
$3,137,652.
Owner shall pay Engineer for Basic Services set forth in Supplemental Contract No. 3 on the basis of
Standard Hourly Rates as described in Paragraph 1.0 of Supplemental Contract No. 2. Engineer's
labor and fee summaries are provided below.
