WHEREAS, the City of Round Rock ("City") has previously entered into a "City of Round
Rock Agreement for Fiber Optic Cabling Services and Equipment with Austin Structured Cabling,
LLC" ("Agreement'); and
WHEREAS,the City is a member of the Texas Department of Information Resources ("DIR");
and
WHEREAS, Austin Structured Cabling, LLC is an approved vendor of the DIR; and
WHEREAS, City has purchased said goods subject to the Agreement and intends to continue
to purchase said goods through DIR Contract No. DIR-CPO-4787; and
WHEREAS, City and Austin Structured Cabling, LLC desire to extend the term of the
Agreement and increase the costs by an additional $5,000,000.00; and
WHEREAS, the City Council desires to enter into Supplemental Agreement No. 2 with Austin
Structured Cabling, LLC,Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK,TEXAS,
That the Mayor is hereby authorized and directed to execute on behalf of the City Supplemental
Agreement No. 2 to "City of Round Rock Agreement for Fiber Optic Cabling Services and Equipment
with Austin Structured Cabling, LLC," a copy of same being attached hereto as Exhibit "A" and
incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551,Texas Government Code, as amended.

This Supplemental Agreement No. 2 to "City of Round Rock Agreement for Fiber Optic
Cabling Services and Equipment," hereinafter called the "Supplemental Agreement No. 2," is
made by and between the CITY OF ROUND ROCK, TEXAS, a Texas home-rule municipality,
whose offices are located at 221 East Main Street, Round Rock, Texas 786645299, hereinafter
called "City," and AUSTIN STRUCTURED CABLING, whose offices are located at 3709
Promontory Point Drive, Suite A127,Austin,Texas 78744,hereinafter called"Vendor."
WHEREAS, City and Vendor executed an "Agreement for Fiber Optic Cabling
Services"on January 12,2023;and
WHEREAS, the City procured said goods and services through Department of
Information Resources("DIR")Contract No.DIR-CPO-4787;and
WHEREAS,the City and Vendor subsequently executed Supplemental Agreement No. 1
increasing the costs by an additional $1,000,000.00 for a new not-to-exceed contract amount of
$2,000,000.00; and
WHEREAS, the parties desire to extend the term of the Agreement as set forth herein
and increase the costs by an additional $5,000,000.00 in costs for a new not-to-exceed contract
amount of$7,000,000.00;
NOW THEREFORE,premises considered, and in consideration of the mutual promises
and obligations in the Agreement and this Supplemental Agreement No. 2,the City and Vendor
agree as follows:
I.
Section 2.01(B).Effective Date. Term is amended to read as follows:
B. This Agreement shall terminate on the 291' day of June 2026, in the event DIR
Contract No. DIR-CPO-4787 is not renewed for an additional term, or this Agreement shall

terminate anytime thereafter in the event DIR Contract No. DIR-CPO-4787 is not further
renewed at the end of any additional renewal term. So long as DIR Contract No. DIR-CPO-4787
continues to be renewed, this Agreement shall continue to remain in effect pursuant to the terms
and conditions set forth herein, however, in no event shall the term of this Agreement exceed
sixty (60) months for the effective date of January 12, 2023.
H.
Section 5.01(B) Costs, is amended to read as follows:
B. The City shall be authorized to pay the Vendor an amount not-to-exceed Seven
Million and No/100 Dollars ($7,000,000.00) for the term of this Agreement.
III.
This Supplemental Agreement No. 2 shall extend the original Agreement as to costs only
as set forth herein, with no other changes in terms or conditions of the original Agreement.
IN WITNESS WHEREOF, the City and Vendor have executed this Supplemental
Agreement No. 2 to be effective as of the last date of due execution by both parties.
