CM-2025-191 - 8/1/2025 SUPPLEMENTAL AGREEMENT NO. 1 TO"PROFESSIONAL CONSULTING SERVICES AGREEMENT BETWEEN THE CITY OF ROUND ROCK AND RVi PLANNING+LANDSCAPE ARCHITECTURE FOR THE TRAILS MASTER PLAN UPDATE 2025 PROJECT" CITY OF ROUND ROCK § STATE OF TEXAS § KNOW ALL BY THESE PRESENTS: COUNTY OF TRAVIS § COUNTY OF WILLIAMSON § THIS SUPPLEMENTAL AGREEMENT NO. 1 to "Professional Consulting Services Agreement between the City of Round Rock and RVi Planning+ Landscape Architecture for the Trails Master Plan Update 2025 Project" hereinafter called "Supplemental Agreement No. 1," is made by and between the CITY OF ROUND ROCK, a Texas home-rule municipality, with offices located at 221 East Main Street, hereinafter called the "City" and RVi PLANNING + LANDSCAPE ARCHITECTURE, located at 3461 Ringsby Ct., Suite 420, Denver, Colorado 80216, hereinafter called the"Consultant." WHEREAS, the City and Consultant previously executed the referenced Professional Consulting Services Agreement related to a Trails Master Plan Update 2025 Project, hereinafter called the"Agreement;"and WHEREAS, the Contract Amount set forth in the Agreement shall not exceed $149,985.00; and WHEREAS, the parties desire to amend the Scope of Services and increase the Contract Amount by an additional $63,0000.00 as set forth herein; NOW THEREFORE, in consideration of the mutual promises and obligations in the Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said Agreement is amended and supplemented as follows: I. Section 2.0 of the Agreement is hereby amended to read as follows: 2.0 SCOPE OF SERVICES A. Consultant has provided its proposal for Consulting Services, such proposal for Consulting Services being attached hereto as Attachment "A" titled "Scope of Services" and "Addendum 1 I Scope of Services" which shall collectively be referred to as the Scope of Services of this Agreement and incorporated herein by reference for all purposes. 4927-2373-5118lss2 B. Consultant shall satisfactorily provide all Consulting Services described herein and as set forth in Attachment "A" and "Addendum 1 I Scope of Services." Consultant's undertaking shall be limited to performing Consulting Services for City and/or advising City concerning those matters on which Consultant has been specifically engaged. Consultant shall perform the Consulting Services in accordance with this Agreement in a professional and workmanlike manner pursuant to the work schedule agreed upon by both parties. II. Section 3.0 of the Agreement is hereby amended to read as follows: 3.0 LIMITATION TO SCOPE OF SERVICES Consultant's undertaking shall be limited to performing the Consulting Services for City and/or advising City concerning those matters on which Consultant has been specifically engaged. Consultant and City agree that the Scope of Services to be performed is enumerated in Attachment "A," and "Addendum 1 I Scope of Services" and may only be modified by a written Supplemental Agreement executed by both parties as described in Section 9.0. III. Section 4.0 of the Agreement is hereby amended to read as follows: • 4.0 CONTRACT AMOUNT A. In consideration for providing the Consulting Services, Consultant shall be paid on the basis of actual hours worked provided by Consultant in accordance with "Addendum 1 Scope of Services" attached hereto, and the Fee Schedule attached hereto as Attachment "B," and incorporated herein by reference for all purposes. B. Consultant's total compensation for Consulting Services hereunder shall not exceed $212,985.00. This amount represents the absolute limit of City's liability to Consultant hereunder unless same shall be changed by Supplemental Agreement, and City shall pay, strictly within the not-to-exceed sum recited herein, Consultant's fees for work done on behalf of City. IV. This Supplemental Agreement No. I shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. Task 2:Strategy • Identify and develop up to(3)three potential TrOD typologies. • Develop and identify TrOD criteria categories and individual criterion for each typology. Criteria categories may include market conditions, land use, transportation, and other site-specific elements and/or typology-specific categories. • Identify potential recreational amenities and improvements that should be included at each TrOD typology to support development of the TrOD typology. Task 3:Solutions • Using identified criteria,locate and map potential TrOD nodes(organized by typologies)within Round Rock. • Identify potential TrOD implementation strategies such as zoning overlay, future TrOD design standards and guidelines,and prioritization of implementation activities. • Develop overlay and/or other implementation instruments to formalize desired TrOD locations. • Present findings,work process,and benefits of TrOD's to Round Rock leadership via attendance and presentation at one(1)Round Rock work session with leadership. Deliverables: • Case Studies Memo: Memo outlining the findings of three case studies. Including benefits, best practices,and lessons learned. • Typologies and Criteria Memo:Up to three TrOD typologies and associated criteria for each.Including potential recreational enhancements for each each typology. • TrOD Locations Map: Draft and final locations for future TrOD locations, outlining its typology and benefits. Delivered as a.pdf and as a GIS shapefile for Round Rock mapping. • Implementation Memo: Document potential of each TrOD site, including assumptions used. Identify implementation instrument and compile next steps information for future execution. • Presentations:Materials and supporting information for presentation to Round Rock leadership.
