ASSIGNMENT AND ASSUMPTION OF
CONSENT AND DEVELOPMENT AGREEMENT
(City of Round Rock)
THIS ASSIGNMENT AND ASSUMPTION OF CONSENT AND DEVELOPMENT
AGREEMENT (this "Assignment") is made and entered into effective as of August 14, 2025 (the
"Effective Date"), by and between DEBRA KAY BRIGGS and MARC BRIGGS (collectively
"Assignor"), to JEN AUSTIN 8 LLC, a Texas limited liability company ("Assignee").
RECITALS:
A. City of Round Rock,Texas, a home-rule city located in Williamson County, Texas
("City") and Assignor; as the "Owner" thereunder, have previously entered into that certain
Consent and Development Agreement dated effective June 12, 2025 (the "Development
Agreement"), which has been recorded under Document No. 2025062482 of the Official Public
Records of Williamson County, Texas;
B. Contemporaneously herewith, Assignor has sold and conveyed to Assignee all of
the approximately 230 acres of real property Located entirely within the corporate boundaries of
the City which is more particularly described, and defined as the "Land", in the Development
Agreement; and
C. Assignor desires to assign to Assignee, and Assignee desires to assume, all of
Assignor's rights, title, duties, interests and obligations under the Development Agreement as set
forth therein.
AGREEMENT:
Now,THEREFORE, for and in consideration of Ten Dollars ($10.00) cash in hand paid by
Assignee, the receipt and sufficiency of which are hereby acknowledged, and in further
consideration of the mutual covenants and agreements herein contained, Assignor and Assignee
agree as follows:
I. Assignment. As of the Effective Date, Assignor transfers, assigns and conveys to
Assignee, on an "As-Is" basis and without recourse or warranty of Assignor (except as expressly
set forth below in Section 3 of this Assignment), all of the rights, title, duties, interests and
obligations of Assignor, as "Owner" or in any other capacity (if applicable), under the
Development Agreement.
2. Assumption. As of the Effective Date, Assignee hereby accepts all of the rights,
title and interests under the Development Agreement,and assumes and agrees to perform a]I duties
and obligations of Assignor, as "Owner" or in any other capacity (if applicable), under the
Development Agreement from and after the Effective Date.

3. No Prior Conveyance or Assignment by Assignor. Assignor represents and
warrants to Assignee that Assignor has not previously conveyed or assigned any of its rights,
obligations, interests, powers and/or duties in, to and under the Development Agreement
thereunder or otherwise to any other party.
4. Successors and Assigns. This Assignment will be binding upon and inure to the
benefit of Assignee and Assignor and their respective heirs, legal representatives, successors and
assigns.
5. Choice of Law. This Assignment will be governed by, construed, and interpreted
in accordance with the substantive laws of the State of Texas.
6. Counterparts, This Assignment may be executed in counterparts, all of which
together will constitute one agreement binding on all parties hereto, even though all parties did not
sign the same original or counterpart.

CONSENT OF CITY MANAGER OF ROUND ROCK, TEXAS
In accordance with the terms of Section 1 1.03(a) of the Development Agreement, the City
Manager of the City hereby consents to the assignment by Assignor to Assignee,as of the Effective
Date, of all of the rights, title, duties, interests and obligations of Assignor, as "Owner" or in any
other capacity (if applicable), under the Development Agreement which is evidenced by the above
Assignment.
