WHEREAS, the City of Round Rock ("City") and Brooks Bennett ("Employee") entered into
the Employment Agreement Between the City of Round Rock, Texas and Brooks Bennett for the
Position of City Manager(the "Employment Agreement") on November 7, 2024; and
WHEREAS, City and Employee desire to amend the Employment Agreement, Now Therefore
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF ROUND ROCK, TEXAS,
That the Mayor is hereby authorized and directed to execute on behalf of the City, First
Amendment to Employment Agreement Between the City of Round Rock, Texas and Brooks Bennett,
a copy being attached hereto as Exhibit"A" and incorporated herein for all purposes.
The City Council hereby finds and declares that written notice of the date, hour, place and
subject of the meeting at which this Resolution was adopted was posted and that such meeting was
open to the public as required by law at all times during which this Resolution and the subject matter
hereof were discussed, considered and formally acted upon, all as required by the Open Meetings Act,
Chapter 551, Texas Government Code, as amended.

FIRST AMENDMENT TO
EMPLOYMENT AGREEMENT BETWEEN THE CITY OF ROUND ROCK,TEXAS
AND
BROOKS BENNETT
THIS FIRST AMENDMENT TO EMPLOYMENT AGREEMENT BETWEEN THE
CITY OF ROUND ROCK, TEXAS AND BROOKS BENNETT (this "First Amendment") is
effective as of the day of , 2025, by and between CITY OF
ROUND ROCK, TEXAS, a home-rule municipality ("City"), and BROOKS BENNETT, City
Manager of Round Rock, Texas("Employee").
RECITALS
WHEREAS, City and Employee entered into the Employment Agreement Between the
City of Round Rock, Texas and Brooks Bennett for the Position of City Manager (the
"Employment Agreement")on November 7, 2024;and
WHEREAS, City and Employee desire to amend the Employment Agreement upon the
terms and conditions more particularly set forth herein;
NOW, THEREFORE, in consideration of the mutual promises contained herein and
other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged,the parties mutually agree as follows:
1. Section 14 of the Employment Agreement titled "Severance" is hereby deleted in
its entirety, and any reference thereto in the Agreement shall be deemed removed.
2. The remaining sections shall be renumbered accordingly.

IN WITNESS WHEREOF, The City Council of Round Rock, Texas, has authorized the
City's Mayor to execute this First Amendment to Employment Agreement, and the same has
been duly attested to by its City Clerk, and signed by Employee, in duplicate, the day and year
