THIS SUPPLEMENTAL AGREEMENT NO. 1 to "Agreement Between the City of
Round Rock and GGA Christmas LLC for the Purchase of Holiday Decor and Lighting," called
"Supplemental Agreement No. 1," is made by and between the CITY OF ROUND ROCK,
TEXAS, a home-rule municipality, with offices located at 221 East Main Street, Round Rock,
Texas 78664-5299 (referred to herein as the "City"), and GGA CHRISTMAS LLC, whose
offices are located at 1904 Franklin Avenue, Suite 100, Waco, Texas 76701 (referred to herein as
"Vendor").
WHEREAS, the City and Vendor previously executed the referenced "Agreement
Between the City of Round Rock and GGA Christmas LLC for the Purchase of Holiday Decor
and Lighting,"hereinafter called the"Agreement;"and
WHEREAS, City is a member of The Interlocal Purchasing System (TIPS) Cooperative
Purchasing Program (the "Co-op") and Vendor is an approved Co-op vendor through TIPS
Contract#230806; and
WHEREAS, City desires to continue to purchase certain goods and/or services from
• Vendor through the Co-op as set forth herein; and
WHEREAS, the City and Vendor desire to amend the Scope of Services set forth in
Exhibit"A"of the Agreement, and as set forth herein;
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Vendor agree that said
Agreement is amended and supplemented as follows:
1.
Section 3.0,SCOPE OF WORK, is amended as follows:
Exhibit"A" of the Agreement is replaced by the amended Exhibit"A," attached hereto
and incorporated herein by reference for all purposes.

Section 4.0 COSTS, is amended as follows:
The City agrees to pay the Vendor the amounts set forth in the amended Exhibit"A."
III.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.
IN WITNESS WHEREOF, the City and Vendor have executed this Supplemental
Agreement No. 1 to be effective as of the last date of due execution by both parties.
