THIS SUPPLEMENTAL AGREEMENT NO. 1 to "Agreement between the City of
Round rock and Terracon Consultants, Inc. for Professional Consulting Services Related to
Construction Materials Observation and Testing Services" for the Chisholm Trail North Project,
hereinafter called "Supplemental Agreement No. 1," is made by and between the CITY OF
ROUND ROCK, TEXAS, a home-rule municipality, hereinafter called the "City" and
TERRACON CONSULTANTS, INC., hereinafter called the "Consultant," located at 800
Paloma Drive, Suite 150, Round Rock, Texas 78665.
WHEREAS, the City and Consultant previously executed the referenced "Agreement
between the City of Round rock and Terracon Consultants, Inc. for Professional Consulting
Services Related to Construction Materials Observation and Testing Services" for the Chisholm
Trail North Project hereinafter called the"Agreement;" and
WHEREAS, the City desires to amend the Scope of Work and increase the Contract
Amount of$19,844.00 by an additional $9,748.00; and
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Consultant agree that said
Agreement is amended and supplemented as follows:
I.
Section 2.0 of the Agreement is hereby amended to read as follows:
2.0 SCOPE OF SERVICES
A. Consultant has issued its proposal for services, such proposal for services being
attached hereto as Exhibit "A" and the attached Addendum to Exhibit "A" titled "Scope of
Services," which shall be referred to as the Scope of Services of this Agreement and incorporated
herein by reference for all purposes.

B. Consultant shall satisfactorily provide all services described herein and as set
forth in Exhibit"A" and the attached Addendum to Exhibit"A" according to the schedule agreed
upon by the parties. Consultant's undertaking shall be limited to performing services for City
and/or advising City concerning those matters on which Consultant has been specifically
engaged. Consultant shall perform services in accordance with this Agreement in a professional
and workmanlike manner pursuant to the Work Schedule agreed upon by both parties .
II.
Section 3.0 of the Agreement is hereby amended to read as follows:
3.0 LIMITATION TO SCOPE OF SERVICES
Consultant's undertaking shall be limited to performing the Consulting Services for City
and/or advising City concerning those matters on which Consultant has been specifically
engaged. Consultant and City agree that the Scope of Services to be performed is enumerated in
Exhibit "A" and the attached Addendum to Exhibit "A" and may only be modified by a written
Supplemental Agreement executed by both parties as described in Section 9.0.
III.
Section 4.0 of the Agreement is hereby amended to read as follows:
4.0 CONTRACT AMOUNT
A. In consideration for the consulting services Consultant shall be paid on the basis
of actual hours worked provided by Consultant in accordance with the Price Sheet attached
hereto as Exhibit "B," and the Addendum to Exhibit "A" and incorporated herein by reference
for all purposes.
Consultant's total compensation for consulting services hereunder shall not exceed
$29,592. This amount represents the absolute limit of City's liability to Consultant hereunder
unless same shall be changed by Supplemental Agreement, and City shall pay, strictly within the
not-to-exceed sum recited herein, Consultant's fees for work done on behalf of City.
IV.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.

IN WITNESS WHEREOF, the City and Consultant have executed this Supplemental
Agreement to be effective as of the last date of due execution by both parties.

Dear Mr. Ciaccio,
We are submitting this request to increase the budget previously established for the construction
materials observation and testing services for the CORR Chisholm Trail North project. The previously
established budget for these services is $19,844. Additional funds are needed to account for
additional trips for concrete testing and earthwork testing. With that said, we are requesting that the
budget allocated for this project be increased by $9,748 ($232 for additional retesting and $9,516 for
additional testing needed) to a total of$29,592 to account for the services provided.
