CM-2025-291 - 1/9/20264930-8825-6130/ss2 AMENDMENT NO. 1 TO “CITY OF ROUND ROCK ‘SOFTWARE AS A SERVICE’ AGREEMENT WITH TYLER TECHNOLOGIES, INC.” CITY OF ROUND ROCK ) ) STATE OF TEXAS ) KNOW ALL BY THESE PRESENTS: ) COUNTY OF WILLIAMSON ) COUNTY OF TRAVIS ) This Amendment No. 1 to “City of Round Rock ‘Software as a Service Agreement’ with Tyler Technologies” for purchase of certain public safety software to support the City’s public safety operations which includes records management systems and computer aided dispatch systems, and related services, hereinafter called the “Amendment No. 1,” is made by and between the CITY OF ROUND ROCK, TEXAS, a Texas home-rule municipality, whose offices are located at 221 East Main Street, Round Rock, Texas 78664-5299, hereinafter called “City,” and TYLER TECHNOLOGIES, INC., a Delaware corporation with offices located at One Tyler Drive, Yarmouth, Maine 04096, hereinafter called “Tyler.” The City and Tyler are collectively referred to herein as the “Parties.” WHEREAS,the Parties previously executed the referenced “City of Round Rock ‘Software as a Service’ Agreement,” hereinafter the “Agreement,” by Resolution No. R-2024- 234; and WHEREAS, the Parties desire to add additional licenses to the Agreement as set forth in the Addendum to Exhibit “A,”Investment Summary, attached hereto and incorporated herein by reference for all purposes; and NOW THEREFORE, premises considered, and in consideration of the mutual promises and obligations in the Agreement and this Amendment No. 1, the Parties agree as follows: I. Exhibit “A,” Investment Summary of the Agreement shall be amended to include the attached Addendum to Exhibit “A,”adding additional licenses, services and fees. II. This Amendment No. 1 shall amend the original Agreement only as set forth herein with no other changes in terms or conditions of the original Agreement. 2 IN WITNESS WHEREOF,the Parties have executed this Amendment No. 1 on the dates indicated below.
