THIS SUPPLEMENTAL AGREEMENT NO. 1 to "Agreement between the City of
Round Rock and Unmanned Vehicle Technologies for the Purchase of Drone Program, Devices,
Hardware, and Software" called "Supplemental Agreement No. 1," is made by and between the
CITY OF ROUND ROCK,TEXAS, a home-rule municipality, with offices located at 221 East
Main Street, Round Rock,Texas 78664-5299(referred to herein as the"City"),an UNMANNED
VEHICLE TECHNOLOGIES, whose offices are located at 1722 North College Avenue, Suite
D, Fayetteville,Arkansas 72703 (referred to herein as"Vendor").
WHEREAS, the City and Vendor previously executed the referenced "Agreement
between the City of Round Rock and Unmanned Vehicle Technologies for the Purchase of
Drone Program, Device, Hardware and Software," hereinafter called the"Agreement;" and
WHEREAS, the Agreement states that the total amount of costs to be paid to Vendor
shall not exceed $752,080.73 for the term of the Agreement; and
WHEREAS, the parties desire to increase the scope of the Contract and Contract
Amount by an additional $56,730.00 as set forth herein;
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. I, the City and Vendor agree that said
Agreement is amended and supplemented as follows:
I.
Section 3.0,Scope of Work,is amended to read as follows:
A. The goods and related services which are the subject matter of this Agreement are
described generally herein and referenced in Exhibit "A," and the attached Addendum to
Exhibit"A," incorporated herein by reference for all purposes.

B. This Agreement shall evidence the entire understanding and agreement between
the parties and shall supersede any prior proposals, correspondence or discussions.
C. Vendor shall satisfactorily provide all deliverables and services described herein
and referenced in Exhibit "A" and the Addendum to Exhibit "A" within the contract term
specified. A change in the Scope of Services or any term of this Agreement must be negotiated
and agreed to in all relevant details and must be embodied in a valid Supplemental Agreement as
described herein.
II.
Section 4.0,Costs,is amended to read as follows:
A. In consideration for the Goods and Services to be provided by Vendor, City
agrees to pay Vendor the amounts set forth in Exhibit "A' and the attached Addendum to
Exhibit"A."
B. The City is authorized to pay Vendor an amount not to exceed $808,810.73 for
the teen of the Agreement.
11.
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.
