Re: Proposal for Legal Services
Dear Mr. Bennett:
Thank you for engaging my services to represent City of Round Rock (RR). This letter is to
confirm that I agree to perform and RR agrees to pay me for legal services generally described as
assistance with election law issues (the "Matter") or any future matters at RR's request. I cannot
promise or guarantee any specific outcomes or results; however, I will do my best to represent
RR's interests.
Cooperation. It is essential that RR discloses all facts related to the Matter in the most accurate
detail possible. RR agrees to cooperate with me fully by notifying me of any changes or
developments related to the Matter and to make RR's representatives available to attend meetings,
conferences, hearings and other proceedings as may be needed.
Communication. I will frequently use a cellular telephone, electronic mail, and facsimile
transmissions for internal and external communications. With certain software or equipment, it is
possible for third parties to intercept these types of transmissions. Unless RR notifies me in writing
immediately that this is not agreeable,your signature on this Agreement authorizes me to use these
forms of communication as indicated.
Fee Structure. I compute and bill my regular fees for services at $450 per hour for work
specifically for this Matter or any future matter. I am requesting a retainer of$450 at this time,
which will be treated as a deposit that I will draw upon as a portion of the payment for up to one
hour of legal services, as it is invoiced. If I determine that I need to employ others to assist in the
Matter, I will bill fees for work that attorneys, legal assistants and law clerks perform at an
appropriate rate between$150 to $450 an hour. The actual fee will depend upon the specific task.
Please note that I may make minor adjustments to this fee structure from time to time as conditions
warrant at my discretion.

Expenses. In addition to an hourly fee for service,RR's invoice will include any expenses incurred
on RR's behalf while working on the Matter. Such expenses include, but are not limited to:
photocopying, facsimile transmissions, delivery services, postage, filing fees, and travel and
lodging expenses, if applicable. Fees and expenses for third parties, filing fees, court costs, and
similar costs are RR's responsibility.
Payment. RR's invoice will reflect the fees for services rendered and include expenses related to
the Matter. Payment will be drawn from the retainer upon invoicing. If additional payment is
needed beyond the retainer, it will be due within the calendar month following invoicing. Invoices
that remain unpaid by the last day of the month following the date of the invoice will be past due.
I reserve the right to withdraw from this Agreement if, among other things, RR fails to honor its
terms, including payment.
Conflicts of Interest. It is possible that I may have to decline to represent RR or another client or
both to avoid a conflict of interest. In the event of a conflict, I will provide notice as soon as
possible of whether representation can be continued or terminated accordingly.
Withdrawal or Termination. If RR no longer requires my professional services, or should my
continued representation no longer be possible, either Party may terminate this Agreement prior
to the conclusion of the Matter with thirty days' written notice. Any such termination or
withdrawal does not relieve RR of the obligation to pay legal fees for services performed as of the
date of termination or withdrawal.
Client Documents. At the conclusion of the Matter, it is RR's obligation to advise me of any
documents in my files that RR wants me to return. I may keep copies to the extent I believe
advisable for my records. I will retain any documents in my possession for a time certain and will
destroy them in accordance with the established record retention program schedule then in effect
for my firm.
Unanticipated Cessation of Practice. In order to protect RR's interests in the event of my
incapacitation, my designee will have access to RR's files and records. My designee may contact
RR to determine how RR wants to proceed with RR's legal representation. Under these limited
circumstances, RR grants permission and waives all privileges to the extent necessary or
appropriate. RR authorizes the payment of remaining fees and expenses, if any, to my estate,
personal representatives, and heirs.
Publications. On occasion, I refer to a client's name in firm resumes, legal directories,
announcements, or on my firm's website. RR grants permission to reference our professional
relationship,provided that I do not disclose the nature of that representation. If RR does not want
RR's name to appear in this fashion, please notify me immediately.
Notice. The State Bar of Texas investigates and prosecutes professional misconduct committed
by Texas attorneys. Although not every complaint against or dispute with a lawyer involves
professional misconduct,the State Bar's Office of Chief Disciplinary Counsel (CDC)will provide
you with information about how to file a complaint. Please call the CDC Regional Office toll free
at 877-953-5535 for more information.

Execution of Agreement. If RR agrees with the terms, please indicate RR's approval by signing
one copy in the space provided below. Then, return one signed letter to me either at the address
on this letterhead by United States Postal Service mail or by sending a scanned signed copy to my
electronic mail address. Please keep an original copy for RR's files.
I am privileged to have this opportunity to represent and serve RR. Please contact me immediately
