THIS SUPPLEMENTAL AGREEMENT NO. 1 to “Agreement Between the City of
Round Rock and IDEXX Distribution, Inc. for the Purchase of Laboratory Supplies and
Equipment” called “Supplemental Agreement No. 1,” is made by and between the CITY OF
ROUND ROCK, TEXAS, a home-rule municipality, with offices located at 221 East Main
Street, Round Rock, Texas 78664-5299 (referred to herein as the “City”), and IDEXX
DISTRIBUTION, INC., whose offices are located at One Idexx Drive, Westbrook, Maine
08092 (referred to herein as “Vendor”).
WHEREAS, the City and Vendor previously executed the referenced “Agreement
Between the City of Round Rock and IDEXX Distribution, Inc. for the Purchase of Laboratory
Supplies and Equipment,” hereinafter called the “Agreement;” and
WHEREAS, the City has determined that the Vendor is a sole source provider for these
supplies and equipment; and
WHEREAS, expenditures that are for the procurement of goods and services that are
available from a sole source are exempt from competitive requirements pursuant to Sectiom
252.022 of the Texas Local Government Code; and
WHEREAS, the City and Vendor desire to modify the Scope of Services to include an
additional sole source item;
NOW THEREFORE,in consideration of the mutual promises and obligations in
the Agreement and this Supplemental Agreement No. 1, the City and agree that said
Agreement is amended and supplemented as follows:

1,0 SCOPE OF SERVICES
All references to Exhibit “A” in the Agreement shall include the Addendum to Exhibit
“A” as part of the Scope of Services, attached hereto and incorporated herein by reference for all
purposes.
II.
2.0 AMENDMENTS TO AGREEMENT
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.
IN WITNESS WHEREOF,the City and have executed this
Supplemental Agreement No. 1 to be effective as of the last date of due execution by
both parties.
