THIS SUPPLEMENTAL AGREEMENT NO. 1 to "City of Round Rock Agreement for
Purchase of Server Batteries, Replacement and Maintenance with McKim, Ullrich and Young,
LLC (dba"Power Quality Sales")" hereinafter called"Supplemental Agreement No. 1," is made
by and between the CITY OF ROUND ROCK, Texas, a home-rule municipality, with offices
located at 221 East Main Street, Round Rock Texas, 78664, hereinafter called the "City" and
MCKIM, ULLRICH AND YOUNG, LLP (dba "Power Quality Sales"), with offices located
at 1733 Universal City Boulevard, University City, Texas 78148 hereinafter called the"Vendor."
WHEREAS, the City and Vendor previously executed the referenced "City of Round
Rock Agreement for Purchase of Server Batteries, Replacement and Maintenance with McKim,
Ullrich and Young, LLC (dba "Power Quality Sales")" for the purchase of server batteries,
replacement maintenance,and related goods and services;"and
WHEREAS, pursuant to Section 252.022(4) these goods and services are exempt from
competitive bidding, as Vendor is the sole provider of said goods and services; and
WHEREAS,the City and Vendor desire to add costs to the Agreement in the amount of
$50,000.00; and
NOW THEREFORE, in consideration of the mutual promises and obligations in the
Agreement and this Supplemental Agreement No. 1, the City and Vendor agree that said
Agreement is amended and supplemented as follows:
I.
1.0 CONTRACT AMOUNT
This Supplemental Agreement No. 1 shall increase the total compensation set forth in
Section 4.0 of the Agreement by $50,000.00 for a not-to-exceed total of $268,810.00 for the
remaining term of the Agreement.

II.
2.0 AMENDMENTS TO AGREEMENT
This Supplemental Agreement No. 1 shall amend the original Agreement only as set forth
herein with no other changes in terms or conditions of the original Agreement.

IN WITNESS WHEREOF, the City and Vendor have executed this Supplemental
Agreement to be effective as of the last date of due execution by both parties.
